44 LEASE AGREEMENT

PORTION 139, REPUBLIC OF NAURU CENTRAL PACIFIC

20 November 2019 THIS LEASE AGREEMENT is made on the 3 〇 of November 2019

BETWEEN: The Landowners of Land Portion Number 139 of Denigomodu District ( )

LESSORS

AND: China Harbour Engineering Company Ltd (CHEC), Nauru

LESSEE

RECITAL

WHEREAS the Lessors are the registered proprietors of all that piece and parcel of land known by and described as Portion Number 139 in the District of Denigomodu ('the land) consisting of 1,549 square meters (as shown in the attached plan) and have agreed to be bound by this Lease Agreement jointly and severally.

WHEREAS the China Harbour Engineering Company Ltd (CHEC), a statutory corporation, requires to lease the land for a public purpose under section 5 of the Lands Act 1976 for a duration of one (1) year;

WHEREAS pursuant to section 5(2) of the Lands Act 1976 the Minister has duly notified the persons listed in Schedule 1 of the need to Lease the said land for permitted public purpose and requested that they grant a Lease for one (1) year;

WHEREAS pursuant to section 3(3) of the Lands Act 1976, His Excellency the has agreed to consent in writing for the grant of a Lease to the Lessee over the land for the permitted public purpose; and

AND WHEREAS the Lessors and Lessee have mutually agreed to enter into this Lease Agreement ('the Lease') for the occupation and use of the said land for the permitted public purpose upon the terms and conditions as set out in the succeeding paragraphs. Definitions and Interpretation

1.1 Definitions

In this Lease:-

"Due Date" in relation to rent means not later than thirty (30) days after the last day of each month. If that day falls on a weekend or public holiday, the rent is due on the next business day.

"Land" means the land known by and described as Portion 139, Denigomodu District. A map of the land is attached at Schedule 2.

"Permitted Public Purpose" is a public purpose under section 5 of the Lands Act 1976 for the purposes of accommodation, offices and lay down area for the civil works contractor for the upgrading of the Nauru Port.

"Schedule" means the schedules annexed to this Lease.

"Term" means the duration of the Lease which shall be for a period of one (1) years from the date of execution of this Agreement by the parties unless the public purpose comes to an end earlier and the Lessee returns the land to the Lessors.

1.2 Interpretation

Save to the extent that the context or the express provisions of this Lease otherwise requires, in this Lease:-

(a) words importing any gender shall include all other genders;

(b) words importing the singular number only shall include the plural number and vice versa;

(c) a reference to the expression Lessors is a reference to the landowners, and the obligations contained in this Lease which are expressed to be made by the party denoted by the expression in question shall be binding jointly and severally on them and their executors and representatives;

(d) any reference to a Clause, Schedule or Part of the Schedule is to the relevant Clause, Schedule or Part of the Schedule of or to this Lease;

(e) any phrase introduced by the words "including", "include", "in particular" or any similar expression shall be construed as illustrative only and shall not be construed as limiting the generality of any preceding words. 1.3 Headings

The headings in this Lease are included for convenience only and shall be ignored in construing this Lease.

1.4 Schedule

The Schedule(s) form part of this Lease.

2. Term of the Lease

2.1 The Lessors do hereby lease the land to the Lessee for a term of one (1) year or until such earlier time the public purposes come to an end and the Lessee surrenders the lease and upon such other terms and conditions contained in this Lease.

2.2 Upon execution, this Lease shall supersede any pre-existing Lease in respect of the land between the Lessors and Lessee.

3. Lessor to pass an unencumbered title

3.1 The Lessors undertake that the land is free from all encumbrances, title, right or interest of whatsoever kind and shall on execution of this Lease deliver the subject land to the Lessee for its exclusive permitted public use.

3.2 During the Term of the Lease the Lessors shall not have access to or enter the Land without the prior consent of the Lessee.

3.3 The Lessee shall be entitled to quiet and peaceful enjoyment of the Land without any interference whatsoever from the Lessors, their representatives and/or agents.

3.4 The Lessee shall use the land for the permitted public purpose and for no other purpose without the Lessors' prior written consent.

3.5 Upon completion of the Lease or earlier cancellation of the Lease, the proprietary interest in the land shall revert to the owners of land.

4. Rent

4.1 The Lessee will pay the applicable Lease rental rate during the term of the Lease.

4.2 The rent payable to Lessor is the rate specified in the Lands Act 1976, which at the date of this Lease is AUD 8.50 per square metre per annum, which shall be ADD 1,097.20 be payable monthly. 4.3 If payment is not made to the Lessors within two (2) months after the Due Date, the Lessors must give written notice to the Lessee to pay the rental within 30 days of the notice.

Sub-leasing

The Lessee shall not sub-let or sublease any portion of the Land without the prior written consent of the Lessors.

Improvement to the Land

6.1 The Lessors consent to the Lessee making improvements to the land, including all fixtures and chattels so as to meet the requirements of the permitted public purpose.

6.2 All improvements which constitute fixtures to the land made by the Lessee shall not be removed by the Lessee at the end of the Term of the Lease.

Maintenance of the Land

7.1 The Lessee agrees to:

(a) properly use, operate and safeguard the Land and all fixtures, and fittings installed on the land; (b) maintain the land in good order and condition, and upon expiry or termination of the Lease, to surrender the Land to the Lessor.

7.2 The Lessee does not need the consent of the Lessor to undertake any works necessary for the permitted public purpose to comply with sub­ clause 6.1.

Application of the Lands Act

The provisions of the Lands Act 1976 shall apply to this Lease.

Validity of the Lease

Should any provision of this Lease be found to be invalid or unenforceable, the remainder of the Lease shall not be affected and each term and provision herein shall be valid and enforceable to the fullest extent permitted by law.

Variation

This Lease may be varied or amended by mutual consent of the parties, which may include an extension of the term of the lease, and any such variation or amendment shall be set out in writing and be signed by the parties. 11. Review

11.1 Subject to clause 3 hereof, both the parties acting in good faith shall meet at an interval of one (1) year to discuss the implementation and the scope of the Lease.

11.2 The Lessors shall jointly or severally give one (1) month notice to the Lessee for the purposes of convening a meeting under 11.1

12. Governing Law

This Lease is governed by and shall be interpreted in accordance with the laws of Nauru.

13. Dispute resolution

13.1 All disputes arising out of or in connection with this Lease shall in the first instance be resolved amicably between the parties by negotiation and or mediation. The parties shall act in good faith to resolve the dispute where possible without resorting to any court proceedings.

13.2 Where a dispute cannot be resolved, it shall be determined by the of Nauru and appeals from the Supreme Court permitted by law.

13.3 During the currency of the Lease, if any dispute is being considered and resolved under this clause, the parties shall continue to exercise or perform all other rights and obligations respectively contained in this Lease.

14. Notices

All notices required to be given under this Lease shall be:-

(a) in writing; (b) shall be accurately dated; (c) served to the respective parties: (i) Lessors - Landowners as listed in Schedule 1; (ii) Lessee - China Harbour Engineering Company Ltd (CHEC), Nauru. IN WITNESS WHEREOF, Lessors and Lessee hereby execute and agree to the terms and conditions of this Lease on the date first set out herein.

Appendix C.1: Minutes of the Community Consultation Meeting Held on 30 November 2019 Note: Minutes, photos and attendance sheets in other consultation meetings were included in the Gender Action Plan (GAP) QPR for 4th quarter 2019. Date: 30 November 2019 Time: 11:30 am to 1:00 pm Venue: (Dobaneab) Hall near, Location Compound Total Number of Participants: 20 (11 females or 55%) Agenda Discussed: 1. Introduction/ overview of the project (implementing agency, donors, project grant/ budget, project completion year, and other topics) 2. Safety awareness (familiarization of the road safety signs, and other signs) 3. Progress of the project such as marine works, and others 4. Project benefits including job opportunities (vacant positions were announced) 5. GRM process and proper way of raising complaints to ensure timely action 6. Other Matters 7. Open Forums Minutes of the Meeting: 1. The meeting was organized by the China Harbor Engineering Company (CHEC), which commenced at 11:30 am. Mrs. Cherish Gata, CHEC CLO has presided the meeting. 2. The participants includes, 4 representatives officers of CHEC (Mr. Wu Shaopeng, Ms. Jessy, Mr. Kingseley Zhang, and Mrs. Cherish Gata (CLO). From the PMU, Mrs Momoyo Scotty, Environmental Officer, and from CSC is Mrs. Ester Felix, Gender and Community Development Specialist. From the Location community, the meeting was participated by community leaders, CLO and members. 3. To formally start the meeting, Mrs. Alana Thoma, Location community member led the opening prayer, and proceeded on with reviewing and updating on project work. 4. Mrs. Cherish Gata explained the purpose of the meeting, which aims to inform the Location Community leaders, CLOs and members about the progress of the project, upcoming activities that will be carried out by the contractor at the project site, the GRM process and proper way of raising complaints to ensure timely action, and other matters/ announcements. 5. A power point presentation material was used and discussed by CHEC CLO which covers topics such as overview of the project, implementing agency, donors, amount of grant, project grant/ budget, project completion period, and other topics). It was followed by progress of project construction on marine works, safety awareness, GRM process and how to raise complaints to ensure properly, a GRM register will be filled-in, issues/ complaints should be raised/ discussed at the community level using proper channel to ensure quick action (not through social media such as facebook, etc.). 6. Updates on the following were also discussed by CHEC CLO (Mrs. Cherish Gata): MARINE WORKS: The Community were informed on the progress of construction at the new AIWO PORT HARBOR. A ship will be arriving soon from China, which will be used for platform for dredging, and also to bring in materials and equipment. Dredging work will be carried out next month. The

WORK PROGRESS: The community has been informed of the extension of the camp site to Mrs. Joyce’s residence and beside the small church in Location community. CHEC will be using the area for storage. The community was also informed that CHEC has already started leveling the road, starting off at the southern side. The community were pleased to learn that CHEC started leveling the road, as this is one of the main problem in Location community. SAFETY AWARENESS: As part of regular safety awareness, CHEC CLO had shown in the power point presentation material important and relevant safety signs (and meaning) including road safety signs. The community leaders and CLOs’ assistance has been requested to assist us in working together in protecting our area especially the sea side and the fence, to keep children or anyone from entering CHEC premises. This is essential to ensure the safety of everyone. The community responded positively. OPEN FORUM: Few questions were raised by the community. The first question was raised by and the PMU Environmental Officer (Mrs. Momoyo Scotty) gave the response. Q1: is concern about the safety of the country as we will be having an international port, and all kinds of people and activities will be taking place. Mrs. Momoyo’s response: She explained the project outputs components, that measures and relevant activities including port reforms (policies) to ensure the safety / protection of the people (Nauruans). These will be according to what has already been planned by PAN and the relevant agencies/ government authorities. Additional information shared by the CSC Gender and Community Development Specialist (Mrs. Ester Felix): She explained that the project underwent various stages from preparatory/ feasibility stage to detailed design and construction stage (where we are at current phase). The project has prepared safeguards documents related to environmental, social, etc. that includes activities/ measures to ensure quality implementation of the project, safeguards measures are implemented, issues and concerns that may arise will be addressed, etc. GRM mechanism has been set-up and staff is assigned to ensure that complaints/ concerns of the people are addressed in a timely manner (referring to the role of the community CLO, contractor’s CLO, PMU CLO, etc.). The project will provide long-term benefits to the people (Nauruans in general), jobs for local people (male and female, skilled and unskilled) during the construction and operation phase, health awareness raising for workers and communities, capacity building/ training, for workers, and other stakeholders. Concerned government agencies of Nauru such as PAN and in collaboration with other agencies, will ensure that the worries/ concerns of the people communities in the future will be addressed. The 2nd question was raised by and was replied by the CHEC CLO and additional information shared by Mrs. Ester Felix (CSC gender and community development specialist). Q2. asked if there will be exploitation at the work site Response by the CHEC CLO: There will be no exploitation in this project. Construction supervision team (Cardno consultants) and PMU officers (CLO and EO, and others) monitors the project regularly (daily), regular meetings are conducted, and workers could discuss their concerns/ problems as the project has a Grievance Redress Mechanism (GRM) process, and anybody who has concerns to raise could use the GRM process, and complaints will be attended

to in a timely manner. The people including workers are informed of the GRM, induction is given to workers and CHEC employees/ workers on core labor standards, social protocol, occupational health and safety measures, to ensure their protection. PMU CLO, CSC consultants, and CHEC CLO and HSE officers were assigned to ensure that safeguards/ protection and welfare of the workers are looked into, and consultation with the workers (local and international) is conducted on a regular basis. Local workers could freely see or meet the CHEC HSE officers and CLO, PMU CLO, and or the CSC consultants to express their concerns, if any. Close collaboration with the team is also done. Before the closing of the meeting: CHEC administration manager (Ms. Jessy) introduced herself and expressed thank you for the support of the community to the project/ contractor. PMU environmental specialist, CSC gender and community development specialist, and CHRC CLO also expressed thanks to the community leaders, CLOs and members for their time in attending the meeting, and support to the project and the project team, and share the information learned from the meeting to their household members and neighbors who failed to attend the meeting. After the open forum, the meeting finally ended with a Closing Prayer lead by a community elder. The meeting was adjourned at 1:00 pm, and refreshments were served to the participants. The meeting turned out successful, and the participants had expressed their appreciation of the project, the regular meeting conducted, and that they will continue to support the implementation of the project. They are happy that some community members were hired by the contractor in the project (male and female). In summary, of the 191 environmental contract conditions identified by the IES, the Contractor have failed to demonstrate conformance with 110 items.

The Contractor has failed to demonstrate they understand how to interpret contract conditions on the whole. This is a failure of the Contractor’s Senior Leadership team at site level. The Contractor is requested to respond to each individual line item in the Excel spreadsheet. Additionally, for all Non-conformance items i.e. items listed as ‘Critical’ and ‘Becoming Critical’, it is expected that the Contractor may need to provide supporting documentation. With this in mind, the Contractor should compile a report to close out the Non-conformances. The report should be compiled in chronological order of non-conformances.
