ADDENDUM

to the

PROSPECTUS

Dated 22 September 2017

This addendum is supplemental to, forms part of and should be read in conjunction with the Prospectus of Edinburgh Partners Opportunities Fund PLC (the “Prospectus”) dated 16 March 2017 and the Supplements for the following Sub-Funds as follows:

 Edinburgh Partners Emerging Opportunities Fund  Edinburgh Partners Global Opportunities Fund  Edinburgh Partners Worldwide Opportunities Fund  The Theseus Fund  Edinburgh Partners European Opportunities Fund  Edinburgh Partners Pan European Opportunities Fund

The Directors of Edinburgh Partners Opportunities Fund PLC whose names appear in the section of the Prospectus entitled Directors of the Company below accept responsibility for the information contained in this Addendum. To the best of the knowledge and belief of the Directors (who have taken all reasonable care to ensure such is the case), the information contained in this document is in accordance with the facts and does not omit anything likely to affect the import of such information. The Directors accept responsibility accordingly.

Appendix I shall be deleted in its entirety and replaced with the following:-

Markets

The markets and exchanges are set out below in accordance with the requirements of the Central Bank which does not issue a list of approved markets and exchanges. With the exception of other permitted investments pursuant to Regulation 68(2) of the Regulations, the Company will only invest in securities traded on a exchange or market which meets with the regulatory criteria (regulated, operate regularly, be recognised and open to the public) and which are drawn from the following list:-

(i) any which is:

- located in any Member State; or

- located in a member state of the European Economic Area (Norway, Iceland and Liechtenstein); or

- located in any of the following countries:- Australia Canada Hong Kong Japan New Zealand Switzerland United States of America; or

(ii) any stock exchange included in the following list:-

The (i) market conducted by banks and other institutions regulated by the Financial Control Authority (FCA) and subject to the Inter-Professional Conduct provisions of the FCA’s Market Conduct Sourcebook and (ii) market in non-investment products which is subject to the guidance contained in the Non Investment Products Code drawn up by the participants in the London market, including the FCA and the Bank of England;

The market in US government securities conducted by primary dealers regulated by the Federal Reserve Bank of New York;

The over-the-counter market in the United States conducted by primary and second dealers regulated by the Securities and Exchanges Commission and by the National Association of Securities Dealers (and by banking institutions regulated by the US Comptroller of the Currency, the Federal Reserve System or Federal Deposit Corporation);

NASDAQ in the United States;

The Over-the-Counter market in Canadian Government Bonds as regulated by the Investment Dealers Association of Canada.

The French market for “Titres de Creance Negotiable” (over-the-counter market in negotiable debt instruments).

AIM-the Alternative Investment Market in the UK regulated and operated by the .

In relation to any derivatives contract used, any market or exchange on which such contract may be acquired or sold which is referred to in clause (ii) or (iii) above or which is in the European Economic Area, is regulated, recognised, operates regularly, and is open to the public."

The Amendments to the Supplements

To the following Supplements in relation to the Investment Policy

Edinburgh Partners Global Opportunities Fund

The first sentence of the first paragraph of the section entitled Investment Policies shall be deleted in its entirety and replaced with the following:-

"The Fund will invest in transferable equity and equity-related securities of companies listed or traded on stock exchanges and markets globally drawn from the list included in Appendix I to the Prospectus (save for other permitted investments as identified in Appendix I) and which includes any investment in securities traded on Russian markets."

Edinburgh Partners Pan European Opportunities Fund

The first sentence of the first paragraph of the section entitled Investment Policies shall be deleted in its entirety and replaced with the following:-

"The Fund will invest in transferable equity and equity-related securities of companies listed or traded on stock exchanges in Europe including emerging markets, as determined by the Investment Manager, drawn from the list included in Appendix I to the Prospectus (save for other permitted investments as identified in Appendix I) and which includes minimal investment in securities traded on Russian markets."

Edinburgh Partners Emerging Opportunities Fund

The second paragraph of the section entitled Investment Policies shall be deleted in its entirety and replaced with the following:-

"Investments will be traded or listed on the exchanges and markets drawn from the list included in Appendix I to the Prospectus (save for other permitted investments as identified in Appendix I)."

Edinburgh Partners Worldwide Opportunities Fund

The following sentence is added at the end of the first paragraph of the section entitled Investment Policies:

"The Fund will invest primarily in transferable equity and equity-related securities of companies, listed or traded on stock exchanges and markets worldwide drawn from the list included in Appendix I to the Prospectus (save for other permitted investments as identified in Appendix I), which are undervalued in the opinion of the Investment Manager."
