I am a Radio Engineer, an employee in the firm of Carl T. Jones Corporation, with offices located in Springfield,Virginia. My education and experience are a matter of record with the Federal Communications Commission.
This oftice is undertaken a review of the technical aspects of the proposed merger between shareholders of Hispanic Broadcasting Corp. and Univision Communications Inc.
Exhibit 17 attached to the Application for Transfer of Control sets forth a showing regarding compliance with the FCC's Multiple Ownership Rules. This oftice has reviewed the technical information contained within that Exhibit in depth, and agrees with the technical showing regarding ownership of broadcast properties by both corporations and that combining those holdings into a single company is technically compliant with the Rules.
On the other hand, if one considers the ownership of Hispanic BroadcastingCorp. by
Clear Channel Broadcasting as an "attributable" interest, one determines that in several

Corp., ownership is at variance with the Commission's requirements. Similarly, Univisions ownerstip of Entravision may also be considered as "attributable."Tables 1 through 4 attached provide total broadcast station ownership for all four affiliated corporations in four of the markets that are heavily Hispanic in population.
Exhibit 1 shows the radio multiple ownership study of the Los Angeles market, providing city grade coverage for the 13 radio properties currently held by Entravision, Clear
Channel, and Hispanic Broadcasting. In this market, the three corporations would hold 16 stations common to the market as defined by current Commission criteria. It would be necessary for seven of these stations to be divested to comply with FCC regulation.
