IV. OPENING REMARKS A. Chair’s Comments Good Morning. Welcome to the Formal Session of the Board of Trustees of Michigan Technological University. We are thrilled to be celebrating some momentous events today.

During today’s session, Provost Huntoon will be presenting over 20 faculty members for tenure or promotions. Achieving tenure and full professorship are significant milestones in faculties’ academic careers and we are incredibly proud of those being presented for advancement today.

After today’s session, we are looking forward to joining the graduating students, their families, and faculty in celebrating the graduates’ accomplishments. While our graduation celebration looks different this year, the accomplishments of our students are even more remarkable for the perseverance and resilience they have shown. Our heartfelt congratulations to you on your degrees.

In addition, Provost Huntoon recently announced Dr. Jason Blough, Professor of Mechanical Engineering-Engineering Mechanics, as the University’s newest Distinguished Professor, which recognizes faculty member’s substantial contributions to the University as well as their discipline among those who are not presently recognized through an endowed position or faculty fellowship.

Dr. Blough is an international leader in the area of noise, vibration, and harshness. His work is in high demand, as reflected by the over 30 short courses he has presented to industry. He also has over 90 funded projects and has been extremely active in service, advising graduate students and advising the Society of Automotive Engineers Student Chapter and the Clean Snowmobile Challenge for over 15 years.

Also, recently announced is the University’s newest University Professor, Dr. Robert Nemiroff, Professor of Physics, recognizing his outstanding scholarly contributions to the University and his discipline over a substantial period of time.

Dr. Nemiroff’s accomplishments are many. To name a few, he created an online version of a popular physics course, which has become the most downloaded course in any subject from any university on iTunes. He was able to acquire one of the largest telescopes available, exclusively for student use. And he was the lead founder and first editor for the Astrophysical Source Code Library. 11246 Formal Session of the Board of Trustees - Agenda 4/30/2021

Congratulations to Drs. Blough and Nemiroff on these well-deserved honors. We look forward to hearing more about your work in the future.

Finally, we would like to thank our two faculty members who are presenting reports to us today.

Dr. Jeff Naber, the Ron and Elaine Starr Professor in Energy Systems for Mechanical Engineering-Engineering Mechanics and Director of the Advanced Power Systems Research Center, is presenting on the NEXTCAR Project for which he was recently awarded $4.1 million in renewal funding, enabling him to launch Phase 2 of the project.

Also Dr. Carolyn Duncan, Assistant Professor in Kinesiology and Integrative Physiology is presenting on balance, decreasing falls, and increasing functional mobility. She will provide us with an overview of her research as well as some of her initial learnings regarding Huntington’s Disease and where her research is taking her next.

Thank you both for sharing your research with us today. We are all excited to learn more.

I would now like to invite President Koubek to provide his comments.

B. President’s Comments Chair, Members of the Board and audience members. Thank you for joining us this morning.

I will keep my opening comments brief, as I will yield my time to Board of Trustee member, Derhun Sanders.

But, before I do, it is my pleasure to say, “Job Well Done!” to our Spring 2021 graduating class. I am especially thankful to our students, faculty and staff for their incredible tenacity this year. No doubt, this was certainly a challenging time for us all.

I would like to also congratulate our recent Michigan Tech research award recipients. Dr. Caryn Heldt and Pratik Umesh Joshi, both recipients of the Bhakta Rath Research Award and Dr. Gregory Odengard, recipient of the Michigan Tech Research Award. Congratulations. Your research is a proud reflection of our shared commitment to excellence.

These examples are just a few of the many accolades and achievements earned by our faculty and staff this year. We are equally proud of the tremendous contributions all of our campus community made over the course of the fall and spring semesters. Thank you.

With that, I now yield the floor to Trustee Sanders.

Board Member Derhun Sanders comments Thank you President Koubek. Good morning, it is a great honor and privilege to serve as a member of Michigan Technological University’s Board of Trustees. I am a proud alumnus of 11247 Formal Session of the Board of Trustees - Agenda 4/30/2021 this university and look forward to the day in the hopefully not too distant future that I get to see all of us back together in the MUB. I am before you today to share a few stories and experiences from my past that I hope might help to inspire and shape the future. I, like many others students at Tech, had challenges in my studies from time to time. I am so thankful for the professors that invited me over for dinner, welcoming me with the line, “Meet me at my house at 5:00 p.m., go ahead and walk in the door, as the door will be unlocked if I’m not there.” Not only did they help me understand how to calculate moles and molecular structures but they also rallied behind me and encouraged me to be the best student that I could be. This level of care and attention was not only reserved from students from the local Houghton community but it freely flowed to this native of Flint as well as other from similar and even more diverse backgrounds. MTU has not just been a school for me but a home and a safe place for me to grow. Looking back at the numerous times I recited Doctor King’s I have a Dream speech, outside the MUB where the campus gathers; to singing in the ECHOES From Heaven choir while being welcomed in almost every church and parish in this area; to getting married in the Houghton County Courthouse to my bride of now twenty-five (25) years. Tech has been my home. I share all of this because it exemplifies what Michigan Tech represents to me. This is my Michigan Tech and it is my goal to ensure that each student who attends Tech, no matter where they are from, who they are, they feel a sense of home away from home, while here. Over the course of the past year, our conversations around diversity, inclusion, equity, and a sense of belonging have intensified, and rightly so. This is good work and it is challenging, uncomfortable work, but it is also necessary work. Here is the view from where I stand, to keep us moving in the right direction, university leadership has signaled values and priorities in their budget by moving money and hiring leaders of thought and action. The University Senate has also engaged in shared governance, as a means to ensure that the university, as a whole, is moving in the right direction towards equity and inclusion. Faculty of all ranks have been active in the creation of awareness on this subject and the Academic Affairs Committee, on which I sit, is aligned with the University to identify a diverse pool of talent for our faculty and staff, while the President has committed to a more diverse student body. When I look at the actions and activities of our students, I’m all the more inspired. At our last meeting, we heard an engaging report from USG (Undergraduate Student Government) that they are working collaboratively with GSG (Graduate Student Government) on supporting under-represented students. Additionally, for the tenth straight year, members of the Michigan Tech Student Chapter of the National Society of Black Engineers spent Spring Break bringing STEM education to middle and high school students in Detroit. This year’s activities were all conducted virtually of course, that didn’t dampen the impact. Eleven (11) Michigan Tech students gave presentations to every middle and high school science class at Chandler Park Academy, in Detroit. That’s a total of seventy-four (74) classes and one thousand eight hundred and fifty (1850) students. All of this is evidence that the Husky community is resolute to do the right thing. What’s important to notice about the work our students are doing is that it extends beyond the borders of our campus. We need to continue to look beyond our immediate social circles for opportunities to engage and work with others; to share ideas and prospectives; to better understand where people are coming from; and identify common ground; and to remind ourselves that there is absolutely more that unites us than divides us. I am 11248 Formal Session of the Board of Trustees - Agenda 4/30/2021

confident in saying that a vast majority of us hope for a future where we will all be judged solely by the content of our character and I believe we will get there. Change will come but change doesn’t come ready out of the box, some assembly is required and it takes time to build. Mistakes might be made but experience is the name we give our mistakes, it’s how we learn. We must, we must have the courage to give each other and space to learn. We at Michigan Tech have the courage as well as the wisdom, grit, and heart to keep looking towards what’s possible, to keep moving forward. I thank all the members of our community who has demonstrated the caring spirit and community-driven ethic that makes us Huskies and makes change possible. Thank you.

V. PRESENTATION BY REPRESENTATIVE GREG MARKKANEN Thank you, madam Chair. It’s good to be here this morning, my name is Greg Markkanen and I am a resident of Hancock, MI and I’m also a state representative for the 110th district of Michigan, House of Representatives. It’s an honor to be here. I too am a graduate of Michigan Tech University in the class of 2000. I am also proud to say that my son is an Alumni of Michigan Tech, class of 2020, currently employed as well and I’m very happy about that. I’m here today to present a special tribute to the COVID lab at Michigan Tech. This has been an incredible achievement known around the state and I hope around the country, that the University, Michigan Tech, took a step forward and created a laboratory to process COVID tests to get things under control in the Western UP and across the whole peninsula. Madam Chair, I’d like to present this to you, on behalf of myself, Senate McBroom, the Governor, and the State of Michigan, we present this special tribute. Brenda Ryan, Chair: Thank you, Representative Markkanen for your kind words and for your role in initiating the COVID-19 testing lab. Michigan Tech is pleased to have been able to provide this resource to the Upper Peninsula during such a challenging time. The faculty, staff, and students who have worked so hard to establish and operate the COVID-19 testing lab are the true heroes in this story and we thank them for all of their hard work over the past year. VI. PUBLIC COMMENT PERIOD

Elise Rosky Good morning. My name is Elise, I’m a 3rd year PhD student in the physics department, and a member of KYCA, the Keweenaw Youth for Climate Action. Many of our undergrad members would have been here today as well, but are busy with their finals.

One reason we came to address the board today is to present KYCA’s petition asking MTU to divest from fossil fuels, and invite you to celebrate with us, as we have hit our first goalpost of 750 signatures! This number is the equivalent of over 10% of the Michigan Tech student body.

The signatures come from 561 students, 44 staff and faculty, 83 alumni, and 62 Keweenaw 11249 Formal Session of the Board of Trustees - Agenda 4/30/2021

community members. This petition has also been formally endorsed by the Tech Forward Initiative and by local church boards.

We will continue to gather signatures, but it’s empowering to see so many people engage in our call for divestment in just the past seven months, all while socially distancing during the pandemic.

Recently KYCA has been very happy to be able to meet and discuss fossil fuel divestment with President Koubek and Dr. Roberts. We really appreciate being able to have this open discussion. I wanted to take this opportunity to provide KYCA’s perspective on the recent progress. We first want to sincerely thank you for being open about the 3.6% invested in FF, about 1.2 million dollars, as well as the similar amount invested in green energy. We understand that full divestment will happen in stages and one step being worked on is an FF free option for new donors. We know that MTF wants to give donors options until it’s crystal clear that FF investments no longer provide the highest ROI. KYCA’s stance is that an opt-out option would be fantastic, with new investments automatically going to FF free options unless donors specify otherwise.

Lastly, we are really encouraged to hear that the broader topic of ethical, socially responsible investing is being discussed amongst the TF board. I think the majority of students and members of MTU would be proud to see that for MTU’s finances. When coming to a decision on what MTU considers ethical and socially responsible, we implore you to look to the campus organizations whose focus is on those goals. Evan Lanese Greetings Board Members my name is Evan Lanese. I am an Alumni of the Graduate School at MTU, a member of Keweenaw Youth for Climate Action (KYCA), a valued employee for Chicken Tramper Ultralight Gear which is a swiftly growing local business in Hancock founded by two tech alumni, and most importantly a local community member involved in various other community groups and devoted to promoting a healthy future for all of us.

While I am proud of the people that have stood up and signed our petition, I fear that these large fossil fuel corporations, although some have masked their negative influence by investing in green energy programs, are intentioned for their own gain above all else, while leaving others behind. While I don’t have time to elaborate, I have witnessed firsthand, multiple accounts of what happens to minority groups trying to stand up for their communities but are instead overshadowed by the wealth of big oil.

Investing in companies that are committed to promoting and working with all people, and demonstrate so by their actions of aid, rather than coaxing “agreements” with the promise of capital, is paramount. Many of these communities have a hard time turning down these funds which their communities desperately need.

Wealth equals power in today's world, as an individual I can only contribute so much but the wealth and power held by this council holds comes with a vast amount of ethical and social responsibility.

Our university states under our third learning goal: Self-awareness 11250 Formal Session of the Board of Trustees - Agenda 4/30/2021 to “Demonstrate their responsibility and understanding for responsible and ethical choices.” Thus, it is important that our investment portfolio is also held to this standard.

Do we want to be a university that follows in the wake of others to catch up with the times or one that leads strongly by example for others to follow thus creating a future that supports all of us?

The pandemic has been hard for many but provides a opportunity to build back together. As I have been the primary organizer, with the help of KYCA, for a successful local community fruit tree project in Houghton/Hancock I have seen that when a community supports each and works together, they can create something truly beautiful. Thank you for your time.

Gabriel Ahrendt My name is Gabriel Ahrendt and I am a PhD student in the Geological Mining and Engineering Sciences department, as well as a member of the Keweenaw Youth for Climate Action. As Elise mentioned, we are a student group active in pushing sustainability and environmental justice in the community. We have been very inspired by the leaps and bounds Tech has made in sustainability over even just the 2 years that I have been here. The HSTEM building, the incoming sustainability coordinator, and the SFI have all been a great boon to engaging students in sustainability and we really would love to see that momentum carried forward through 2021 and beyond. We would especially love to see Tech take this notion of sustainability to heart in its goal to achieve a High STARS AASHE rating by disclosing the breadth of its investments, creating a committee on investor responsibility, and most importantly reinvesting the money it has in fossil fuels into sustainable practices, all of which could add up to 8 points on the school’s rating.

We are also greatly inspired by the various student groups that have taken up the mantle of sustainability and have seen great success in their endeavors to make Tech and the entire Keweenaw a force of environmental change. Sustainability demonstration House’s waste drives have been a huge boon to a community as rural ours. Students for Sustainability’s compost program has helped connect students to local farms and found a way to make something beautiful out of something as gross as food waste. Climate Reality Corps’ S-VES-CA (Student vision for environmental stewardship and climate action) campus plan looks to take input from students to incorporate into Tech’s master plan, ensuring an environmentally friendly campus. It has been a pleasure for KYCA to work with these student groups as the Climate Triad, and their commitment to lifting each other up has truly been inspirational. There are so many more campus initiatives, like Mr. Lid and Hotforest that I don’t even have time to comment on that show just how bright a beacon of sustainability Tech is becoming.

All that being said, we know that students require an environment of sustainable diversity and inclusion to be able to promote these ideas and allow them to flourish, and now speaking as a Tech student more than anything, I would like to encourage Tech to take more action on the recent letters written by Jeffrey Burl and Jaroslaw Drelich that do anything but foster the kind of environment that allows innovation and creation to grow. This topic is still a contentious one amongst students who are talking amongst each other and looking to the school to feel protected, to feel that they are not being discriminated against by professors who refuse to see the plight of being anything other than a heteronormative white male. I think if we want to talk about sustainability in any kind of holistic sense, this should be addressed in a more actionable way that aligns with Tech’s mission to create the Future. 11251 Formal Session of the Board of Trustees - Agenda 4/30/2021

Thank you for your time

We will now hear the committee reports. Trustee Bacon, will you present the Academic Affairs report.

VII. COMMITTEE REPORTS VII-A. Academic Affairs Committee In a nut shell, there are two things the committee is focused on: 1) allowing a safe re-entry into the academic climate for student next fall, so the heat shield does not burn up. We are looking for several accommodations there with testing. Beefing up our social programs including the ExSEL peer mentoring program for the fall. We are also working on housing contracts, trying to make those more consistent and reliable, December on, so that people can plan accordingly. Child care is also on the docket including on-demand care for snow days. 2) the latest and the biggest item on our docket is reworking the evaluation system for both the Chairs and Deans, on one hand, as well as other faculty members evaluated by students. We hope to have that completed by October of this year, 2021. Whether we work with the FSA or not, we certainly want to, we’ll have a new program in place by December, no matter what. That is the report from the academic side with one very happy item to add, which is Lecturer promotions. I am proud we have a robust program for this to recognize the hard work, so many teachers do great work and heavy lifting at this university. From Lecturer to Senior Lecturer, the promotions include the following individuals: Lecturer to Senior Lecturer • Tina Collins, Chemical Engineering • Danny Jacob, Humanities • Nathan Manser, Geological and Mining Engineering and Sciences • Laura Rouleau, Social Sciences • Theresa Woods, Mathematical Sciences

Senior Lecture to Principal Lecturer • Jonathan Leinonen, College of Business

I’m even more impressed by these folks as I’ve taught at the University of Michigan as a Lecturer for sixteen years and never received a promotion. Trustee Littmann will now present the Audit and Finance Committee Report. VII-B. Audit and Finance Committee Jeff Littmann, Chair 11252 Formal Session of the Board of Trustees - Agenda 4/30/2021

Thank you, Chair Ryan. The Audit and Finance Committee has met once since the last Board meeting. The financial position and outlook for FY21 was reviewed by the committee which included the tax position and the third quarter financial results, along with the general fund and current fund projections, based on 3rd quarter actuals. In preparing and planning for next fiscal year, the Trustees reviewed the fiscal year 22 general fund operating budget which reports on the planning parameters, reallocation summary, room/board, tuition rates and fees, state appropriations, and the federal HEERF funds and expenditure numbers. The fiscal 21 external audit engagement was reviewed by Vicky VanDenBerg, the partner at Plante Moran and her team, along with a report on internal observations and fiscal year 22 audit schedule my Michigan Tech’s internal audit department. The Audit and Finance Committee brings forth the following action items to the full Board for consideration: • Resolution to approve FY22 general fund operating budget • Resolution to approve FY22 room & board, and apartment rental rates • Resolution to approve revision to Board policy 8.9 Experience Tech Fee Other items reviewed by the Audit and Finance Committee include: • Presentation of long-range financial planning • 5-year financial modeling software installation • Refinancing scenarios and Moody’s rating update visit • Financial reserve guidelines • Investment performance • Internal controls update • Capital projects update • Audit and financial planning matrix Our investment results at Michigan Technological University and the Michigan Tech Fund has strengthened our consolidated balance sheet. In addition, the Board has spent considerable time planning for smart growth and catching up on much needed attention to the physical campus. We look forward to our work with President Koubek and his team as we examine and prioritize the needs and identify all the levers available to finance this effort. That concludes our report thereof.

Trustee Tomaszewski will now present the Leadership Committee Report. VII-C. Leadership Committee Steve Tomaszewski, Chair Thank you, madam Chair. The Committee met yesterday, April 29, 2021, with a primary focus on the goals, objectives, and counter measure plans relative to the primary vision from leadership. MTU will expand its national presentence, with a focus on diversity and students. 11253 Formal Session of the Board of Trustees - Agenda 4/30/2021

Within that vision, there are sixteen (16) core elements that Dr. Koubek and the team reviewed and I’m happy to say that they are all on track for completion despite many challenges associated with the last twelve (12) COVID months. But in general, I’ll cover a couple of the goals. We talked about a 5% increase in graduate enrollment; expanding our lower peninsula presence; hiring a VP of Diversity and Inclusion; the campus master plan which is exciting to see; and establishing a Diversity, Equity, and Inclusion hiring panel which will take us into the future, similar to what my colleague Derhun talked about in the opening comments. We then stepped back and Dr. Koubek talked about his first days coming on board, working with the team here at Michigan Tech, and jointly developing a plan for the future. The plan’s primary focus is on being a premiere national university positioned to lead into the fourth industrial revolution. As President Koubek went through the vision which started several years ago, he took us back to the phased approach where Michigan Tech will be ten (10) to fifteen (15) years from now. My hat is off to Rick, the executive team, the faculty, and the community of Houghton for your passion for students, student success, and the future of this organization. One item we will talking about later will be Chair and Vice Chair positions coming up but that was discussed as well. This concludes the comments for the Leadership committee.

IX-C. RESOLUTION APPROVING CONVEYANCE OF PROPERTY FOR THE PERFORMING ARTS AND EDUCATION CENTER PROJECT

The Board of Control approved the construction of the Performing Arts and Education Center Project as a part of the State Capital Outlay process. The building was later named the Rozsa Center.

The Performing Arts and Education Center Project was authorized and funded by the State of Michigan with a 75% match from Michigan Tech. As part of the State funding process, the State Building Authority sold bonds to relieve Michigan Tech from cash flow burden of the project. As a result, the State Building Authority became owner of the facility and assumed the debt.

The bonds issued by the State Building Authority for the Performing Arts & Education Center project have been paid in full. Michigan Tech is now eligible to request reconveyance of the property which was titled to the State Building Authority pursuant to the project financing and underlying Lease. In order to accomplish this result, the State Building Authority will need a formal request for reconveyance from Michigan Tech.

Included herein is a resolution Approving the Conveyance of Property for the Performing Arts and Education Center Project, a Quit Claim Deed to reconvey the property and a copy of the legal description.

RECOMMENDATION: That the Board of Trustees approves the Resolution Approving Conveyance of Property for the Performing Arts and Education Center Project and authorizes the Administration to execute the necessary documents for reconveyance of this property. IX-D. RESOLUTION APPROVING CONVEYANCE OF PROPERTY FOR THE ENGINEERING SCIENCES AND ENGINEERING BUILDING PROJECT

The Board of Control approved the construction of the Environmental Sciences and Engineering Building Project as part of the State Capital Outlay process. The building was later named the Dow Environmental Sciences and Engineering Building.

The Environmental Sciences and Engineering Building Project was authorized and funded by the State of Michigan with a 31% match from Michigan Tech. As part of the State funding process, the State Building Authority sold bonds to relieve Michigan Tech from cash flow burden of the project. As a result, the State Building Authority became owner of the facility and assumed the debt.

The bonds issued by the State Building Authority for the Environmental Sciences and Engineering Building Project have been paid in full. Michigan Tech is now eligible to request reconveyance of the property which was titled to the State Building Authority pursuant to the project financing and underlying Lease. In order to accomplish this result, the State Building Authority will need a formal request for reconveyance from Michigan Tech.

Included herein is a resolution Approving the Conveyance of Property for the Environmental Sciences and Engineering Building Project, a Quit Claim Deed to reconvey the property and a copy of the legal description.

RECOMMENDATION: That the Board of Trustees approves the Resolution Approving Conveyance of Property for the Environmental Sciences and Engineering Building Project and authorizes the Administration to execute the necessary documents for reconveyance of this property. OSHA has established specific calculations that enable the University to report the Recordable Injuries, Lost Time Case Rates and Frequency Rates. The Standard Base Rate (SBR) calculation is based on a rate of 200,000 labor hours which equates to 100 employees who work 40 hours per week for 50 weeks per year. Using the SBR allows the University to calculate their rate(s) per 100 employees.

1 The Lost Time Case Rate is calculated by multiplying the number of Lost Time Cases by 200,000 then dividing by the labor hours at the University. 2 The Frequency Rate is calculated by multiplying the number of recordable cases by 200,000 then dividing by the labor hours at the University. 3 The number of days are total days for the life of the cases first reported during this period.
