Whereas, US Airways, Inc. (“US Airways” or the “Company”) is expected to merge with American , Inc.(“”) in the third quarter of 2013; and

Whereas, US Airways, Inc. and the Customer Service Employee Association, IBT-CWA (the “Parties”) recognize that following the close of the merger the passenger service employees at US Airways, Inc. will be integrated over time with their counterparts at American Airlines, Inc.; and

Whereas, the Company plans to promptly merge systems and procedures and to provide seamless service and a single product to customers; and

Whereas, the Parties mutually desire to ensure that all passenger service work and service to customers during this period is seamless and efficient;

The Parties now therefore agree as follows:

Performance of Work

In order to ensure that customers of US Airways and American Airlines (or, after completion of the eventual merger of the two airlines, customers of the merged airline) receive an efficient and seamless passenger service experience, effective on the closing of the merger pursuant to the Agreement and Plan of Merger made on February 13, 2013 between US Airways Group, Inc., AMR Corporation and AMR Merger Sub, Inc. (the "Merger"), passenger service employees of US Airways may perform passenger service work for American Airlines and passenger service employees of American Airlines and vendors engaged by American Airlines may perform passenger service work for US Airways. Additionally, management personnel of the merged carrier with oversight of passenger service may perform covered work as provided for under the Collective Bargaining Agreement.

Notwithstanding the foregoing, US Airways passenger service work schedules and work assignments shall not be reduced, and no US Airways passenger service employee whose name appeared on the seniority roster on the closing date of the merger shall be displaced solely as a result of the performance of passenger service work by passenger service American Airlines employees and vendors as described in the preceding paragraph. However, nothing herein shall limit the Company’s authority to displace, reduce work hours or change work schedules and work assignments generally or with respect to any employee for any reason other than the performance of US Airways passenger service work by American Airlines employees and vendors, without limitation, including, but not limited to, flight schedule changes, modification and/or realignment of work schedules, technology/efficiency improvements and changes in demand.

Furlough Protection

No US Airways Inc. passenger service employee whose name appeared on the seniority roster on the closing date of the merger will be furloughed. This provision does not apply to employees who fail to exercise their seniority to the fullest extent possible to any position offered on the system or to any employee hired after the closing date of the merger.

Force Majeure

The provisions described under Furlough Protection above shall not apply in circumstances where the Company’s non-compliance is caused in substantial part by Conditions Beyond The Company’s Control. “Conditions Beyond The Company’s Control” shall include, but not limited to, the following: (1) an act of God; (2) a strike by any other company employee group or the employees of a Commuter Air Carrier operating pursuant to an authorized codeshare arrangement with the company; (3) a national emergency; (4) involuntary revocation of the company’s operating certificate(s); (5) grounding of a substantial number of the company’s aircraft; (6) a reduction in the company’s operation resulting from a decrease in available fuel supply caused by either governmental action or by commercial suppliers being unable to meet the company’s demands; and (7) the unavailability of aircraft scheduled for delivery.

Effective Period

The provisions of this Attachment A will become applicable following the close of the merger and remain in effect until and terminate immediately upon, Operational Employee Integration, unless the Parties mutually agree otherwise. Operational Employee Integration is defined as the time that the Company integrates the Passenger Service employees of former US Airways Inc. and American Airlines Inc. into a single entity, under a combined seniority list and single agreement.
