This Memorandum Of Understanding (hereinaftel referred to as "MoA" is made and entered into 25.g.2010 by and between the Shri Kalavara Varadaraj M Shetty GFGC Koteshwara, Kundapura -576 22 (herein after referred as the college) which is established in 2007 by the Government of Karnataka on behalf of itself and acting through the Trustee of Ramee Foundation and Charitable 'fruSt,'Koteshwara (herein after referred as the Trust)

Purpose of this MoA:

The main purpose of MoA is promoting higher education to the needy community by extending moral, financial and infrastructural assistance by the trust through the college.

Terms and Conditions of this MoA:

1. The name of the college to be changed to Sri Kalavara Yaradaraja M. Shetty Government First Grade College, Koteshwara. . 2. The trust shall grant the required funds for the establishment of buildings apart from government grants. 3. The students of the college shall be oriented and motivated towards higher eciucation and higher achievement in life by the trust by inviting highly successful people to the campus.

4. The trust shall provide sufficient learning infrastructure and resources from time to time depending on requirement of student's apart from government grants. 5. The trust shall promote higher education especially among girls by providing needed financial assistance and free-ships' its affiliated 6. ! Confidentialitv:

Each part shall maintain complete confidentiality of any information of the other, disclosed during the term of this M.O.U. ln no event shall either party be liable for any indirect, incidental, special, consequential damages including but not limited to loss of profits, revenue, data or use incurred by the other party in connection with, arising out of or under this M.O.U. save for any such loss suffered resulting from any wilful and grossly negligent act or omission of either of the parties, neither this M.O.U. nor any activities described herein shall be construed as creating a partnership, joint venture, agency or other such relationship. Both parties agree that this M.O.U. represents a non exclusive relationship between the parties and nothing contained herein shall preclude either party from participating/initiating similar relationship with third parties.

o This M.O.U. may not be amended without the prior written consent of both the \ parties o This M.O.U. will be effective for five years lrom t7103/2OLO to L6/312021. This agreement can be renewed based on mutual convenience.

Termination:

Both the party can cancel or terminate this Agreement unilaterally (and without reason), by giving an advance written notice of one month to the other.

Each of the party shall defend, indemnify and hold the other party harmless from and against any claim, liability, loss, costs or expenses (including reasonable Attorney's fees) arising out of or resutting from the material breach of the provisions herein'

COMPREHENSIVE ANNUAL MAINTENAN CONTRACT

This agreement is made at Koteshwara on date 25th day of September 2016 between the Principal, Shri Kalavara Varadaraj M. Shetty Government First Grade college, Kundapura, Post:Koteshwara herein after referred to as First Party and M/S COMP CARE (Comptete Computer Solutions), herein after retbrred to as the Second Party with its registered office at ls Floor, Srusti Towers, N.H.-66' Ankadakatte, Koteshwar-576222 for the maintenance services under the Maintenance Contract comprising of preventive and corrective maintenance of desktops, Laptops, Scanners, Printers, LAN, configuring computer operating system, troubleshooting of reported computer or network problems,

refilling of toner of printer and Copier machine and associated peripherals as per Annexure enclosed.

Whereas the first party has the Computer Equipment and Peripherals stated in this agreement hereof and is now desirous of availing the Comprehensive

Maintenance Services for its Computer Equipment and Peripherals installed at the address of the first party as mentioned above .

And WFIEREAS the Second party is pleased to accept the offer and has agreed to perform the said maintenance services of Computer Equipment and

Peripherals as per the annexure.

And WHEREAS the first party is desirous of entering into a service agreement with second party from 25th September 2016 for providing Comprehensive Annual Maintenance service for the items mentioned in the annexure installed at the address stated above. Terms and Conditions:

1. The service request should have to be attended within four days from the date of request. 2. Service is to be carried out in the offrce premises itself. 3. The firm will be responsible for the data recovery and data security in

case of system failure and crashing of hard disk of any computer system under AMC. 4. Replacements of all parts should be of same brand as original. 5. In case of any emergency attending the same is mandatory. 6. During the contract period the service provider will inspect the machines to minimize the breakdown regular weekly site visit, also to provide any

assistance required. 7. The rate must include cost of all spare items and labour charges. 8. Payment will not be made in advance instead will be done as and when the service is received. 9. Undersigned will reserve the right to terminate the AMC without assigning any reason. l0.Subject to satisfactory performance AMC may be extended annually.

This renewal of contract made at Koteshwara on date 17th Jul 2018 between the Principal, Shri Kalavara Varadaraj M. Shetty Government First Grade college, Kundapura, Post:Koteshwara herein after referred to as "CLIENT" and Niranthara Enterprises, herein after referred to as the "CONTRACTOR" with its registered office at Amshu Arcade, Halady Road, Koteshwar-576222 for the maintenance services under the Maintenance Contract comprising of preventive and corrective maintenance of UPS and Batteries as per Annexure ' enclosed.

Whereas the "CLIENT" has the UPS and Batteries stated in this agreement

hereof and is now desirous of availing the Comprehensive Maintenance Services for its UPS and Batteries installed at the address of the "CLIENT" as mentioned above.

And WHEREAS the "CONTRACTOR" is pleased to accept the offer and

has agreed to perform the said maintenance services of UPS and Batteries as per the annexure.

And WHEREAS the "CLIENT" is desirous of entering into renewal of service agreement with "CONTRACTOR" from 17th Jul 2018 for providing Comprehensive Annual Maintenance service for the items mentioned in the annexure installed at the address stated above.

l. The AMC will remain valid for 12 months, commencing from 17 July 2018 to 16 July 2019. The Annual Maintenance Contract may be further extended with the mutual consent of both parties.

2. Under this AMC the agency is agreed to carry out the servicing and maintenance of UPS upto 50 KVA

3. The AMC shall be on non comprehensive of basis which includes service /maintenance no any extra charges shall be paid to the contractor in this account. 4. Advance of payment shall not be made. Payment will not be made in

advance instead will be done as and when the service is received.

5. The agency staff shall inspect the battery cabinets of UPS and clean the battery terminals if rusty in the preventive maintenance.

6. Ensuring the safety of the equipment and peripherals. 7. The maintenance shall constitute preventive maintenance and corrective of UPS and battery for upkeepment for satisfactory functioning. During the contract period the service provider will inspect the machines to minimize the breakdown regular weekly site visit, also to provide any assistance required.

8. The service request should have to be attended within 2-4 hours from the time of request. 9. Service is to be carried out in the offrce premises itself.

l0.Replacements of all parts should be of same brand as original. ll.Emergency visits shall carried out as per the response time mentioned

under clause.8 l2.Undersigned will reserye the right to terminate the AMC without assigning any reason.

address stated above. Terms and Conditions: l.The contract shall be for a period of one year from which the contract is signed.

2.The aim of AMC is to get the specified services smoothly from the existing Hardware and Software under Network.

3. Machine down time should not be more than24 hours from the time of report of fault. In case of failure and if however it takes longer time fully functional standby / replacement should be given Service is to be carried out in the office premises itself.

4. The firm will be responsible for the data recovery and data security in case of system failure and crashing of hard disk of any computer system under AMC.

6. Replacements of all parts should be of same brand as original

7. AMC will include functioning of all the installed hardware and other accessories

installed during the operation of the contract This would include the attached peripherals also.

8. The number of PCs/peripherals under AMC mentioned in list can be increased or decreased at the discretion of this office 9. Consumables like floppies, printer ribbons, toner, cartridge tapes and stationary will not be included in AMC. The printer heads &cables, Monitor picture tubes, battery for SMPS & Main board, LAN cards, printer knobs, keyboards, fuse, Networking cables and a1l other components of FVw shall be included in the AMC. 10. Contractor shall depute qualified engineer to attend maintenance call full time at our site for all working days and if required on holidays also. No person below the age of l8 years shall be deputed to this office.

I l. Contractor should provide the following type of services a Preventive maintenance a Corrective maintenance

O Software services for system operations o Assistance in FVw & S/w Upgradation 12. Contractor shall visit this office at least once in a month to discuss the problems and their immediate rectification.

13. Contractor shall not subcontract the hardware maintenance jobs to any outside agency including their franchisee 14. Payment will not be made in advance instead will be done as and when the Service is received. 15. Undersigned will reserve the right to terminate the AMC without assigning any reason. 16. Subject to satisfactory perforlnance AMC may be extended annually.
