HOST CITY CONTRACT

FOR THE 2019 EUROPEAN MASTERS GAMES Executed in ...... on the ...... day of ...... between: The INTERNATIONAL MASTERS GAMES ASSOCIATION (IMGA) represented by its President, Mr. Kai Holm and its Chief Executive Officer Mr. Jens V. Holm, duly authorized for all purposes hereof (hereinafter “IMGA”)

on the one hand and: THE City of Torino, represented by its Mayor, Chiara Appendino authorized for all purposes hereof (hereinafter “ the City of Torino")

on the other hand

PREAMBLES

A. Whereas IMGA is a non-for-profit international association recognised by the International Olympic Committee (IOC), with seat and offices in , ;

B. Whereas IMGA owns the European Masters Games an international multi-sport event for Masters benefiting from the patronage of the IOC as well as all rights and data relating thereto, in particular all rights relating to their organisation, exploitation, broadcasting, recording, representation, reproduction, access and dissemination in any form and by any means whatsoever, whether now existing or developed in the future;

C. Whereas IMGA wants the European Masters Games to be organised every four years under its supervision;

D. Whereas the City of Torino has requested IMGA to consider its candidature with the City of Torino to host the 2019 European Masters Games (hereafter "the Games");

E. Whereas IMGA at its Board Meeting of September 2, 2016 in Vancouver, has carefully considered the candidature of the City of Torino with those of the other candidate cities;

F. Whereas IMGA has taken note and has specifically relied upon the undertaking of the City of Torino to stage the Games in full compliance with the “Candidature Guidelines” and Conditions for Hosting a European Masters Games established by IMGA (hereafter "the Guidelines"), with this contract and with the requirements of IMGA and in accordance with its bid documents and budget.

G. Whereas it is the mutual desire of IMGA, the State and the City of Torino that the Games be organised in the best possible manner which best promotes and enhances the long term interests of the Masters Sports Movement and take place under the best possible conditions for the benefit of the Master athletes of the world;

 H. Whereas the City of Torino acknowledges and accepts the importance of acquiring and transferring knowledge gained in the course of planning, organising and staging the Games to IMGA who will pass it on to future host cities and/or Organising Committees of the European Masters Games;

I. Whereas in reliance upon the matters referred to above, IMGA has elected the City of Torino proposed by the City of Torino as the host city of the 2019 European Masters Games and has accepted the City of Torino as its responsible partner for all rights and obligations related to the Games;

J. Whereas the parties agree that the foregoing Preambles shall form part of this Contract;

NOW THEREFORE, IN CONSIDERATION OF THE FOREGOING, THE PARTIES HERETO HEREBY AGREE AS FOLLOWS:

I. BASIC PRINCIPLES

1. Organisation of the Games

IMGA hereby entrusts the organisation of the Games to the City of Torino, which undertakes to fulfil its obligations in full compliance with the content of the Guidelines, with its bid documents and the budget contained in said bid documents, with the provisions of this Contract and with the requirements of IMGA.

2. Evolution of Contents of Guidelines and Other Directions

The City of Torino recognizes that while the contents of the guidelines and other directions which are contained in this Contract (including its appendices), represent the current position of IMGA on such matters, such material may evolve as a result of technological and other changes, some of which may be beyond the control of the parties to this Contract. IMGA reserves the right to amend such guidelines and other directions. It is the responsibility of the City of Torino to adapt to such amendments so that the Games will be organised in the best possible manner. However, should any such amendment result in material adverse effects on the financial and other obligations of the City of Torino, it shall so inform IMGA, demonstrating such material adverse effects. IMGA shall then negotiate with the City of Torino, in order to address such adverse effects in a mutually satisfactory manner, provided that in no case such negotiations shall reduce the payments owed to IMGA hereunder or conflict with the fundamental goals of promoting Master sports throughout the European Masters Games.

3. Prior Agreements of No Effect

Subject to Section 8 below, the City of Torino hereby declares and agrees that any undertaking or agreement concluded, approved or consented to prior to the execution of this Contract and having any connection whatsoever with the Games shall, as regards the application and implementation of this Contract, be null, void and entirely without effect, unless approved in writing by the IMGA.

The City of Torino shall be responsible in respect of all damages, costs and liabilities of any nature, direct or indirect, which may result from a breach of this provision.

 4. Formation of the Organising Committee of the Games

The City of Torino shall, not later than three months following the execution of this contract, form an Organising Committee for the Games (hereinafter the "OCOG") which shall be a legal entity under the laws of the host country in a manner which provides for the maximum benefit and efficiency with respect to its operation and its rights and obligations under this contract, including a tax structure which most probably enables the OCOG to address its tax issues on a national and international basis. All agreements and constituting documents relating to the incorporation and existence of the OCOG shall be submitted to the IMGA for approval. At least one member representing and designated by the City of Torino should be included among the members of the Board of Directors and Executive Committee of the OCOG. The formation of OCOG shall not relieve the City of Torino of any obligations agreed to by it under this agreement.

5. Responsibility for the City and the OCOG

The City of Torino and the OCOG shall be jointly and severally liable for all commitments entered into individually or collectively concerning the organisation and staging of the Games, including all the obligations deriving from this contract, including all financial commitments.

6. Rights and Benefits granted by IMGA to the City.

In consideration of the obligations contained herein and in order to assist the City of Torino and the OCOG to organise the Games as contemplated in this Contract, IMGA hereby agrees that:

° The City of Torino and the OCOG shall be entitled to use, in respect of marketing and other initiatives approved by the IMGA and as contemplated in this Contract, the IMGA logo, the name "International Masters Games" or "European Masters Games" and the mascot to be designed by the OCOG, for its own benefits. The OCOG shall be entitled to use the logo, name and mascot, but not later than the end of 2019.

¢ The City of Torino and the OCOG shall be entitled to retain 100 % (minus possible local tax) of the revenues generated from all forms of ticket sales pertaining to the Games.

£ The City of Torino and the OCOG shall be entitled to retain 100 % (minus possible local tax) of the revenues generated from all forms of advertising in programmes, tickets, stadia, halls, etc.

§ The City of Torino and the OCOG shall be entitled to retain 100 % of the net sponsorship fees paid by sponsors of the Games.

• The City of Torino and the OCOG shall be entitled to retain 100 % (minus possible local tax) of the fees paid by media and broadcasting companies for the national coverage of the Games. In addition, IMGA shall grant to the OCOG 50 % of the net proceeds from such rights outside the country where the City of Torino is located as well as from any Internet agreements directly related to the Games.

¶ The City of Torino and the OCOG shall be entitled to request each participant to pay registration and participation fees, an addition of EUR 5,- will be added to this fee and retained by the IMGA to cover games operational software cost. The registration and participation fees have to be approved in writing by the IMGA.

 The rights and benefits granted by IMGA pursuant to this contract shall, unless otherwise stated in this contract, expire on December 31 st , 2019.

All rights and benefits not expressly granted by IMGA to the City of Torino and/or to the OCOG are hereby reserved by and to IMGA.

7. Indemnification and Waiver of Claims against IMGA

The City of Torino and the OCOG jointly and severally undertake to indemnify, hold harmless and exempt IMGA, its governors, officers, members, directors, employees, consultants, agents, contractors and other representatives from all payment in respect of any damages suffered by IMGA over its own assets, including all costs, loss of revenue and also damages that IMGA may have to pay to third parties resulting from all acts or omissions of the City of Torino and/or the OCOG relating to the Games, including, but not limited to, force majeure. Furthermore, the City of Torino and the OCOG hereby jointly and severally waive any claim against IMGA, its officers, members, directors, employees, consultants, agents, contractors or other representatives for any damages, including all costs resulting from acts or omissions relating to the Games, including, but not limited to, force majeure as well as any performance, non-performance, violation or termination of this contract. The indemnification waiver shall not apply to wilful misconduct or gross negligence by IMGA.

The City of Torino and the OCOG shall conclude all necessary insurances to cover any risk related to the staging of the Games and all their obligations towards IMGA, the participants, etc. In particular, the City of Torino and the OCOG shall carry all-risk liability insurance of not less than EUR 5 million per incident and such policies shall name IMGA, its officers, directors, employees and member organisations as additional insured.

8. Representations, Warranties and Covenants shall be Binding

All representations, warranties and covenants contained in the City of Torino 's bid documents such as the budget in Appendix A, as well as all other commitments made, either in writing or orally by the City of Torino 's candidature committee and the City of Torino to IMGA, including those made at the IMGA Board Meeting of Vancouver on September 2 nd 2016, shall be binding unless agreed otherwise by the IMGA in writing.

II . PRINCIPLES OF PLANNING, ORGANISATION AND STAGING

9. Time of event The City of Torino agrees to host the European Masters Games between 26 h of July – 4th of August 2019. Any change to these dates must be approved by the IMGA in writing.

10. OCOG to be made a Party to this Contract

The City of Torino hereby undertakes within one month after the OCOG's formation:

° To cause the OCOG to intervene as a party and adhere to this Contract to the effect that all of the terms and conditions of this contract relating to the OCOG and all the rights and obligations of the OCOG provided for in this contract shall be legally binding upon the OCOG, as if it were a party hereto and to forward to the IMGA written confirmation thereof; and

¢ To obtain and to forward to the IMGA written confirmation from the OCOG that it is jointly and severally liable together with the City of Torino for all obligations and commitments entered into by any one of them concerning the organisation and staging of the Games, including the financial matters.

11. No inconsistent Commitments or Activities

With respect to the principles governing the European Masters Games and the terms of this contract, the City of Torino and the OCOG hereby confirm:

° That the Games shall be staged in a dignified manner, as an independent event and not in connection with, nor at the same time as, any other international or national event such as a fair or exhibition and that, except for the events mentioned at Art. 26 of this contract, no other important meeting or event, national or international, is to take place in the City itself or its neighbourhood during the Games;

¢ That the City of Torino shall not use the Games to serve any purpose other than the interest of the Masters Sport Movement worldwide;

£ That no agreement be entered into, having any connection with the Games, between the OCOG and any national or regional organisation (whether governmental or non- governmental), without the approval of the IMGA;

§ That no negotiations shall take place nor agreements be entered into, having any connection with the Games between the OCOG and any international or supranational organisation (whether governmental or non-governmental), or foreign states, without prior written approval of the IMGA, and

• That no invitations or accreditations shall be issued, having any connection with the Games to any foreign governmental or political personalities without the prior approval of the IMGA or of its President.

12. Transportation

The OCOG shall provide a reliable system of transportation for all participants, delegates and officials, subject to the approval of IMGA Board of Governors. The OCOG will enter into agreements with companies that deal with urban public transport in order to obtain “free of charge or with discounts” the transport for the participants during the games. The OCOG will be in charge of transfers to the competition venues not served by public transport, organizing transportation with departures from the Registration and Accreditation Centre.

13. Environmental Protection

The City of Torino and the OCOG undertake to carry out their obligations and activities under this contract in a manner, which embraces the concept of sustainable development, and environmental protection that complies with applicable environmental registrations and serves to promote the protection of the environment.

14. General Organisation Plan of the OCOG

As soon as possible, but in any event not later than three months after the signature of the present contract, the OCOG shall submit a general organisation plan and the master plan of the OCOG and of the Games to the IMGA for its approval. These plans shall not be materially different from the plans and budget submitted with the bid documents. All changes to such general organisational plan and/or master plan shall be subject to the prior written approval of the IMGA. The OCOG shall provide to IMGA, at OCOG's cost, on a regular basis, as requested by the IMGA, details regarding the OCOG's general organisation and master plan. Without limiting the generality of the foregoing, OCOG shall provide to IMGA information and relevant documentation, including statistics, regarding the coordination and organisation required for the strategy of the Games (e.g. regarding human resources, accommodation, transportation, volunteers). In the event that such information or documentation does not exist in English, the OCOG shall be responsible for providing a summary (at such level of detail as may be requested by the IMGA) of such information and documentation in English.

15. Security

Responsibility for all aspects of security is a matter to be dealt with by the appropriate authorities of the Host Country. The City of Torino and the OCOG shall ensure that all appropriate and necessary security measures shall be taken accordingly in order to guarantee the safe and peaceful staging of the Games.

16. Visas

The City of Torino and the OCOG shall do their utmost to make sure that all participants and accredited people get the necessary visas to enter the country.

17. Medical Health Services and Drug Testing

The City of Torino and the OCOG shall be responsible for making available medical and first aid service at all venues during training and competitions as described in the Guidelines. Drug tests will be conducted in accordance with the IMGA Anti-Doping Rules, the Guidelines and the Olympic Movement Anti-Doping Code.

18. OCOG Progress Reports

The OCOG shall forward to the IMGA a yearly report in English on the progress of the preparation of the Games. Commencing two years before the opening ceremony of the Games, such report shall be forwarded half-yearly. Moreover, the OCOG shall promptly provide oral and written reports for the IMGA whenever requested by the latter. Decisions taken by the IMGA following such reports shall be acted upon immediately by the OCOG.

19. OCOG Mutual Assistance; Transfer of Knowledge; Archives and Records Management

IMGA shall share its knowledge and expertise, which it has acquired over the years to assist the OCOG in relation to the planning, organisation and staging of the Games. Similarly, the OCOG undertakes to share its knowledge and expertise in relation to the planning, organisation and staging of the Games to assist IMGA and future Organising Committees of the Games as requested by IMGA. In particular, the OCOG shall provide to IMGA, free of charge, and as reasonably requested at any time by IMGA, all documents and materials in relation to all aspects of the planning, organisation and staging of the Games.

 Without limiting the generality of the foregoing, the OCOG shall provide to IMGA, free of charge, the data bases of customer’s information with full demographic and profiling data relating to all customers of Games - related products and services. The OCOG shall not provide such documents, materials, databases, software systems and contacts to third parties without the express prior written approval of the IMGA.

III. ORGANISATION, ACCREDITATION AND ACCOMMODATION

20. Accreditation and Registration Centre

A registration centre must be established according to the Guidelines.

It should open at the latest three days before the opening of the Games.

Among other duties, the registration centre should make available the corresponding credentials to each person accredited at the Games.

Each competitor shall give evidence that he/she is properly insured against accidents and health problems, providing at the time of registration a medical certificate attesting physical ability to compete in the sports for which he/she is registered as a participant in accordance with the requirements established by the Italian Sports Federations.

21. Accommodation for Masters Games Accredited Persons

The OCOG shall be responsible for making available adequate accommodation for all accredited persons. Accommodation should be as close as possible to the venues. Accommodation of varying levels of prices should be offered to the participants who will be responsible for paying their accommodation and meals.

The OCOG should make sure that the prices in the Hotels do not exceed the lowest average convention prices thereof for the previous four years adjusted only for such inflation as is established to the satisfaction of the IMGA. The OCOG shall provide accommodation, food and a per diem of EUR 100 per day for one technical delegate appointed by each relevant international federation for the duration of the competition of the sport concerned. All other requirements in the Guidelines shall be satisfied.

22. Competitors

The City of Torino and the OCOG undertake to use their best endeavours to have 7’500 participants in the Games and to ensure that at least 50 % of the athletes are from countries outside the country in which the City of Torino is located.

IV. ORGANISATION OF SPORTS PROGRAMME

23. Sports Programme

The OCOG must select no less than 18 and no more than 30 sports from the list in Appendix B as quickly as possible but not later than the 1 st of August 2017 and submit its proposal to IMGA for approval. The specific daily programme shall be approved by the relevant IF’s for their own sport and be submitted by the OCOG to the IMGA not later than two years before the Games. Once approved by the IMGA, the programme may not be modified without the agreement of the relevant international sport federation (hereafter IF) and the approval of the IMGA.

 To ensure an increased number of participants, the IMGA is continually seeking to establish agreements with the International Federations to host their European or World Masters Championships within the European Masters Games. For sports where such agreements have been signed, these sports must be on the program and the OCOG will pay special attention to ensure the sport is executed according to the specific technical requirements, as mentioned in Appendix C.

24. Minimum Technical Requirements

The sporting competition shall be conducted in accordance to the rules and regulations of the relevant international sport federations and the Guidelines.

The City of Torino and the OCOG undertake to respect the minimum technical requirements for each sport, including the provision of adequate and properly equipped sports competition facilities and training sites as defined by the relevant IFs and as shall be approved by the IMGA. Each IF concerned will be requested to appoint, at least 2 years prior to the Games, a technical delegate who will be incorporated in any decision taken regarding his or her sport. The City of Torino and the OCOG will be responsible for the expenses incurred by the delegate for the performance of inspections and preparatory meetings. The OCOG shall provide an allowance of Euro 100 per day for one only technical delegate appointed by each relevant National Federation and approved by the International Federation for the duration of the competition of the concerned sport. This provision shall not be accorded where the delegate's expenses are included in the costs detailed by the territorial organizations/sporting clubs and sport federations which are involved in the organization and management of each individual sport. For purpose of cost saving the use of National Technical delegates is strongly recommended, unless otherwise appointed by the International Federation.

25. Venues

The size, contents and location of the Masters Games venues proposed by the City of Torino in its application to host the Games may not be modified without the written agreement of the relevant IF and the approval of the IMGA.

All provisions of the Guidelines shall be implemented.

V. CEREMONIES

26. Scenarios for Ceremonies

The scenarios for all ceremonies, including the opening and closing ceremonies of the Games and the victory ceremonies including the medal design, shall be submitted to the IMGA for its prior approval.

During the Games, cultural attractions of various types and conferences on different topics of general interest should be organised by the City of Torino and the OCOG to ensure a high quality total experience for all participants. In addition, the Guidelines shall apply.

 VI. FINANCIAL AND COMMERCIAL OBLIGATIONS

27. Exclusive Rights of IMGA in the Games; Conveyance of Rights to the City of Torino upon conditions

° The City of Torino and the OCOG acknowledge that the Games are the exclusive property of IMGA, that IMGA has secured certain international trademark rights regarding the identification of the Games and that IMGA owns all rights and data relating to their organisation, exploitation, broadcasting, recording, representation, marketing, reproduction, access and dissemination by any means whatsoever, whether now existing or developed in the future.

¢ The City of Torino and the OCOG acknowledge that they organise the Masters Games under their own and exclusive financial responsibility.

£ The IMGA may assign, license or otherwise convey all or any part of such rights, or the benefits IMGA derives from such rights, to the OCOG, or to other parties at its own discretion, including those rights relating to or deriving from the official logo, mascot, posters and any artistic, orthographic or visual representations or designations relating to the Games. Such conveyance of rights or benefits shall be conditional upon the IMGA being satisfied as to the protection of IMGA's proprietary rights with respect to the various objects and marks.

§ The City of Torino and the OCOG further agree and undertake that if, for any reason whatsoever, any rights relating directly or indirectly to the Games are held by the City of Torino, by the OCOG or by any other further third party as a consequence of any form of agreement with the City of Torino or the OCOG, all such rights shall be held by such bodies in a fiduciary capacity for the benefit of IMGA and under all circumstances shall be assigned to IMGA by such bodies at their cost in form and substance satisfactory to the IMGA upon the request of the IMGA.

• The rights and benefits granted by IMGA to OCOG are listed at Art. 6 of this Contract.

28. Legal protection of IMGA Logo, Emblems, Trademarks and Mascot(s)

Although IMGA has secured certain international protection for its intellectual properties, the State and the OCOG must ensure that these properties (especially IMGA logo) are legally protected within the country where the Games are organised and if necessary, at their own expense, take any action to obtain this protection and contest the unauthorised use of these properties in the host country.

29. Proprietary Rights in Artistic or Intellectual Works

All proprietary rights, including copyright, in all graphic, visual, artistic and intellectual works or creations developed by or on behalf of or for the use of the City of Torino's candidature committee, the City of Torino or the OCOG in respect of the following matters shall be vested in and remain in the full ownership of IMGA, including, without limitation:

° Logos and emblems (including all graphic and three-dimensional representations thereof);

¢ Mascots (including all graphic and three-dimensional representations thereof);

 £ Pictures and Video;

§ Poster designs;

• Badges and any moulds relating thereto;

¶ Winners and commemorative medal designs and any moulds relating thereto;

ß Official programmes and publications;

® Musical works

© Other graphic works created for the Games

™ Data bases and statistics relating to the Games, including those related to athletes, purchases of Games tickets and persons registering or making enquiries with respect to Games related services.

30. Rights Fees

The right fee payable for hosting the European Masters Games 2019 is EUR 650’000 payable in rates as listed below.

° The City of Torino shall make followings payments to IMGA:

I. as preliminary agreement EUR 50.000 II. upon execution of this agreement EUR 50.000 III. on September 1, 2017 EUR 150.000 IV. on September 1, 2018 EUR 250.000 V. on March 1, 2019 EUR 150.000

The amounts paid by the City of Torino to IMGA are not refundable in any circumstances.

31. Taxes

The City of Torino and/or the OCOG shall bear all taxes, whether they be withholding taxes, customs duties, value added taxes or any other indirect taxes, whether present or future, due in any jurisdiction on a payment to be made to IMGA, with respect to the revenues generated in relation to the Games.

32. Financial Reporting

In addition to the reports referred to in Art. 18, the OCOG shall submit to IMGA, all reports drawn up by the Finance Department and Internal Auditors.

The OCOG shall supply such other data to IMGA and give IMGA or its representative(s) such access to its records as IMGA may reasonably request in order for it to verify such information. Without limiting the generality of the foregoing, IMGA shall have the right at any time to audit or to have its representative(s) audit the accounts of the OCOG with respect to the planning,

 organising and staging of the Games, including the post-Games financial situation of the OCOG.

33. Propaganda, Advertising and Other Commercial Activities at Venues

The City of Torino and the OCOG shall ensure that propaganda and advertising at the different venues and locations placed under their authority as well as in all documents produced by them such as posters, etc., have no content which might create any difficulties or embarrassment to IMGA, for example for political or ethical reasons. No title sponsor or tobacco sponsorship is allowed.

34. Marketing Programmes

The OCOG shall submit its marketing plan to IMGA before the 1 st of August 2017 for approval, prior to the implementation of any element of it.

Any subsequent change to or departure from this plan must be submitted to IMGA Board of Governors for written approval before implementation.

6)) MEDIA COVERAGE OF THE GAMES

35. Media and Broadcasting Rights

IMGA retains the exclusive right to secure media and broadcasting coverage outside of . The City of Torino and the OCOG retain such national rights and its corresponding fees, but shall make available with coverage of costs borne by the end-users of the TV signal. Any monies accruing from this provision of the television signal rights to non-host-national users, after deduction of relevant costs, will be divided 50-50 between IMGA and the City of Torino e/o the OCOG.

36. Internet

All Internet agreements relating to the Games, including those relating to e-commerce, on line sales, on line merchandising, the establishment of any web site or other interactive media service and/or the distribution of Games-related media content via any digital media platform, network or service shall be negotiated and concluded exclusively by IMGA and OCOG. Without limiting the generality of the foregoing, The OCOG own Internet website, is subject to IMGA and the OCOG mutually agreeing upon the content and the sharing of the revenues deriving therefrom. Should any rights be granted with respect to the broadcast of the Games over the Internet, the net consideration generated therefrom shall be shared between IMGA and the OCOG in the same proportion as they share television revenues under Art. 6.e.

37. All other Forms of Media

The right to enter into any other agreements relating to the Games with respect to all other forms of media or communication, including, without limitation, multimedia or interactive forms now or hereafter existing shall belong exclusively to IMGA. and the OCOG. The net of the proceeds from such rights shall be shared between IMGA and the OCOG in the same proportion

38. Services to the Media

 All facilities listed in the Guidelines shall be provided as a minimum.

VIII. OTHER OBLIGATIONS

39. Information and Result Systems

° The IMGA shall develop such information systems (including pre-registration, registration, payment, accreditation, games management and results) as may be required to generate and transmit information relating to the Games, including all sports events.

¢ The OCOG shall deliver the full IT infrastructure (including hardware) in relation to such information and result systems and present its proposals to the IMGA for approval not later than two years prior to the Opening Ceremony of the Games.

£ The IMGA will provide a website template interlinked to the registration system, that the OCOG will have to maintain, populate and update on a continuous basis to ensure it represents an up to date image of the games.

§ The general adjustment and customization of the information systems developed by the IMGA for the beginning of the activities of the OCOG EMG 2019 will be carried out by the IMGA at its own expense. The OCOG will carry out at its own charge only the customizations and adjustments of the information systems that the OCOG may require to meet its specific needs.

• All requirements of the Guidelines have to be fulfilled .

40. OCOG Reports to IMGA Upon Conclusion of the Games

Upon the conclusion of the Games, the OCOG shall send to IMGA a detailed games report in the form of electronic copy according to IMGA specifications not later than one year after the closing ceremony of the Games. This report shall include details of planning and operations, statistics, financial aspects, economic impact and tourism spending in relation to the games.

A penalty fee of EUR 10.000,- will be applied should the City of Torino or the OCOG fail to meet this obligation.

IX. TERMINATION OF CONTRACT

41. Termination of Contract

° The IMGA shall be entitled to terminate this Contract and to withdraw the Games from the City of Torino and the OCOG if:

© The Host Country is at any time, whether before the Opening Ceremony or during the Games in a state of war, civil disorder, boycott, embargo decreed by the international community or in a situation officially recognized as one of belligerence

 or if the IMGA has reasonable grounds to believe that the safety of participants in the Games would be seriously threatened or jeopardized;

©© There is a violation by the City of Torino or the OCOG of any material obligation pursuant to this contract, the Guidelines, the bid documents and budgets or the applicable law, provided the IMGA has given written notice of the violation to the City of Torino and the OCOG, and the City of Torino and the OCOG have failed to make the necessary corrections or adjustments within the time-limit specified by the IMGA in its notice.

¢ In case of withdrawal of the Games by the IMGA, or termination of this Contract by the IMGA for any reason whatsoever, the City of Torino and the OCOG hereby waive any claim and right to any form of indemnity, damages or other compensation and hereby undertake to indemnify and hold harmless IMGA, its governors, officers, members, directors, employees, consultants, agents, contractors and other representatives from any third party claims, actions or judgements in respect of such withdrawal or termination.

£ It is the responsibility of the OCOG to notify all parties with whom it contracts of the content of this section.

§ If the Games are terminated by IMGA for cause under this Art. 41, the City of Torino and the OCOG shall remain obligated to make all specified payments due under Art. 30.

X. MISCELLANEOUS

42. Damages

Should any payments as specified under Art. 30 still be outstanding 3 (three) month before the opening of the games the IMGA reserves the right to withhold athlete and participant registration fees until all payments have been made. In case of any such delay, a penalty fee of EUR 50’000,- will be deducted from the registrations fees before they are released to the OCOG.

The IMGA may determine that a default may be cured by payment of damages and shall be entitled to withhold an amount sufficient for such purposes from any payment due or grant to be made to the OCOG. In such event, if the OCOG disputes the amount of any such deduction, the OCOG shall have the burden of establishing that such amount was unreasonable in the circumstances (See also Art. 30 a).

43. Delegation by IMGA

The IMGA may delegate, at its discretion, authority for the implementation of this Contract to such person or persons as it may designate from time to time.

44. Assignment by the City of Torino or OCOG

The City of Torino or the OCOG shall not assign any rights or obligations under this Contract in whole or in part without the prior approval of the IMGA

 45. Unforeseen or undue hardship

Should any provision of this Contract give rise to undue hardship affecting the OCOG, which could not have been foreseen at the date of execution thereof, the OCOG may request the IMGA to consider such changes as may be reasonable in the circumstances, provided that such changes shall not adversely affect either the Games or IMGA, provided, further, that any such changes shall be a matter of discussion with the IMGA and shall not reduce the payments specified herein.

46. Relationship of the Parties

This Contract does not constitute either of the parties hereto the agent of any of the other parties nor create a partnership, joint venture or similar relationship between any of the parties.

47. Governing Law and Resolution of Disputes: Waiver of Immunity

This Contract is governed by Swiss law. Any dispute concerning its validity, interpretation or performance shall be determined conclusively by arbitration, to the exclusion of the ordinary courts of Switzerland, the Host Country and any other country, and be decided by the Court of Arbitration for Sport in Lausanne (Switzerland) in accordance with the Code of Sports-Related Arbitration of the said Court. The arbitration shall take place in Lausanne, Switzerland. The City of Torino and the OCOG hereby expressly waive the application of any legal provision under which they may claim immunity against any lawsuit, arbitration or other legal action initiated by IMGA.

The City of Torino agrees that such actions and any other notices shall be validly served if they are addressed to the OCOG.

48. Guidelines for the Organisation of the European Masters Games

For the purpose of this Contract, the "Candidature Guidelines” serve as reference. Notwithstanding the foregoing, IMGA reserves the right to amend these guidelines and the amended version shall prevail unless the OCOG proves that such changes have materially adversely affected the financial or other obligations of the OCOG hereunder.

49. Precedence of this Contract

Should there be any conflict between the provisions of this Contract and the above-mentioned guidelines, the provisions of this Contract shall take precedence.

50. Authorization of Signatories

Each of the parties hereto represents and warrants that the persons executing this Contract on its behalf have been duly and properly authorized to execute this Contract and that all necessary formalities in that regard have been duly and properly performed.

51. Headings

The headings given to each section of this Contract are for convenience only. They shall not be deemed to affect in any way the meaning of the provisions to which they refer.

Agreements to host European or World Masters Championships signed to date: A. European Handball Federation B. International Floorball Federation

A. Handball specific requirements for European Masters Handball Championships

1. The IMGA shall take into consideration the following requirements from the EHF when evaluating and selecting a host city for EMG.

1.1. Event Period: o The EMG is to be held within a 9 day time period (two weekends and the weekdays between them). The EMHC shall be held within this 9 day period lasting 3 days over either the first or second weekend from Friday-Sunday o Day of arrival: Thursday o Match days: Friday, Saturday and Sunday o Day of departure: Sunday evening or Monday morning.

1.2. Categories (planned): Men: +35 / + 45 / +50 Women: +33 / + 43

1.3. Venue / Playing courts: o Indoor event • o Number of playing courts: 3 – 6 (depending on number of entries and according to the rules – regular EHF standard) • o Central located playing courts are preferred due to interaction between the athletes • o Infrastructure: electronic score taking and time keeping, water free of charge and food available for purchase. •

1.4. Services by the host city o DVDs of the final matches in each category • o Medals and 1 Cup for the teams ranked 1 – 4 in each category • o High quality referees • o Competent personnel (table: score/time keeping) o Central Information Centre as stipulated by IMGA host city guidelines. o Event / Sports Guide for each team o Social activities – ‘get together’ evening/s in accordance with EMG host city contract. •

1.5. Finances o Like all participants of IMGA events, the teams will bear the costs of travel, transfer and accommodation/meal. • o The local organizer will have to bear the costs arising from the tournament organization o A tournament fee per team for covering a part of the infrastructure costs may be calculated and approved by the IMGA.

 2. The requirements for the EMHC tournament shall be included in the sports guide which is developed for the EMG and linked to the host city contract.

3. The EHF will appoint an EHF Office Staff / technical delegate (TD) together with an EHF Representative – member of the EHF Executive Committee to oversee the preparation and execution of the EMHC. They will be paid and accommodated in accordance with the EMG host city contract.

4. The dates of the sports program for the games will be determined by the final games plan.

5. The EHF can choose for the EMHC not to be part of the EMG should they disagree with the selection of the Host city for the EMG. The EHF must have reasonable grounds and inform the IMGA of their choice no later than six months after having been officially informed about the selected Host City.

 B. Floorball specific requirements for World Masters Floorball Championships

1. The IMGA shall take into consideration the following requirements from the IFF when evaluating and selecting a host city for EMG.

1.1 Event Period: o The EMG is to be held within a 9-day time period (two weekends and the weekdays between them). The WMFC shall be held within this 9-day period lasting 3-4 days over either the first or second weekend from Thursday/Friday-Sunday o Day of arrival: Wednesday/Thursday o Match days: Thursday/Friday, Saturday and Sunday o Day of departure: Sunday evening or Monday morning. o The games can be played from 08:00 to 22:00 each day.

1.2 Categories (planned): Men: +35 / + 45 / +50 Women: +35

1.3 Venue / Playing courts: o Indoor event • o Number of playing courts: 1 – 2 (depending on number of entries and according to the rules – regular IFF standard) • o The tournament can be played in any indoor arena for handball or basketball. The ordinary field size is 40x20m, but a field of play of 36x18m could also be used. o IFF will be able to assist with the rinks and goal cages for the arenas.

1.4. Tournament Format o The Games will last 2 x 15 minute periods in the robbing round and 2 x 20 min in the playoff – allowing 28 matches per day/arena. o Each team should be guaranteed at least 5-6 games during the tournament and can be asked to play 2-3 games per day. o The expected number of teams is 16-20 for the Word Championships and 20+ for the recreational category.

1.5. Services by the host city o National or neighboring country referees will be prioritized. o Central Information Centre as stipulated by IMGA host city guidelines. o Event / Sports Guide for each team o Social activities – ‘get together’ evening/s in accordance with EMG host city contract. • o IFF will provide Trophies for the winners o Time and Score keeping device is needed in the venue, IFF will provide match statistical software if needed.

 1.6. Finances o Like all participants of IMGA events, the teams will bear the costs of travel, transfer and accommodation/meal. •- The local organizer will have to bear the costs arising from the tournament organization o A tournament fee per team for covering a part of the infrastructure costs may be calculated and approved by the IMGA. This fee will be adjusted from event to event but will be set at EUR 500 for the inaugural event.

2. The requirements for the WMFC tournament shall be included in the sports guide, which is developed for the EMG and linked to the host city contract.

3. The IFF will appoint an IFF technical delegate (TD) together to oversee the preparation and execution of the WMFC. He will be paid and accommodated in accordance with the EMG host city contract.

4. The dates of the sports program for the games will be determined by the final games plan.

5. The IFF can choose for the WMFC not to be part of the EMG should they disagree with the selection of the Host city for the EMG. The IFF must have reasonable grounds and inform the IMGA of their choice no later than six months after having been officially informed about the selected Host City.
