VERIFIED COMPLAINT Plaintiff, Tribune Media Company (“Tribune”), by and through its undersigned attorneys, files this Verified Complaint against Defendant, Sinclair Broadcast Group, Inc. (“Sinclair”), and alleges as follows: Introduction 1. Tribune and Sinclair are media companies that own and operate local television stations. In May 2017, the companies entered into an Agreement and 1 Plan of Merger (the “Merger Agreement”) pursuant to which Sinclair agreed to acquire Tribune for cash and stock valued at $43.50 per share, for an aggregate purchase price of approximately $3.9 billion (the “Merger”). 1 A true and correct copy of the Merger Agreement is attached as Exhibit A.
