WHEREAS, R.S. 40A:9-43 directs that in every County in , the Board of Chosen Freeholders shall appoint a County Counsel for a term of office of three years.

NOW, THEREFORE, BE IT RESOLVED by the Board of Chosen Freeholders of the County of Somerset as follows:

That William T. Cooper, III, be and is hereby appointed County Counsel of and for the County of Somerset for a term of three years commencing May 24, 2011, the compensation therefore to be at a rate as per schedule on file in the Office of the Clerk of Board.

That William P. Robertson be and is hereby reappointed Deputy County Counsel of and for the County of Somerset to serve under the control and direction of the County Counsel, such appointment to be for a term coincidental with that of the County Counsel.

That Scott D. Rodgers be and is hereby appointed Deputy County Counsel of and for the County of Somerset to serve under the control and direction of the County Counsel, such appointment to be for a term coincidental with that of the County Counsel

PROCLAMATION

CURBING HUNGER MONTH JUNE 2011

WHEREAS, the United States enjoys the highest standard of living and the finest quality of life in the world, yet millions of Americans don’t have enough to eat; and

WHEREAS, food banks and pantries support close to 600,000 New Jersey residents; and

WHEREAS, a study by the Food Research and Action Center estimates that more than 300,000 children go to bed hungry every night in New Jersey; and

WHEREAS, although annual food drives during the winter holidays help to replenish the shelves of many food banks, supplies are critically short or completely depleted by summer; and

WHEREAS, Somerset County food pantries continue to face growing food shortages similar to other areas of the United States; and

WHEREAS, due to the economic recession, the Food Bank Network of Somerset County has seen an increase of more than 25 percent in the number of families it serves; and

WHEREAS, because hunger never takes a vacation, Curbing Hunger Inc. was founded in Somerset County in 1995 to help meet the need to restock the shelves of food banks and pantries during the summer and fall and now, with increased demand, has expanded its efforts year-round; and

WHEREAS, since its inception and through partnering with the Somerset County Board of Chosen Freeholders, the Somerset County Public Works Department, Municipal Public Works Departments and the Somerset County Recycling Division, Curbing Hunger Inc. has collected more than half a million pounds of food in Somerset County; and

WHEREAS, since its inception, Curbing Hunger Inc. has collected and distributed 2 million pounds of food statewide, valued at $2.8 million dollars.

NOW, THEREFORE, BE IT RESOLVED that the Board of Chosen Freeholders of the County of Somerset does hereby proclaim:

June 2011 as Curbing Hunger Month in Somerset County

and urges all residents to support this worthwhile effort by taking the orange plastic bags tied to their recycling buckets and filling them with contributions of canned goods to restock supplies at the food bank and local food pantries. Bags should be left at the curb on residents’ regular recycling pickup days from June 6 through July 1, 2011.

IN MEMORIAM B. THOMAS LEAHY JUDGE OF THE SUPERIOR COURT OF NEW JERSEY

WHEREAS, on April 24, 2011, with the death of Judge B. Thomas Leahy, our County and our State lost one of its most outstanding citizens; and

WHEREAS, Judge Leahy, with over three decades of public service, was selfless and dedicated man, and a long respected member of the community; and

WHEREAS, Judge Leahy began his stellar career of service in 1965 with his election to the Somerset County Freeholder Board where he served with distinction until 1967; and

WHEREAS, in 1969, Judge Leahy was appointed to the Somerset County Bench and served as a Superior Court Judge in both Somerset and Essex Counties until his retirement and was also a Presiding Judge of the Family Division for Somerset, Hunterdon and Warren Counties; and

WHEREAS, Judge Leahy’s dedication and interest in assisting our county’s young men and women is well-known, addressing the problems of juveniles with both a secular knowledge of the law and concern for the people he served, and by the giving of his invaluable experience on many committees and advisory commissions dealing with juvenile delinquency including as a past president of the National Council of Juvenile and Family Court Judges and of the New Jersey Council of Juvenile and Family Court Judges; and

WHEREAS, Judge Leahy, a caring person with a devotion to his family, his community, his county, his state and his fellow man, will be sadly missed by all.

NOW, THEREFORE, BE IT RESOLVED, by the Board of Chosen Freeholders of the County of Somerset, State of New Jersey, that members of this Board, collectively and individually, express their respect and heartfelt sorrow, and that of all the citizens of Somerset County, to the family of Judge B. Thomas Leahy and extend their sincere appreciation to his family for allowing him to share his unique talents with us all.

BOND ORDINANCE PROVIDING AN APPROPRIATION OF $20,598,028 FOR VARIOUS IMPROVEMENTS AND PURPOSES FOR AND BY THE COUNTY OF SOMERSET, NEW JERSEY, AND AUTHORIZING THE ISSUANCE OF $19,454,000 BONDS OR NOTES OF SOMERSET COUNTY FOR FINANCING PART OF THE COST THEREOF

BE IT ORDAINED, BY THE BOARD OF CHOSEN FREEHOLDERS OF THE COUNTY OF SOMERSET, NEW JERSEY (not less than two-thirds of all members thereof affirmatively concurring) AS FOLLOWS:

SECTION 1:

The improvements described in Section 3 of this bond ordinance (the “Improvements”) are hereby authorized to be undertaken by the County of Somerset, New Jersey (the “County”) as general improvements. For the said Improvements there is hereby appropriated the amount of $20,598,028 including the sum of $1,144,028 as the down payment (the “Down Payment”) for the Improvements required by the Local Bond Law of the State of New Jersey, constituting Chapter 2 of Title 40A of the New Jersey Statutes, as amended and supplemented (the “Local Bond Law”). The Down Payment is now available by virtue of provision in one or more previously adopted budgets for down payments or capital improvement purposes.

SECTION 2:

In order to finance the cost of the Improvements not covered by the application of the Down Payment, negotiable bonds of the County are hereby authorized to be issued in the principal amount of $19,454,000 pursuant to the provisions of the Local Bond Law (the “Bonds”). In anticipation of the issuance of the Bonds and to temporarily finance said improvements or purposes, negotiable bond anticipation notes of the County are hereby authorized to be issued in the principal amount not exceeding $19,454,000 pursuant to the provisions of the Local Bond Law (the “Bond Anticipation Notes” or “Notes”).

SECTION 3:

(a) The Improvements authorized and the purposes for which obligations are to be issued hereunder, the estimated cost of each Improvement, the appropriation therefore and the estimated maximum amount of Bonds or Notes to be issued for each Improvement are as set forth in Exhibit I attached hereto.

(b) The estimated maximum amount of Bonds or Notes to be issued for the purpose of financing a portion of the cost of the Improvements is $19,454,000.

(c) The estimated cost of the improvements is $20,598,028, which amount represents the initial appropriation made by the County. The excess of the appropriations made for each of the Improvements over the estimated maximum amount of Bonds or Notes authorized to be issued therefore is the Down Payment.

SECTION 4:

All Bond Anticipation Notes issued hereunder shall mature at such times as may be determined by the Chief Financial Officer of the County (the “Chief Financial Officer”); provided that no Note shall mature later than one year from its date. The Notes shall bear interest at such rate or rates and be in such form as may be determined by the Chief Financial Officer. The Chief Financial Officer shall determine all matters in connection with Notes issued pursuant to this ordinance, and the signature of the Chief Financial Officer upon the Notes shall be conclusive evidence as to all such determinations. All Notes issued hereunder may be renewed from time to time subject to the provisions of Section 8(a) of the Local Bond Law. The Chief Financial Officer is hereby authorized to sell part or all of the Notes from time to time at public or private sale and to deliver them to the purchasers thereof upon receipt of payment of

the purchase price plus accrued interest from their dates to the date of delivery thereof. The Chief Financial Officer is directed to report in writing to the Board of Chosen Freeholders of the County at the meeting next succeeding the date when any sale or delivery of the Notes pursuant to this ordinance is made. Such report must include the amount, the description, the interest rate and the maturity schedule of the Notes sold, the price obtained and the name of the purchaser.

SECTION 5:

The capital budget of the County is hereby amended to conform with the provisions of this ordinance to the extent of any inconsistency herewith. The resolution in the form promulgated by the Local Finance Board showing full detail of the amended capital budget and capital program as approved by the Director, Division of Local Government Services, Department of Community Affairs, State of New Jersey is on file with the Clerk of the Board of Chosen Freeholders and is available for public inspection.

SECTION 6:

The following additional matters are hereby determined, declared, recited and stated:

(a) The Improvements described in Section 3 of this bond ordinance are not current expenses, and are capital improvements or properties that the County may lawfully make or acquire as general improvements, and no part of the cost thereof has been or shall be specially assessed on property specially benefited thereby.

(b) The average period of usefulness of the Improvements, within the limitations of the Local Bond Law, taking into consideration the respective amounts of all obligations authorized for the several purposes, according to the reasonable life thereof computed from the date of the Bonds authorized by this bond ordinance, is 16.53 years.

(c) The Supplemental Debt Statement required by the Local Bond Law has been duly prepared and filed in the Office of the Clerk of the Board of Chosen Freeholders and a complete executed duplicate thereof has been filed in the office of the Director, Division of Local Government Services, Department of Community Affairs, State of New Jersey. Such statement shows that the gross debt of the County, as defined in the Local Bond Law, is increased by the authorization of Bonds and Notes provided in this bond ordinance by $19,454,000 and the obligations authorized herein will be within all debt limitations prescribed by the Local Bond Law.

(d) An aggregate amount not exceeding $4,000,000 for items of expense listed in and permitted under Section 20 of the Local Bond Law is included in the estimated cost of the Improvements, as indicated herein.

SECTION 7:

Any funds received from time to time by the County as contributions in aid of financing the purposes described in Section 3 of this Ordinance shall be used for financing said Improvements by application thereof either to direct payment of the cost of said Improvements or to the payment or reduction of the authorization of the obligations of the County authorized therefore by this Bond Ordinance. Any such funds received may, and all such funds so received which are not required for direct payment of the cost of said Improvements shall, be held and applied by the County as funds applicable only to the payment of obligations of the County authorized by this Bond Ordinance.

SECTION 8:

The full faith and credit of the County are hereby pledged to the punctual payment of the principal of and interest on the obligations authorized by this bond ordinance. The obligations shall be direct, unlimited obligations of the County, and the County shall be obligated to levy ad valorem taxes upon all the taxable property within the County for the payment of the obligations and the interest thereon without limitation of rate or amount.

SECTION 9:

This Bond Ordinance constitutes a declaration of official intent under Treasury Regulation Section 1.150-2. The County reasonably expects to pay expenditures with respect to the Improvements prior to the date that County incurs debt obligations under this Bond Ordinance. The County reasonable expects to reimburse such expenditures with the proceeds of debt to be incurred by the County under this Bond Ordinance. The maximum principal amount of debt expected to be issued for payment of the costs of the Improvements is $19,454,000.

SECTION 10:

This bond ordinance shall take effect 20 days after the first publication thereof after final adoption, as provided by the Local Bond Law.

WHEREAS, the Board of Chosen Freeholders adopted the 2011 Capital Budget on April 12, 2011; and

WHEREAS, the Capital Budget contained provisions for appropriation from the Capital Improvement Fund for various purposes.

WHEREAS, a Public Hearing was held on May 24, 2011.

NOW, THEREFORE, BE IT RESOLVED that the Board of Chosen Freeholders of the County of Somerset does hereby appropriate the sum of $5,451,000 out of its Capital Improvement Fund for general County Government purposes, and no more than 5% for section 20 costs; and

BE IT FURTHER RESOLVED by the Board of Chosen Freeholders of the County of Somerset that notice of the public hearing be duly advertised in a newspaper circulating within the County of Somerset and in accordance with the law.

RESOLUTION APPROVING THE PROPERTY PARCEL MAP AND DESIGNATING ROAD AREAS TO BE ACQUIRED FOR HIGHWAY AND BRIDGE PURPOSES AND AUTHORIZING THE ACQUISITION OF LANDS AND PAYMENT FOR SAME AND AUTHORIZING THE EARLY APPRAISAL OF LANDS AND TITLE SEARCHES FOR THE REPLACEMENT OF SOMERSET COUNTY BRIDGE NO. G0703 MAIN STREET (CR 533) LOCATED IN THE BRIDGEWATER TOWNSHIP IN THE COUNTY OF SOMERSET AND STATE OF NEW JERSEY

WHEREAS, the Board of Chosen Freeholders of the County of Somerset, on behalf of said County, has determined that public exigency requires the taking of certain lands for highway and bridge purposes for the replacement of Somerset County bridge G0703, Main Street (CR 533) located in Bridgewater Township in the County of Somerset and State of New Jersey and have caused a survey thereof to be made and a plat of such survey with the descriptions of the various parcels to be taken inscribed thereon; and

WHEREAS, by further report of the Somerset County Engineer, it would be advisable to obtain early appraisal of the property rights to be acquired in order to facilitate the project.

NOW, THEREFORE, BE IT RESOLVED by the Board of Chosen Freeholders of the County of Somerset, that said Board, on behalf of said County, hereby approves a certain map, or revisions thereof which may occur from time to time, entitled “Somerset County Board of Chosen Freeholders, Entire Tract and General Property Parcel Maps for Replacement of Somerset County Bridge No. G0703, Main Street (CR 533) Over Cuckles Brook, Township Of Bridgewater, Somerset County, New Jersey”, Scales: As Noted, dated January 2011, consisting of six (6) pages and prepared by Dewberry-Goodkind, Inc., Bloomfield, New Jersey, said map on file in the Office of the Somerset County Engineer; and

BE IT FURTHER RESOLVED by said Board that pursuant to the provisions of Revised Statutes 27:16-2 et. seq., that said Board does designate that all those certain tracts or parcels of land situate, lying and being in Bridgewater Township in the County of Somerset and State of New Jersey, as shown on the aforementioned map, shall be acquired by the County of Somerset in fee simple by purchase, exchange, gift or condemnation, as the case may be; and

BE IT FURTHER RESOLVED that said Board hereby authorizes the Somerset County Counsel to make or cause to have made searches of titles to lands affected by the said project; and

BE IT FURTHER RESOLVED by said Board that the proper County officials be and hereby are duly authorized and directed to acquire the above designated property by purchase, exchange, gift or condemnation, as the case may be; and

BE IT FURTHER RESOLVED by said Board that the total monies expended for said acquisitions shall not exceed the amount as specified in the executed Agreement to Convey documents as reviewed and approved by the Director of the Board; and

BE IT FURTHER RESOLVED by said Board that a copy of this resolution, duly certified by the Deputy Clerk of this Board, together with copies of the aforementioned map, shall forthwith be filed with the Deputy Clerk of the Board.

RESOLUTION APPROVING A DEVELOPMENT AGREEMENT BETWEEN RUKH CEDAR GROVE LANE PROPERTIES, LLC AND THE COUNTY OF SOMERSET

WHEREAS, Rukh Cedar Grove Lane Properties, LLC also known as Rukh Cedar Grove Lane Properties and Rukh Family Foundation, Inc., (hereinafter referred to as the Applicant), whose address is 28 Ambrose Valley Lane, Piscataway, New Jersey 08854 has made an application to the Somerset County Planning Board for site plan approval with reference to the construction of a 22,758 square foot commercial/retail space on the property identified as Franklin Township Block 424.02 – Lots 21 and 22 on Cedar Grove Lane (County Route 619); the aforementioned application is on file in the Somerset County Planning Board as file number Fl-1025S; and

WHEREAS, the aforesaid project is located within the Cedar Grove Lane (County Route 619) improvement area; and

WHEREAS, the County Planning Board has determined that the implementation of the aforesaid site plan will generate certain traffic impacts upon Cedar Grove Lane, (County Route 619); and

WHEREAS, the County is currently in the process of implementing an improvement project for Cedar Grove Lane, (County Route 619); and

WHEREAS, the Office of the County Engineer determined the Applicant’s fair share obligation toward Cedar Grove Lane Off-tract Traffic Improvements to be in the amount of $17,482.00; and

WHEREAS, the Applicant has agreed the aforesaid requirement of a fair share contribution is appropriate and necessary, bears a reasonable and rational nexus to the proposed development, and is necessitated by the impact of the proposed development on County facilities; and

WHEREAS, the Applicant has posted the aforesaid monetary contribution with the Somerset County Planning Board; and

WHEREAS, the County of Somerset has caused an agreement to be prepared which established the obligation of the Applicant relative to the aforesaid monetary contribution; and

WHEREAS, the Somerset County Planning Board has conceptually approved this Development Agreement; and

WHEREAS, Deputy County Counsel for Planning has reviewed the Development Agreement and his comments have been included in the final draft submitted to the Freeholders for consideration.

NOW, THEREFORE, BE IT RESOLVED that the Director and Deputy Clerk of the Somerset County Board of Chosen Freeholders are authorized to execute the agreement on file with the Deputy Clerk of the Board; and

BE IT FURTHER RESOLVED that copies of this resolution be forwarded to Franklin Township and Rukh Cedar Grove Lane Properties, LLC.

RESOLUTION AUTHORIZING STATE CONTRACT PURCHASE OF PERSONAL PROTECTIVE EQUIPMENT AND ACCESSORIES FOR THE SOMERSET COUNTY HAZARDOUS MATERIALS RESPONSE UNIT TECHNICIANS

WHEREAS, the Chief Financial Officer has certified in writing the availability of funds for the purposes set forth in this resolution such certification on file with the Deputy Clerk of the Board and such funds are provided for in the duly adopted budget of the County of Somerset, line item (02-G388-380-03204-08) $45,479.68; and

WHEREAS, the County of Somerset Emergency Management Department wishes to purchase personal protective equipment and accessories from an authorized vendor under the State Contract 76359; and

WHEREAS, the purchase of goods and services by local contracting units is authorized by Local Public Contracts Law N.J.S. 40:11-12; and

WHEREAS, Skylands Area Fire Equipment & Training, 23 Hamburg Turnpike, Unit A, Riverdale, NJ 04757, State Contract No. 76359 is an authorized dealer for Personal Protective Equipment and Accessories; and

WHEREAS, the Director of Public Health and Safety recommends the utilization of this Contract on the grounds that it represents the best price available through the State Contract; and

WHEREAS, the actual cost for the Personal Protective Equipment associated with the turnout gear for the Somerset County Hazardous Response Unit Technicians is expected not to exceed $45,479.68.

NOW, THEREFORE BE IT RESOLVED that the Board of Chosen Freeholders authorizes purchasing under any valid 2010/2011 State Contracts and subsequent renewals or extensions for all State Contracts including, but not limited to those on file with the Deputy Clerk of the Board; and

BE IT FURTHER RESOLVED by the Board of Chosen Freeholders of the County of Somerset that the Purchasing Agent is hereby authorized to issue a Purchase Order.

WHEREAS, the Chief Financial Officer has certified in writing the availability of funds for the purposes set forth in this resolution such certification on file with the Deputy Clerk of the Board and such funds are provided for in the duly adopted budget of the County of Somerset, line item (02-G388-380-05901-10) $67,272.66; and

WHEREAS, the County of Somerset Emergency Management Department wishes to purchase computer equipment and accessories from an authorized vendor under the STATE/WSCA Contract 70258; and

WHEREAS, the purchase of goods and services by local contracting units is authorized by Local Public Contracts Law N.J.S. 40:11-12; and

WHEREAS, Continental Resources, Inc. 27 Worlds Fair Drive, Somerset, NJ 08873, STATE/WSCA Contract No. 70258 is an authorized dealer for Computer Equipment and Accessories under the State Contract held by Oracle American, Inc.; and

WHEREAS, the Director of Public Health and Safety recommends the utilization of this Contract on the grounds that it represents the best price available through the State Contract; and

WHEREAS, the actual cost for the Equipment and Accessories Associated with Laptop Computers and Accessories for the Incident Support Team is expected not to exceed $67,272.66;

NOW, THEREFORE BE IT RESOLVED that the Board of Chosen Freeholders authorizes purchasing under any valid 2010/2011 State Contracts and subsequent renewals or extensions for all State Contracts including, but not limited to those on file with the Deputy Clerk of the Board; and

BE IT FURTHER RESOLVED by the Board of Chosen Freeholders of the County of Somerset that the Purchasing Agent is hereby authorized to issue a Purchase Order.

RESOLUTION AUTHORIZING AN AGREEMENT BETWEEN UNIVERSITY OF MEDICINE AND DENTISTRY OF NEW JERSEY AND RICHARD HALL COMMUNITY MENTAL HEALTH CENTER FOR A COMMUNITY LIAISON TO FACILITATE THE TRAUMATIC LOSS INTERVENTION FOR YOUTH PROJECT IN THE AMOUNT OF $ 12,000.00 FOR THE PERIOD JULY 1, 2011 to JUNE 30, 2012

WHEREAS, the University of Medicine and Dentistry of New Jersey (UMDNJ), through the Technical Assistance Center established Richard Hall CMHC as the community liaison to facilitate the Traumatic Loss Intervention for Youth Project; and

WHEREAS, UMDNJ is providing funding of $12,000 for the period July 1, 2011 to June 30, 2012.

NOW, THEREFORE, BE IT RESOLVED that the Director and Deputy Clerk of the Board of Chosen Freeholders of Somerset County be authorized to sign a contract and such other documents which may be required between UMDNJ and Richard Hall Community Mental Health Center, a copy of which is on file with the Deputy Clerk of the Board.

RESOLUTION FOR INSERTION OF SPECIAL ITEM OF REVENUE INTO THE BUDGET FOR JUVENILE DETENTION ALTERNATIVES INITIATIVE INNNOVATIONS FUNDING $120,000.00

WHEREAS, N.J.S. 40A:4-87 provides that the Director of the Division of Local Government Services may approve the insertion of any special item of revenue in the budget of any county or municipality when such item shall have been made available by law and the amount thereof was not determined at the time of the adoption of the budget; and

WHEREAS, said Director may also approve the insertion of an item of appropriation for equal amount.

NOW, THEREFORE, BE IT RESOLVED, that the Board of Chosen Freeholders of the County of Somerset, New Jersey, hereby requests the Director of the Division of Local Government Services to approve the insertion of an item of revenue in the budget of the year 2011 in the sum of $120,000.00 which item is now available as a revenue from the New Jersey Department of Law and Public Safety pursuant to the provision of statute; and

BE IT FURTHER RESOLVED that a like sum of $120,000.00 is hereby appropriated under the caption of “Juvenile Detention Alternatives Initiative Innovations Funding . . . $120,000.00.”

WHEREAS, said Director may also approve the insertion of an item of appropriation for equal amount.

NOW, THEREFORE, BE IT RESOLVED, that the Board of Chosen Freeholders of the County of Somerset, New Jersey, hereby requests the Director of the Division of Local Government Services to approve the insertion of an item of revenue in the budget of the year 2011 in the sum of $5,000.00 which item is now available as a revenue from the National Association of County Health Officers (NACCHO) pursuant to the provision of statute; and

WHEREAS, Women’s Health & Counseling Center, 71 4th Street, Somerville, New Jersey 08876 has met the requirements of the County specifications in an efficient and quality manner during the first term; and

WHEREAS, the Health Office Director recommends a contract for year two (2) of a three (3) year contract be awarded to Women’s Health & Counseling Center.

WHEREAS, the County of Somerset Purchasing Division did advertise for said services on the County Website, www.co.somerset.nj.us on April 8, 2011; and

WHEREAS, seven (7) sealed proposal was received and read for the Marketing of #7 Baled Newsprint with Junkmail included Generated by the Somerset County Recycling Program in accordance with N.J.S.A. 19:44A-20.4, et seq. on April 19, 2011; and

WHEREAS, it was determined by the County that the proposal received from Colgate Paper Stock Co., Inc. was the highest responsible vendor to submit a response; and

WHEREAS, Colgate Paper Stock Co., Inc., 12 Industrial Drive, New Brunswick, NJ 08901 and is qualified to provide the services of this type and nature to carry out the required services; and

WHEREAS, the Solid Waste Manager recommends a contract be awarded to Colgate Paper Stock Co., Inc. for the contract term of July 1, 2011 through June 30, 2012 and shall pay to Somerset County in accordance with High News minus $5.20, with a floor price of $113.00 per ton with a minimum weight of 54,000 pounds.

NOW, THEREFORE, BE IT RESOLVED by the Board of Chosen Freeholders of the County of Somerset as follows:

1. That the Director and Deputy Clerk of the Board of Chosen Freeholders of the County of Somerset are hereby authorized to enter into contract with Colgate Paper Stock Co., Inc. to perform the aforesaid services and to compensate Somerset County in accordance with High News minus $5.20, with a floor price of $113.00 per ton with a minimum weight of 54,000 pounds, for #7 Baled Newsprint with Junkmail included.

2. That the engagement of the above named have been in conformance with a Fair and Open Process for Exempt Service exception, Local Public Contract Law, N.J.S.A. 40A:11-5 (1) (s).

3. Neither party shall be responsible for any resulting loss or obligation to fulfill duties as specified in any of the terms or provisions of this Agreement if the fulfillment of any term or provision of this Agreement is delayed or prevented by any revolutions, insurrections, riots, wars, acts of enemies, national emergencies, strikes, floods, fires, acts of God, or by any cause not within the control of party whose performance is interfered with which by the exercise of reasonable diligence such party is unable to prevent or in the event the County of Somerset is unable to obtain funding for the project for which this contract pertains or in the event the source of funding is curtailed by an act of any governmental body, including the Somerset County Board of Chosen Freeholders. Additionally, if the fulfillment of any of the terms and provisions of this Agreement is delayed of prevented by any court order, or action or injunction or other such agreement, this Agreement shall become voidable by the County of Somerset by notice to each party.

RESOLUTION AUTHORIZING EXECUTION OF A CONTRACT FOR SERVICES WITH THE SOMERSET COUNTY BUSINESS PARTNERSHIP FOUNDATION

WHEREAS, in April 1997, the Somerset County Freeholder Board, with the support of the Somerset County Chamber of Commerce, the Somerset County Alliance for the Future and the Business, Non-Profit and the Education Community of Somerset County, held an Economic Summit for the purpose of exchanging views and developing strategic recommendations on preserving the County’s quality of life by developing a smart growth program; and

WHEREAS, the Steering Committee Report recommended that a public- private organization be established as a non-profit corporation with 501 ( c ) and 501 (c) 6 status, that it have a Board of Directors representing interested stakeholders and representatives from Somerset County, the Somerset County Chamber of Commerce, and other representatives from the public and private sectors; and

WHEREAS, the Business Partnership of Somerset County and the Somerset County Chamber of Commerce have merged as a single entity called the Somerset County Business Partnership and incorporated as a 501 ( c ) 3 Non-Profit corporation and a separate 501 (c) 6 entity funding Chamber activities; and

WHEREAS, the Somerset County Business Partnership Foundation has elected a Board of Directors with representation from Somerset County, and other representatives from the public and private sectors; and

WHEREAS, the Somerset County Business Partnership Foundation and Chamber of Commerce developed a program of services that include initiatives in the areas of Improved Regional Mobility, Smart Targeted Redevelopment, Tax Stabilization & Government Efficiency, and Workforce Development.

NOW, THEREFORE, BE IT RESOLVED that the Somerset County Board of Chosen Freeholders supports the Somerset County Business Partnership Foundation as a smart growth economic development organization that provides key specific services and functions in accordance with the findings and conclusions of the Steering Committee; and

BE IT FURTHER RESOLVED that the newly formed organization enter into a contract for services with the County of Somerset for a period of one (1) year; and

BE IT FURTHER RESOLVED that Somerset County will commit to fund the Somerset County Business Partnership Foundation with $187,501.00 and the Somerset County Chamber of Commerce with $37,499.00 monthly, for a total of $225,000.00 for the final 9 months of 2011 and the use of a loaned executive from the Somerset County Economic Development Office during the length of the contract between the organization and the County; and

BE IT FURTHER RESOLVED that the Freeholder Director and the Deputy Clerk of the Board of the County of Somerset are hereby authorized to enter into a contract with the Somerset County Business Partnership Foundation.

RESOLUTION AUTHORIZING THE FILING OF AN APPLICATION TO NEW JERSEY TRANSIT AND THE DEPARTMENT OF TRANSPORTATION, UNITED STATES OF AMERICA, ON BEHALF OF THE COUNTY OF SOMERSET FOR A GRANT UNDER THE FEDERAL TRANSIT ACT, AS AMENDED

WHEREAS, the Secretary of Transportation is authorized to make grants for a general public transportation program of projects in other than urbanized areas under Section 5311 of the Federal Transit Act, as amended; and

WHEREAS, the grant for financial assistance will impose certain obligations upon the Subrecipient County of Somerset, including the provision of the local share of the project costs in the program; and

WHEREAS, it is required by the U.S. Department of Transportation in accordance with the provisions of Title VI of the Civil Rights Act of 1965, that in connection with the filing of an application for assistance under the Federal Transit Act, as amended, the Subrecipient gives an assurance that it will comply with Title VI and EEO requirements of the Civil Rights Act of 1964 and U.S. Department of Transportation requirements; and

WHEREAS, the Subrecipient is required to adhere to the requirements as specified in the U.S. Department of Transportation’s Minority Business Enterprise (MBE) regulation set forth in 49 C.F.R. Part 23, Subpart D.

NOW, THEREFORE, BE IT RESOLVED BY the Board of Chosen Freeholders of the County of Somerset that:

1. The Freeholder Director is authorized to execute and file an application on behalf of Subrecipient County of Somerset with NJ Transit who as the Designated Recipient will apply to the U.S. Department of Transportation requesting aid in the financing of administration, capital and/or operating assistance projects pursuant to Section 5311 of the Federal Transit Act, as amended.

2. The Freeholder Director is authorized to execute and file with such applications and assurance or any other document required by the U.S. Department of Transportation effectuating the purposes of Title VI and EEO requirements of the Civil Rights Act of 1964.

3. The Freeholder Director is authorized to set forth and execute affirmative minority business policies pursuant to 47 C.F.R. part 23, Subpart D.

4. The Freeholder Director is authorized to furnish such additional information as the U.S. Department of Transportation may require in connection with the application.

5. The Freeholder Director is authorized to execute grant agreements on behalf of the County of Somerset for aid in the financing of the administration, capital and/or operating assistance.

6. The Board of Chosen Freeholders hereby authorize the amount of $26,699.00 be obligated as the local share required under the provisions of the grant application.

WHEREAS, the County of Somerset has been in negotiations with the FOP Lodge 39; and

WHEREAS, Mark Diana, Esquire, Attorney representing the County of Somerset and Beverly Hacker, Director of Human Resources and Joseph Gary Howarth, Compensation Specialist, representing the County of Somerset in the negotiations, recommends adoption of the Recommended Arbitration Award; and

WHEREAS, The County and the FOP Lodge 39 have agreed upon all the terms and conditions for an employment contract for the period from January 1, 2008 to December 31, 2012, which has been prepared by Joseph Gary Howarth and reviewed by Beverly Hacker, and approved by County Counsel.

NOW, THEREFORE, BE IT RESOLVED by the Board of Chosen Freeholders of the County of Somerset that the Recommended Arbitration Award dated May 31, 2007 between Somerset County and the FOP Lodge 39, is hereby accepted and agreed to by the Board of Chosen Freeholders of the County of Somerset; and

BE IT FURTHER RESOLVED by the Board of Chosen Freeholders of the County of Somerset that FOP Lodge 39 members are authorized to receive retroactive pay in accordance with the employment contract upon execution of the Recommended Arbitration Award by the FOP Lodge 39, the Somerset County Sheriff and the Board of Chosen Freeholders; and,

WHEREAS, the County, in order to assist the Authority with permanently financing the costs of a project consisting of the acquisition of property and construction of a building located in the municipality of Somerville in the County of Somerset for use by the Somerset County Board of Social Services (the “Project”), has determined to provide for the guaranty of revenue bonds or notes or other debt obligations of the Authority (the “Obligations”) under one or more bond resolutions of the Authority;

NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF CHOSEN FREEHOLDERS OF THE COUNTY OF SOMERSET, NEW JERSEY, (not less than two-thirds of all members thereof affirmatively concurring), AS FOLLOWS:

Section 1. This guaranty ordinance shall be adopted by the governing body of the County in the manner provided for adoption of a bond ordinance as provided in the Local Bond Law, constituting Chapter 169 of the Pamphlet Laws of 1960 of the State, as amended and supplemented (the “Local Bond Law”).

Section 2. Pursuant to and in accordance with the terms of the Act, specifically Section 37 of the Act (N.J.S.A. 40:37A-80), the County is hereby authorized to and hereby shall fully, unconditionally and irrevocably guaranty the punctual payment of the principal of and interest on the Obligations in an aggregate principal amount not exceeding at any time $20,000,000, which Obligations are to be issued to finance and/or refinance the Project, on such terms and conditions as may be agreed to by and between the County and the Authority and as are reflected in this guaranty ordinance and in the guaranty certificate on the face of each Obligation. Upon the endorsement of the Obligations referred to in Section 3 below, the County shall be fully, unconditionally and irrevocably obligated to pay the principal of and interest on the Obligations in the same manner and to the same extent as in the case of Obligations issued by the County, and, accordingly, the County shall be unconditionally and irrevocably obligated to levy ad valorem taxes upon all the taxable property within the County for the payment thereof, without limitation as to rate or amount, when required under the provisions of applicable law. This full, unconditional and irrevocable guaranty of the County effected hereby to pay the principal of and interest on the Obligations when due, in accordance with the terms hereof, shall not be abrogated for any reason. Any Obligations which are no longer considered outstanding under the resolution(s) of the Authority authorizing such Obligations shall not be counted for the purpose of $20,000,000 limitation contained in this guaranty ordinance.

Section 3. The Director of the Board of Chosen Freeholders (the “Director”) of the County shall, by manual or facsimile signature, execute an endorsement on each of the Obligations evidencing this guaranty by the County as to the punctual payment of the principal thereof and interest thereon. The endorsement on each Obligation shall be in substantially the following form, and absent the fully executed endorsement in such form on any such Obligation, such Obligation shall not be entitled to the benefits of this guaranty ordinance:

GUARANTY OF THE COUNTY OF SOMERSET, NEW JERSEY

The payment of the principal of and interest on the within [bond] [note] shall be fully, irrevocably and unconditionally guaranteed by the County of Somerset, New Jersey (the “County”), in accordance with the provisions of N.J.S.A. 40:37A-80 and the guaranty ordinance of the County finally adopted pursuant thereto, and the County is fully, irrevocably and unconditionally liable for the payment, when due, of the principal of and interest on this [bond] [note], and if necessary the County shall levy ad valorem taxes upon all the taxable property within the County, without limitation as to rate or amount, in order to make such payment.

IN WITNESS WHEREOF, the County has caused this Guaranty to be executed by the manual or facsimile signature of its Director.

The Director is hereby further authorized to execute such other certificates or agreements relating to this guaranty that may be required by the Authority to comply with the terms of the financing documents relating to the Obligations, including, without limitation, (i) any agreements or certificates detailing the time and method that payment under this guaranty shall be made by the County, (ii) any letters of representations or similar undertakings to be executed in connection with the sale of the Obligations, setting forth certain representations, warranties and covenants of the County as an inducement to the purchase of the Obligations, and (iii) any certificates deeming “final” (for the purposes of Rule 15c2-12 of the U.S. Securities and Exchange Commission) any Preliminary or final Official Statements of the Authority in connection with the Obligations. Such further agreements or certificates shall not abrogate the County’s responsibilities hereunder.

The Director is hereby further authorized to execute one or more continuing disclosure agreement(s) or other instrument(s) undertaking the secondary disclosure obligations of the

County required by Rule 15c2-12 of the United States Securities and Exchange Commission in connection with the issuance of any Obligations by the Authority.

Section 4. It is hereby found, determined and declared by the governing body of the County that:

(a) This guaranty ordinance may be adopted notwithstanding any statutory debt or other limitations, including particularly any limitation or requirement under or pursuant to the Local Bond Law, but the aggregate principal amount of the Obligations that shall be entitled to the benefits of this guaranty ordinance, being an amount not to exceed $20,000,000 outstanding at any time, shall after their issuance be included in the gross debt of the County for the purpose of determining the indebtedness of the County under or pursuant to the Local Bond Law.

(b) The principal amount of Obligations entitled to the benefits of this guaranty ordinance and included in the gross debt of the County shall be deducted, and is hereby declared to be and to constitute a deduction, from such gross debt under and for all the purposes of the Local Bond Law (i) from and after the time of issuance of the Obligations until the end of the fiscal year beginning next after the completion of the acquisition or construction of the project to be financed from the proceeds of the Obligations, and (ii) in any annual debt statement filed pursuant to the Local Bond Law as of the end of said fiscal year or any subsequent fiscal year, if the revenues or other receipts or moneys of the Authority in such fiscal year are sufficient to pay its expenses of operation and maintenance in such fiscal year and all amounts payable in such fiscal year on account of the principal of and interest on all such guaranteed Obligations, all Obligations of the County issued as provided in Section 36 of the Act (N.J.S.A. 40:37A-79), and all Obligations of the Authority issued under the Act.

Section 5. The following matters are hereby determined, declared, recited and stated:

(a) The maximum outstanding principal amount of Obligations of the Authority that are hereby and hereunder guaranteed as to the punctual payment of the principal thereof and interest thereon at any time is $20,000,000.

(b) The purpose described in this guaranty ordinance is not a current expense of the County, and no part of the cost thereof has been or shall be assessed on property specially benefited thereby.

(c) A supplemental debt statement of the County has been duly made and filed in the office of the Clerk of the Board, and a complete executed duplicate thereof has been filed in the office of the Director of the Division of Local Government Services in the Department of Community Affairs of the State, and such debt statement shows that while the gross debt of the County, as defined in the Local Bond Law, is increased by this guaranty ordinance by $20,000,000 in accordance with the provisions of the Act, the net debt of the County is not increased, and the obligation of the County authorized by or incurred pursuant to the terms of this guaranty ordinance is permitted by an exception to the debt limitations of the Local Bond Law, which exception is contained in the Act.

(d) All other items to be contained in a bond ordinance adopted pursuant to the Local Bond Law are hereby determined to be inapplicable to the County’s guaranty of the Obligations hereby.

Section 6. This guaranty ordinance shall take effect at the time and in the manner provided by law.

WHEREAS, the Somerset County Park Commission is charged with the primary responsibility of implementing the County’s “Parks”, Recreation and Open Space Master Plan”; and

WHEREAS, there are occasions for the Commission to consider and evaluate the purchase of real property that is determined to be consistent with the intent and purpose of the County’s Master Plan; and

WHEREAS, said Lot 47.25, Block 9, Franklin Township has been identified in the County’s “Parks, Recreation and Open Space Master Plan” as an integral component of a project known as the “South County Initiative”; and

WHEREAS, representatives of Somerset County have negotiated a purchase price for the parcel owned by John Bellavia and Janice L. Bellavia, consisting of approximately 6.34 acres in the amount of $280,000.00.

NOW, THEREFORE, BE IT RESOLVED that the Somerset County Board of Chosen Freeholders authorizes the execution of an agreement by and between The County of Somerset and John Bellavia and Janice L. Bellavia authorizing the purchase of 7.34 acres of land known as Lot 47.25 in Block 9 in Franklin Township for the sum of $280,000.00 as well as associated costs in an amount not to exceed 5% of the purchase price; and

BE IT FURTHER RESOLVED that the form of the Agreement shall be acceptable to County Counsel.

That William T. Cooper, III, be and is hereby appointed County Counsel of and for the County of Somerset for a term of three years commencing May 24, 2011 and expiring December 31. 2013, the compensation therefore to be at a rate as per schedule on file in the Office of the Clerk of Board.

That William P. Robertson be and is hereby reappointed Deputy County Counsel of and for the County of Somerset to serve under the control and direction of the County Counsel, such appointment to be for a term coincidental with that of the County Counsel.

That Scott D. Rodgers be and is hereby appointed Deputy County Counsel of and for the County of Somerset to serve under the control and direction of the County Counsel, such appointment to be for a term coincidental with that of the County Counsel

WHEREAS, it has been determined that the correct amount for this contract for Physician Services at 43 clinics in the Township of Franklin was listed in the resolution as $18,600.00 and should actually have been $18,060.00 affecting the recorded total amount not to exceed in the adopted resolution.

NOW, THEREFORE, BE IT RESOLVED by the Somerset County Board of Chosen Freeholders that the corrected amount of the contract and resolution is not to exceed $22,060.00 reflecting the correct amount for Physician Services at 43 clinics in the Township of Franklin.
