In February 2013, Lewis B. Kaden retired as Vice Chairman of , a position he held since 2005. At Citi, for all or part of this time, he had oversight responsibility for 12 global functions as well as several businesses including the Japan Franchise and Citi Alternative Investments. He also served as Chairman of the Citi Foundation, Citi’s Public Sector Client Group, the Business Practices Committee and the Controls and Compliance Committee. He was a member of the Executive Committee, Management Committee and Business Development Committee. Mr. Kaden was also a senior advisor to the Citigroup CEO and Board of Directors on strategic and franchise matters.

Mr. Kaden is the Lead Independent Director of ArcelorMittal, Chairman of the Board of Trustees of the Markle Foundation, Co-Chairman of the Leadership Council of the Institute for Global Development and Vice Chairman of the Board of Trustees of the Asia Society. He also serves as a trustee on the boards of The Century Foundation and Human Rights First. He is a member of the Council on Foreign Relations, Trilateral Commission and the Dean’s Advisory Board of the Harvard Law School and a former Chairman of the Harvard Law School Fund. He previously served as a director of Bethlehem Steel Corp. and as a trustee of the Environmental Defense Fund, Continuum Health Partners and the City Opera.

Before joining Citigroup, Mr. Kaden was a partner at Davis Polk from 1984-2005. His practice included corporate governance, mergers and acquisitions and advocacy before appellate courts, including the United States Supreme Court. He regularly advised directors and senior management of major corporations on significant issues.

Mr. Kaden was a Professor of Law at from 1976 to 1984 and Director of Columbia’s Center for Law and Economic Studies from 1980-1984. He was Adjunct Professor of Law from 1984 – 2005.

Additionally, Mr. Kaden served as Chairman of the United States Government Overseas Presence Advisory Panel (1999-2000), the Industrial Cooperation Council of the State of New York, and Governor Mario Cuomo’s Commission on Competitiveness (1987-1992). He served as a moderator for the Public Broadcasting System’s Media and Society Seminars, including the “Ethics in America” series, which won a Peabody award in 1985. He was the moderator of the Business-Labor Dialogue, a group of chief executive officers and trade union presidents organized by John F. Welch and John Sweeney.

From 1974 to 1976, Mr. Kaden was Counsel to the Governor of New Jersey. He was also on the legislative and policy staff of Senator Robert F. Kennedy (1967-1968).

Mr. Kaden graduated magna cum laude from Harvard College in 1963 and magna cum laude from Harvard Law School in 1967, where he was an editor of the Law Review. During 1963- 1964, he was the deJersey John Harvard Scholar at Emmanuel College, Cambridge University.
