AMENDED PETITION FOR DECLARATORY RULING

On December 23, 2020, the Federal Communications Commission (“FCC” or

“Commission”) issued a Declaratory Ruling approving the request by Univision Holdings, Inc. to

accept foreign investment in excess of the 25 percent benchmark contained in Section 310(b)(4) of the Communications Act of 1934.1 Pursuant to that Declaratory Ruling (“2020 Declaratory

Ruling”) and Section 1.5004(a)(1) of the Commission’s rules,2 Univision Holdings II, Inc.

(“Univision” or Petitioner”),3 by its attorneys, respectfully submits this Petition (“Petition”)

1 requesting that the Commission grant specific approval for SoftBank Group Corp. (“SoftBank”) and Liberty Global Ventures Holding B.V. (“Liberty Holding”), and certain identified individuals and/or entities associated with interests in each of them, to hold, directly or indirectly, equity and voting interests of more than 5% in Univision.4 As described more fully

below, approval of these proposed investments in Univision will serve the public interest by

allowing the company to raise additional capital as it continues to grow and innovate in serving

the U.S. Hispanic community.

I. BACKGROUND

Univision, the leading media company serving U.S. Hispanics, is the ultimate parent

company of broadcast licensees that own and operate 62 full-power and low-power television

stations and 58 radio stations located throughout the United States and Puerto Rico, pursuant to

licenses issued by the Commission. The company’s top-rated media portfolio includes the

Univision and UniMás broadcast networks, as well as cable networks Galavisión and TUDN, the

No. 1 Spanish-language sports network in the country.

Univision is a privately held Delaware corporation owned by four primary stockholders,

each of which holds a non-controlling interest in the Company. These four primary stockholders

are Searchlight III UTD AGG, L.P. (“Searchlight”);5 ForgeLight Univision Holdings LLC

existing stockholders of Univision Holdings, Inc. exchanged their interests in the company for substantially similar interests in a top-level holding company, Univision Holdings II, Inc. See Applications for Pro Forma Transfer of Control, Lead File No. 0000139494 et al. (filed Mar. 15, 2021). Univision Holdings II, Inc. is now the controlling parent of Univision Holdings, Inc. and directly holds all of the equity interests in Univision Holdings, Inc. 4 Each of the entities and individuals for which specific approval is sought herein will hold a non-controlling interest in Univision. 5 Prior to the consummation of the internal restructuring discussed supra in note 3, the Searchlight entity directly invested in Univision Holdings, Inc. was Searchlight III UTD, L.P.

2 (“ForgeLight”); Multimedia Telecom, S.A. de C.V. (“Multimedia Telecom”), a subsidiary

controlled by Grupo Televisa, S.A.B. (“Televisa”); and, on a non-voting basis, Liberty Holding.6

In the 2020 Declaratory Ruling, the Commission granted specific approval (within the meaning of Section 1.5001 of the Commission’s rules) to Multimedia Telecom and Liberty Ventures, as well as identified foreign individuals and entities with controlling interests, or other reportable interests, in Liberty Ventures, Searchlight III UTD, L.P., and Multimedia Telecom (including

Televisa).7 With the exception of Liberty Ventures and its parent company, Liberty Global plc,

for which such approval was not requested, the Commission granted advance approval to

Multimedia Telecom and associated reportable foreign interest holders of Searchlight III UTD,

L.P. and Multimedia Telecom (including Televisa), to increase their interests in Univision up to

and including a non-controlling 49.9% of its equity and voting interests. The Commission

granted advance approval to each of Liberty Ventures and Liberty Global plc to hold up to a

30.0% direct or indirect non-voting equity interest in Univision.

II. THE CIRCUMSTANCES PROMPTING THE FILING OF THE PETITION

In the 2020 Declaratory Ruling, the FCC found it in the public interest to grant

Univision’s request to permit foreign investors to own up to 100% in the aggregate of

Univision’s equity and voting interests. Anticipated investments in Univision by SoftBank and a

3 conversion of Liberty Holding’s investment to voting status have prompted the filing of the

instant Petition.

A. SoftBank

Through three separate investments (described more fully below), SoftBank will hold

indirectly a 7.2% equity interest and an attributable 22.6% voting interest in Univision.

First, SoftBank will hold an indirect 5.1% equity and 5.2% voting interest in Univision

through a wholly-owned subsidiary, Torch Investment Holdings LLC (“SB LLC”), via SB

LLC’s purchase of certain shares of Series C Participating Convertible Preferred Stock (the

“Series C Stock”) to be issued by Univision.8 Univision and the other Series C Stock investors

have agreed that SB LLC will serve as the “lead” investor in Series C Stock. This status will

provide SB LLC with the right to designate two members of the Board of Directors of

Univision.9

SB LLC is a Delaware limited liability company that is wholly-owned by SBLA Holdco I

LLC, a Delaware limited liability company (“SBLA Holdco”). As further detailed in

Attachment E, SoftBank will hold its indirect interest in SBLA Holdco through three non-U.S.

entities: SoftBank Latin America Fund GP (Cayman) Ltd. (“LAF GP”), a Cayman Islands

limited partnership; SoftBank Latin America Fund L.P. (“SoftBank LAF”), an Ontario, Canada

limited partnership; and SBLA L.P. (“SBLA”), also an Ontario, Canada limited partnership and

the immediate parent of SBLA Holdco. SoftBank LAF is managed by SBLA Advisers Corp., a

Delaware corporation that is also an indirect, wholly-owned subsidiary of SoftBank. SoftBank

holds its interest in SBLA Advisers Corp. through intervening foreign subsidiary SBG Managers

GK (Japan) (“SBG Managers”).

Second, another wholly-owned subsidiary of SoftBank, SoftBank Group Capital Limited

(“SGCL”), indirectly holds indirect ownership interests in RPIII Obsidian LP (“RPIII”), which

also intends to purchase shares of Series C Stock in Univision. RPIII is a Delaware entity

managed by The Raine Group.10 SoftBank’s uninsulated interest in RPIII Obsidian LP will

cause SoftBank to hold an additional indirect 0.1% equity interest and 2.3% voting interest

Univision.

SGCL is a private company limited by shares organized in the United Kingdom. SGCL’s

interest in RPIII is held through the following U.S. entities: SB Group Capital Delaware, Inc.,11

Raine Associates III Corp (AIV 2) GP LP, Raine Partners III – AIV 1 LP, and RPIII Corp

Aggregator LP.

10 RPIII itself will own a direct 2.2 percent equity and 2.3 percent voting interest in Univision as a result of its ownership of Series C Stock shares. 11 SGCL will also hold a de minimis equity interest in Univision via an indirect investment SB Group Capital Delaware Inc. will have though intervening non-attributable entities in ForgeLight United. This investment accounts for less than three one-hundredths of one percent of ForgeLight-related entities’ total investment in Univision at the closing of the contemplated transactions and does not increase SoftBank’s reportable total equity in Univision.

Third, SoftBank also will acquire, through SB LLC, an uninsulated ownership interest in

ForgeLight (United) Investors, LLC (“ForgeLight United”), a Delaware entity previously disclosed to the Commission in the 2020 Declaratory Ruling along with its wholly-owned

Delaware subsidiary, ForgeLight.12 This ownership interest will provide SoftBank with an additional, indirect 2.0% equity interest and 15.1% attributable voting interest in Univision.

Specifically, SB LLC will acquire a 13.27% membership interest in ForgeLight United from an existing member, ForgeLight Holdings LP. SB LLC will also acquire certain investor rights beyond those identified in 47 C.F.R. § 1.5003, and it will not be an insulated member in

ForgeLight United. Accordingly, as required by the Commission’s rules, SB LLC will be attributed a voting interest equal to the voting interest held by ForgeLight United.

Accordingly, through the three investments described above, SoftBank will hold a 7.2% indirect equity interest in Univision, and will be attributed an approximately 22.6% voting interest. As SoftBank’s interest will be held through intermediate foreign entities, Petitioner seeks specific approval for those entities (LAF GP, SoftBank LAF, SBLA, SBG Managers, and

SGCL), as well as for SoftBank’s largest shareholder, Mr. Masayoshi Son, as more particularly described in Attachment E.

B. Liberty Holding

Liberty Holding holds shares of non-voting Series A Convertible Preferred Stock in

Univision (“Series A Stock”), but it currently does not hold any voting stock. Specifically, the

Commission granted specific approval for both Liberty Ventures (which since transferred its interest to Liberty Holding)13 and Liberty Global plc to hold a 12% equity interest and a 12%

deemed voting interest in Univision, and advance approval to hold up to a 30% direct or indirect

non-voting equity interest in Univision.14 Univision and Liberty Holding desire for Liberty

Holding to have the ability to convert its shares of Series A Stock into Class A common stock of

Univision, which carries voting rights, with the result being that Liberty Holding would hold

slightly under 7% of the equity and voting interests in Univision.15

Liberty Holding is a private limited company organized under Dutch law. Liberty

Holding is an indirect, wholly owned subsidiary of Liberty Global plc, a public limited company

organized under the laws of England and Wales. Petitioner accordingly seeks specific approval

for Liberty Holding, intervening foreign subsidiaries Liberty Global Holding B.V. and Liberty

Global Broadband I Limited, and Liberty Global plc, to hold attributable voting interests in

Univision, as more particularly described in Attachment E.

III. GRANT OF THE PETITION IS CONSISTENT WITH COMMISSION PRECEDENT AND IS IN THE PUBLIC INTEREST

Approval of the instant Petition would serve the public interest, consistent with the

Commission’s repeated recognition of the benefits of improved “access to capital from foreign

investors,” including as to Univision specifically.16 Indeed, in adopting rules to govern the

consideration of broadcaster parent company requests for approval of up to 100% foreign voting

and equity, the FCC rightly recognized “the need to provide broadcasters, as well as those

seeking to acquire ownership interests in broadcasters, greater clarity and certainty” in an effort

to “help improve access to capital from foreign investors and promote regulatory flexibility.”17

Facilitating foreign investment in broadcast parent companies, as proposed here, “has the potential to spur new and increased opportunities for capitalization for broadcasters” which “may in turn yield greater innovation.”18 Further, the FCC has previously determined that affording

additional flexibility to structure foreign investments in Commission licensees “will promote

U.S. trade policy.”19

Acceptance of additional capital from SoftBank and conversion of Liberty Holding’s

existing investment to voting shares will further all of the above-described goals articulated by

the Commission. SoftBank and Liberty Holding are experienced investors with expertise in the

media and communications sectors, and they are committed to supporting Univision’s decades-

long history of providing local broadcasting to its markets along with its newer innovations in

streaming media and other services.20

The proposed investments likewise should not pose any national security or law

enforcement concerns, and the Committee for the Assessment of Foreign Participation in the

United States Telecommunications Services Sector (the “Committee”) will have the opportunity

to review the proposed investments and advise the Commission on them, as it did in the process

leading up to the 2020 Declaratory Ruling. Notably, the Committee reviewed Liberty Ventures

and Liberty Global plc (controlling parent of Liberty Holding) in connection with that process,

and SoftBank has been a major investor in multiple transactions that have been subject to the

Committee’s review. Univision will engage fully with the Committee in connection with the

instant Petition. Moreover, Univision remains subject to commitments made in the November

19, 2020 Letter of Agreement between Univision and the U.S. Department of Justice regarding

9 national security and law enforcement issues, and it understands that grant of the instant Petition will be subject to continued compliance with the terms of that Letter.

Set forth below is the information required by Section 1.5001 of the Commission’s rules to be included in a petition for declaratory ruling filed pursuant to Section 1.5000(a)(1).

Section 1.5001(a): With respect to each petitioning applicant or licensee, provide its name; FCC Registration Number (FRN); mailing address; place of organization; telephone number; facsimile number (if available); electronic mail address (if available); type of business organization (e.g., corporation, unincorporated association, trust, general partnership, limited partnership, limited liability company, trust, other (include description of legal entity)); name and title of officer certifying to the information contained in the petition.

For each attributable interest holder named in response to paragraphs (e) and (f) of this section, describe the nature of the attributable interest and, if applicable, specify the equity interest held and the voting interest held (each to the nearest one percent); in the case of an individual, his or her citizenship; and in the case of a business organization, its place of organization, type of business organization (e.g., corporation, unincorporated association, trust, general partnership, limited partnership, limited liability company, trust, other (include description of legal entity)), and principal business(es).

Section 1.5001(h)(1): Estimate of aggregate foreign ownership. For petitions filed under § 1.5000(a)(1), attach an exhibit that provides a percentage estimate of the controlling U.S.

parent's aggregate direct and/or indirect foreign equity interests and its aggregate direct and/or indirect foreign voting interests. The exhibit required by this paragraph must also provide a general description of the methods used to determine the percentages, and a statement addressing the circumstances that prompted the filing of the petition and demonstrating that the public interest would be served by grant of the petition.

In the 2020 Declaratory Ruling, the Commission approved Univision to have aggregate

foreign ownership of up to 100 percent. Univision does not seek by this Petition any change in

the authorized level of aggregate foreign ownership.

Section 1.5001(h)(2): Ownership control structure. Attach an exhibit that describes the ownership and control structure of the applicant(s) and/or licensee(s) that are the subject of the petition, including an ownership diagram and identification of the real party-in-interest disclosed in any companion applications. The ownership diagram should illustrate the petitioner's vertical ownership structure, including the controlling U.S. parent named in the petition (for petitions filed under § 1.5000(a)(1)) and [f]or broadcast station applicants and licensees, the attributable interest holders named in response to paragraphs (e) and (f) of this section. Each such individual or entity shall be depicted in the ownership diagram and all controlling interests labeled as such. Where the petition includes multiple petitioners, the ownership of all petitioners may be depicted in a single ownership diagram or in multiple diagrams.

Attachment D provides the information required by Section 1.5001(h)(2).

Section 1.5001(i): Requests for specific approval. Provide, as required or permitted by this paragraph, the name of each foreign individual and/or entity for which each petitioner requests specific approval, if any, and the respective percentages of equity and/or voting interests (to the nearest one percent) that each such foreign individual or entity holds, or would hold, directly and/or indirectly, in the controlling U.S. parent of the petitioning broadcast, common carrier or aeronautical radio station applicant(s) or licensee(s) for petitions filed under § 1.5000(a)(1). Each petitioning broadcast, common carrier or aeronautical radio station applicant or licensee filing under § 1.5000(a)(1) shall identify and request specific approval for any foreign individual, entity, or group of such individuals or entities that holds, or would hold, directly and/or indirectly, more than 5 percent of the equity and/or voting interests, or a controlling interest, in the petitioner's controlling U.S. parent unless the foreign investment is exempt under paragraph (i)(3) of this section.

or entities that is proposed to hold, directly and/or indirectly, more than 5 percent of the equity and/or voting interests, or a controlling interest, in Univision or a 10 percent or greater interest for individuals or entities exempt under Section 1.5001(i)(3). Equity and voting interests held indirectly have been calculated in accordance with the principles set forth in §§ 1.5002 and 1.5003 of the Commission’s Rules.

In the 2020 Declaratory Ruling, the Commission granted specific approval to Multimedia Telecom, as well as identified foreign individuals and entities with controlling interests, or other reportable interests, in Searchlight III UTD L.P. and Multimedia Telecom (including Televisa), and granted advance approval to each such individual and entity to increase its interests in Univision up to and including a non-controlling 49.9% of its equity and voting interests. The proposed investments will not cause Multimedia Telecom, or any of the reportable foreign interest holders associated with Searchlight or Multimedia Telecom (including Televisa) to exceed the parameters of the specific approval already granted by the Commission. Accordingly, Univision does not seek specific approval for these parties again in this Petition. 22 In the 2020 Declaratory Ruling, the Commission granted specific approval to Liberty Global Ventures Limited and Liberty Global plc with respect to a non-voting interest in Univision. Univision hereby seeks specific approval for Liberty Holding (as transferee of Liberty Ventures), intervening foreign subsidiaries Liberty Global Holding B.V. and Liberty Global Broadband I Limited, and Liberty Global plc to hold an attributable voting interest in Univision. 23 See supra note 22.

Section 1.5001(j): For each foreign individual or entity named in response to paragraph (i) of this section, provide the following information:

1. In the case of an individual, his or her citizenship and principal business(es)

2. In the case of a business organization: (i) Its place of organization, type of business organization (e.g., corporation, unincorporated association, trust, general partnership, limited partnership, limited liability company, trust, other (include description of legal entity)), and principal business(es)

(ii) (B) For broadcast applicants and licensees, the name of any individual or entity that holds, or would hold, directly and/or indirectly, through one or more intervening entities, an attributable interest in the foreign entity for which the petitioner requests specific approval. Specify for each such interest holder, his or her citizenship (for individuals) or place of legal organization (for entities). Attributable interests shall be calculated in accordance with the principles set forth in the Notes to § 73.3555 of this chapter.

(iii) (B) [W]here no individual or entity holds, or would hold, directly and/or indirectly, an attributable interest in the foreign entity, the petition shall specify that no individual or entity holds, or would hold, directly and/or indirectly, an attributable interest in the foreign entity for which the petitioner requests specific approval.

Attachment E provides the information required by Section 1.5001(j) with respect to each

foreign individual or entity for which the Petition seeks specific approval.

Section 1.5001(k): Requests for advance approval. The petitioner may, but is not required to, request advance approval in its petition for any foreign individual or entity named in response to paragraph (i) of this section to increase its direct and/or indirect equity and/or voting interests in the controlling U.S. parent of the broadcast, common carrier or aeronautical radio station licensee, for petitions filed under § 1.5000(a)(1) . . . above the percentages specified in response to paragraph (i) of this section.

(1) Where a foreign individual or entity named in response to paragraph (i) of this section holds, or would hold upon consummation of any transactions described in the petition, a non-controlling interest in the controlling U.S. parent of the licensee, for petitions filed under § 1.5000(a)(1), or in the licensee, for petitions filed under § 1.5000(a)(2), the petitioner may request advance approval in its petition for the foreign individual or entity to increase its interests, at some future time, up to any non- controlling amount not to exceed 49.99 percent. The petitioner shall specify for the named foreign individual(s) or entity(ies) the maximum percentages of equity and/or voting interests for which advance approval is sought or, in lieu of a specific amount,

shall state that the petitioner requests advance approval for the named foreign individual(s) or entity(ies) to increase their interests up to and including a non- controlling 49.99 percent equity and/or voting interest in the licensee, for petitions filed under § 1.5000(a)(2), or in the controlling U.S. parent of the licensee, for petitions filed under § 1.5000(a)(1).

I. SoftBank Entities and Individuals
