Re: Use of GM Printed and Video Advertisement Design Trademarks

General Motors LLC (“GM”) is the owner of the attached list of print and video advertisements. General Motors of Canada Limited (“GMCL”) is a licensee. On behalf of GM we hereby consent to Company using historical GM advertisements ("Advertisements") and the above-noted trademarks, as described in the attached list, in Canada consistent with Company‟s written request of May 5, 2010. This consent is contingent on the following terms and conditions:

(i) Company is prohibited from using the Advertisements in any way which could reflect adversely upon GMC, GMCL, or their products;

(ii) Company agrees to defend, indemnify and hold GMC and GMCL harmless from any claims, losses, damage, liability and expenses, including reasonable legal fees, disbursements and costs arising out of use of the Advertisements; and

(iii) GMC and GMCL make no representations or warranties that use of the Advertisements will not infringe the intellectual property or other rights of any third party.

This Release does not extend to use of the Advertisements or any General Motors trademark or vehicle body design in conjunction with any merchandise offered for sale or used as premiums without further written authorization by GMCL.

Please indicate your agreement to the foregoing by signing below and returning a copy of this Agreement to the undersigned.
