Background

With over 125,000 homes nationwide, we provide a home to 350,000 people. We use our scale, experience and talent to influence change. Clarion will lead the call for affordable housing and we’ll lead by example.

We are also one of the biggest housebuilders in the country, this year we completed 2,101 new homes of which 86% were for affordable tenures. We are set to build 4,000 homes each year, as we remain committed to helping to tackle the housing shortage. Two thirds of these will be affordable homes, as we continue to help those in housing need.

Clarion’s Geography

Clarion is a national organisational with homes across the country from Hull to Plymouth. It works across 150 local authorities and has over 40 offices dispersed across the regions, meaning the business is able to provide a truly local service.

Clarion Housing Group Board (the ‘Parent’)

Clarion Housing Group is an exempt charity and registered provider of social housing. Itis regulated by the Regulator of Social Housing. This Group Board is made up of 12 members, comprising 10 independent non executives and 2 executives. The Board is chaired by David Avery.

Clarion Housing Association

The housing association is the asset owner and focuses on our landlord services. The housing association is a registered provider of social housing, and regulated by the Regulator of Social Housing.

The association is responsible for 350,000 residents in 125,000 properties, with a dedicated team of more than 2,000 staff.

Clarion Housing Association Board membership

There are up to 11 Board members which includes a Chair and Vice Chair, the Chief Operating Officer, 4 residents and 4 further independent non executives. The chair is David Orr, who is a member of the Clarion Group Board.

Clarion Housing Association Board

David Orr, Chair of the Clarion Housing Association Board David is the former Chief Executive of the National Housing Federation (NHF) and spent 13 years in one of the most high profile and strategically important roles in the sector. In his time as the CEO of the NHF, David campaigned to advance the interests of housing associations at all levels of government and worked with four different prime ministers.

David has had a thirty year career in housing, which includes time as the Chief Executive of Newlon Homes and working for Centrepoint, the homelessness charity. He is a former president of Housing Europe and was previously the Chief Executive of the Scottish Federation of Housing Associations. Terry Stacy MBE JP, Vice Chair of the Clarion Housing Association Board Terry is a tenant in Islington in north London. He has over 20 years’ experience of the housing sector and has held a number of senior roles in both housing associations and local authorities at a senior level.

Before joining the board of Circle 33 he was Chair of Island Homes, part of , Chair of Old Ford Housing Association and was a board member of the Gateway Housing Association. He has been a local authority Councillor for over 16 years and former Council Leader at LB Islington. He is currently Head of the Liberal Democrat Office at the Local Government Association. Michelle Reynolds Michelle is the Chief Operating Officer of the Group's housing association - Clarion Housing, the largest housing association in the country.

She has overall responsibility for the delivery of landlord services; focusing on asset management, customer services, housing management and resident involvement across our 125,000 properties. Gloria Brown Gloria has a wealth of cross sector managerial experience and was formerly a Member of Circle Housing’s Roddons Board, as well as a Member of Circle’s Scrutiny and Income Panels. Gloria was appointed to the Housing Association Board as a Resident Member in November 2017. Elizabeth Holden Elizabeth is a former partner of Slaughter and May and has been a non-executive director for a FTSE 250 company. Andrew Hudson Andrew Hudson's career includes senior roles in a number of different public services. He was Director General, Public Services at the Treasury between 2009 and 2011, leading the work on public spending through the General Election and the first Spending Review under the Coalition. Before that he was Chief Executive of the Valuation Office Agency (2004-09) and Deputy Chief Executive (Finance and Performance) at Essex County Council (2002-04) after a couple of years there as Assistant Chief Executive (1999-2002). Much of his early career was in the Treasury.

Andrew now has a portfolio of roles. He is a non-executive at Clarion, the charity Volunteering Matters, and the What Works Centre for Wellbeing. Nearer to home, he chairs Hackney Winter Night Shelter, and The Old Church arts centre in Stoke Newington. In his spare time, he enjoys running and country walking, and is writing a book about the London to Holyhead road. Richard Towes Richard is a Resident Board Member of the Clarion Housing Association Board and he lives in Newton Le Willows, Merseyside. Richard has a wealth of experience of working within the public and housing sectors, including roles covering finance, estate and property management.

Richard was a Member of the Affinity Sutton North Scrutiny Board, he has been a Green Inspector, a Tenant representative on grounds maintenance contract procurement and is trained to serve on complaints panels. Rolf Wojtanowski Rolf is a co-opted resident member of the Clarion Housing Association Board and before the merger, a Member of Circle Housing’s Old Ford Board. He has been a resident since 2014 and lives in the area of East London.

His career has mostly focused on high level hotel management and publishing telesales marketing. Rolf enjoys being an active member of the local community and dealing with the challenges and issues the Housing Association Board. Paul Munday Paul has held executive level roles in housing development, housing investment, regeneration and business development for the past 25 years. He has experience as CEO and managing director in both the private and affordable housing sectors. He has managed more ·than 350 staff and overseen projects employing more than 1,200 construction workers. His roles have included control of annual budgets exceeding £120M and strategic responsibility for investment planning of £0.5Bn over 5 years and £2Bn over 30 years. He has both construction and financial qualifications.

He has just completed the maximum term as a non-executive director of Estuary Housing Association, where he was vice chair and chair of the development committee. Paul is a co-opted non-executive director of Leathermarket. He has particular expertise in housing development and regeneration and has been personally involved in the purchase or development of more than 10,000 affordable homes. Greg Reed Greg is currently Chief Executive Officer at HomeServe Membership, having previously been Chief Marketing Officer. Following a 20-plus year international career in banking, in 2012 Greg joined HomeServe Membership, the biggest business in the HomeServe Group, as its UK Chief Marketing Officer, becoming CEO in June 2017. Greg now leads a business of over 3,000 people, including 1,000 field engineers. In 2016, HomeServe Membership was recognised as one of the three best places to work in the UK; in the same year, The Institute of Customer Service judged HomeServe to have the most improved customer satisfaction of any business in the UK services sector.

Greg’s undergraduate degree was in Finance from Pennsylvania State University, and he also holds adoctorate in Law from Widener University School of Law Aruna Mehta Aruna has had over twenty years of experience in Banking and Finance. In May 2011, she left her role as Managing Director and Global Head of Operational Controls at JP Morgan.

She is currently Vice chair of the Board at The Kemnal Academies Trust, Governor and Chair Of Welfare Committee at Trinity School Croydon, and Non Executive Director at Epsom St Helier NHS Trust.

Role Profile

Key Responsibilities Acts as a member of the Board to:  To work within the strategic framework set by the Clarion Housing Group Board  To agree a business plan and budget for the Association and monitor progress throughout the year  Carry out statutory duties which include approving the annual report & accounts and an appropriate statement for inclusion in the annual report on the effectiveness of the association’s systems for risk management and internal control  Ensure that effective systems are in place for the management and control of the association’s performance  Ensure resident views are heard and that customer needs are a priority for the business  Comply with the legal obligations and values and objectives of the Association and the Group

Person Specification

 Willing to work as part of a team, with respect and tolerance for others.  Willing to commit the time necessary to prepare for and attend board and committee meetings, AGMs, training sessions and away days  Act in the best interests of the Association and Group and not in the interests of any individual or constituency  Ability to communicate effectively with a wide range of people  Ability to assimilate and interpret varied information from different sources; has an analytical approach and reasons logically and objectively  Ability to develop effective working relationships with fellow board members and executives  Knowledge and experience of social housing, with a strong background in housing management and resident involvement  Significant experience of working in a non-executive capacity  A good record of achievement at board/senior executive level in a significant commercial business or a complex organisation in a different sector  Commercially and financially astute, with experience of the overview of complex budgets

£10,000. Expenses and allowances will be paid in accordance with the Clarion Housing Group’s policies from time to time in force

Time commitment

Approximately 2 days a month.

You will be required to attend:

 Approximately 6 Board Meetings per annum  Attend training and Board Away Days  Undertake other non-executive tasks for the Group.

For an initial term of three years, renewable up to a maximum of 9 years (subject to review by the Remuneration and Nominations Committee)

Induction/learning and development

Clarion will provide an induction programme including meeting key executives, visiting various developments and the opportunity to attend relevant seminars and conferences.
