Glaringly absent from AT&T'sAT&T’s Opposition1/s' is any acknowledgement of AT&T's AT&T’s prior statements in the Civil Antitrust Lawsuit championing the robustness of the very rules that it now seeks to render meaningless. AT&T'sAT&T’s current view that the Commission cannot and should not issue the requested relief (including because AT&T supposedly lacks undefined "market“market power")power”)

is irreconcilable with AT&T'sAT&T’s prior representations during the Civil Antitrust Lawsuit that the program carriage/access rules are "robust"“robust” and would prevent AT&T from abusing its negotiating

leverage as a vertically integrated MVPD. Moreover, AT&T'sAT&T’s assertion that its behavior comports with the program carriage rules is simply wrong. AMCN submits this brief Reply to highlight just a few of the reasons why.22/'

First,First, AT&T'sAT&T’s assertion that the Commission lacks authority to grant the requested relief is contrary to the Commission'sCommission’s own expressed view of its "statutory“statutory authority to act on [a] petition

for interim relief pursuant to the authority granted to the Commission under Section 4(i) of the

Act."Act.”313/ While AT&T claims the Second Circuit'sCircuit’s decision in Time WarnerWarner Cable Inc. v. FCC, 729

F.3d 137 (2d Cir. 2013) prevents the Commission from exercising this authority, the Second

Circuit invalidated the specific standstill rule under Section 76.1302 due to lack of notice and comment, and did not decide whether the Commission otherwise had the authority.44/'

Second,Second, AT&T incorrectly relies on GSN to support its contention of unjustifiable delay.

But there, the Commission found that the complainant "did“did not seek relief until almost nine months after the repositioning"repositioning” at issue occurred.55/' Here, by contrast, AMCN has filed for relief {{{

}} before the adverse action occurs and merely seeks to preserve the status quo pending adjudication of its Complaint. Moreover, upon receiving AMCN'sAMCN’s 1010-day-day notice of its intent to

filefile a program carriage complaint, AT&T told AMCN that {{{

}}.II. Moreover, even with the complainedcomplained-of-of delay, AT&T, with virtually unlimited resources, was able by August 21, 2020 to prepare a 3838-page-page Opposition to

AMC'sAMC’s 21 21-page-page Petition and retain two high-priced experts to present an expert opinion, submitting a 135135-page-page package in response. Its feigned claims of prejudice and unjust delay should be disregarded entirely.

ThirdThird,, AT&T's AT&T’s responses to AMCN's AMCN’s similarly situated analysis are spurious. For example, AT&T argues that HBO/TNT are not similarly situated to AMC/AMC+ with respect to drama as their core programming genre, even though TNT'sTNT’s own website is

6/ “www.tntdrama.com”" www.tntdrama.com" and HBO'sHBO’s signature shows have long been in the drama genre.6' AT&T also derisively refers to the networks'networks’ competition at the Emmys in all relevant drama categories as a "hodgepodge“hodgepodge of references to specific Emmy categories"categories” even though these are the premier television awards in the core genre in which HBO, TNT, and AMC compete. AT&T also argues that AMC'sAMC’s list of accolades in its Petition is "outdated,"“outdated,” yet this list reflects that AMC received two Emmy nominations for Outstanding Drama Series in 2020, while HBO only received one.

Similarly unavailing is AT&T'sAT&T’s effort to minimize the similarity in ratings between HBO,

TNT, and AMC in the Adult 25-54 demographic during primetime with respect to their original

This is just another example of AT&T trying to define itself permanently out of the program carriage rules.

programming. This is the demographic and timeframe considered most significant to those in the programming industry, and AT&T'sAT&T’s feigned unawareness of this cannot be seriously credited.

In addition, although AT&T highlights HBO'sHBO’s higher programming budget, carriage fees and videovideo-on-demand-on-demand library compared to AMC, these facts are why the program carriage rules are needed to protect smaller and unaffiliated programmers. The rules do not immunize vertically integrated MVPDs who can spend more on programming and use their size to demand higher rates.

Moreover, AT&T'sAT&T’s attempt to dismiss the hundreds of millions of dollars it is giving to HBO to spend on content as a different stream of money from license fees and thus irrelevant further underscores the need for program carriage relief. Vertically integrated distributors should not be able to funnel separate streams of money to their affiliated programmers and discount it as "not“not the same."same.”7/71

Fourth,Fourth, AT&T argues that because it ran a churn and break-even analysis, it is immunized

from a program carriage complaint. If this were true, however, no programmer could succeed in a program carriage complaint, as any vertically integrated MVPD could claim that it performed an economic analysis to support its discriminatory decision. This would render the program carriage rules toothless, which directly contradicts AT&T's AT&T’s description of them in the Civil Antitrust

Litigation. AT&T also claims that AMC is no longer as popular is it previously was, but AMC'sAMC’s rankings cited in the Complaint are as strong this year as before. In addition, AMC'sAMC’s social media buzz and impact on popular culture is stronger than ever. AMC is among the top 10 most talked about adad-supported-supported cable networks, and it is the second most searched adad-supported-supported cable network this year. 8/8' And AMC'sAMC’s The WalkingWalking Dead and Killing Eve were the top 2 sociallysocially-engaging-engaging

dramas this year.99/'

Fifth,Fifth, AT&T grossly mischaracterizes the {{■ {{ }}} } as

"consistent“consistent with industry practice."practice.” This is flatlyflatly untrue. {{

}}.11. And during the Civil Antitrust

Trial, AT&T repeatedly told the Court that it needed to acquire programming that it could offer directly to consumers to remain viable in the changing landscape. AT&T'sAT&T’s new argument that the restriction is actually propro-competitive-competitive is therefore extremely disingenuous. AMCN is not trying

{{ }};11; cable networks regularly bargain for and obtain {{

}}.11. The notion that AMC should

{{ }}11 if it wants to avoid AT&T'sAT&T’s discriminatory conduct is ludicrous; AT&T cannot favor its own networks over any others, premium or not. Moreover, AT&T inaccurately portrays the {{ }}}1 as focused solely on {{

}}.}1. In truth, AT&T is seeking to {{

}},}1, which is far different and

far worse.

Sixth,Sixth, AT&T focuses only on the short-term harm that will befall AMCN if the Petition is not granted, but this misstates the relevant standard and practical framework. AT&T has given

AMCN a choice between {{ } }},} , meaning that the {{ } }}} is the relevant consideration at stake here. And while AT&T criticizes AMC for not providing evidence of prior disruptions as examples of irreparable harm, those disruptions were in an earlier time period (2012) that AT&T itself claims is "outdated"“outdated” elsewhere in the Complaint. In the current landscape, the harm actually would be irreparable.

Seventh,Seventh, AT&T argues that the public interest does not favor the requested relief. This is not so. In fact, after AMCN publicly filedfiled its Petition, numerous advocacy groups and government officials reached out to AT&T and AMC to express concern, emphasizing the critical nature of

AMCN'sAMCN’s programming to the welfare of their constituents, including many underserved communities that rely upon AMCN'sAMCN’s diverse programming lineup. As the NAACP San Diego

Branch explained:

As an organization committed to a culturally diverse community, many members of our community regularly rely on AT&T to facilitate access to vital programming on each of the aforementioned networks. AMC Networks' Networks’ channels provide customers and fans with some of the most popular, diverse and critically acclaimed programming on television in the country.

In particular, WE tv is the #1 cable network for African American women on Thursday and Friday nights, serving as an important source of programming that highlights diverse and positive female voices. Equally important, during the most recent TV season, three of AMC'sAMC’s programs, including "Fear“Fear the Walking Dead,"Dead,” "Better“Better Call Saul,”Saul," and the biggest show on cable, "The “The Walking Dead," Dead,” were among the top viewed drama programs on cable among Hispanic audiences, with "The“The Walking Dead"Dead” ranking #2.

AMC Networks, on the other hand, is committed to delivering programming that represents the diversity of this country. Given our role in serving the African American

community in San Diego, we would like to express our support for AT&T to continue to make this valuable and diverse programming available to its customers.10110/

Numerous government officials and other minority advocacy groups have echoed this sentiment.11/

Depriving viewers of a favored source of programming during a nationwide pandemic would be an incredible blow to these viewers and harm the public interest. By contrast, requiring AT&T to continue carriage under the current terms pending resolution of the Complaint would cause no substantial harm to AT&T and would not harm the public interest in any way.

CONCLUSION

This dispute cries out for the imposition of the temporary relief requested by AMCN.

AT&T'sAT&T’s arguments to the contrary have no merit.

Many of my constituents rely on AT&T to facilitate access to vital programming on each of the aforementioned networks. AMC Networks'Networks’ channels provide customers and fans with some of the most popular, diverse and critically acclaimed programming on television in the country.

In particular, WE tv is the #1 cable network for African American women on Thursday and Friday nights and is an important source of programming, focused on diverse and positive female and diverse voices. Equally important, during the most recent TV season, AMC'sAMC’s "Fear“Fear the Walking Dead,"Dead,” "Better“Better Call Saul,"Saul,” and the biggest show onon cable, "The“The Walking Dead,"Dead,” were among the top viewed drama programs on cable among Hispanic audiences with "The“The Walking Dead"Dead” ranking #2.#2.

As a member of the New York City Council, I share my constituents'constituents’ concerns over the increased costs passed on to the consumer as a result of extreme consolidation in the provision of cable TV and Internet. I also share their concerns that the programming that does reach them be diverse, as well as entertaining. These concerns raise another one: when companies as large as AT&T exert undue influence over the providers who depend on them for distribution, and when that influence reduces the available options for viewers while increasing the cost they have no choice but to pay, government must reluctantly step in. For these reasons, I urge you, as one of the largest pay-tv providers in the country, to continue any ongoing negotiations in good faith, and resolve matters equitably, so that AMC Networks, like AT&T, can continue to provide the kind of quality and diversity that New Yorkers rely on.
