SECTION 1 LETTER OF INVITATION

Date: 19 -12-2013 RFP No.: DCE/SS/NN-1/17/2013-14

1. The Commissioner, Department of Collegiate Education (hereinafter referred to as the “Client”) invites proposals from eligible bidders [the “Agencies”] for undertaking the services as detailed in the table below and more detailed out in the Terms of Reference provided in Section 5 of this RFP (the “Services”). The Agency may submit the proposals for any one or both the Packages [Hereinafter the Service detailed in Sr. No. 1 of the table below be referred to as “Package I” and Service detailed in Sr. No. 2 of the table below be referred to as “Package II” and both Package I and Package II hereinafter referred to as “Packages”] electronically in the unified E-procurement platform of the Department of e Governence, Government of Karnataka (http://www.eproc.karnataka.gov.in). The Client is desirous of selecting up to 5 (five) Agencies for each of the Packages. The selected Agency(ies) shall be responsible to undertake the Services in the colleges allotted to them as per the terms and conditions set out in the RFP Document.

2. Agency will be selected on Least Cost Selection (LCS) basis and procedures described in this RFP.

4. Tender documents may be downloaded from the E-Procurement platform http://www.eproc.karnataka.gov.in Interested Agencies may obtain further information at the same address. The Client will not be responsible for technical glitches in the computer systems and internet connectivity used by the Agencies during uploading of Proposals.

5. Proposals must be electronically submitted online in the E-Procurement platform http://www.eproc.karnataka.gov.in on or before the time and date specified in the Bidding Schedule. A one-time registration in the e-Procurement platform is a pre-requisite for submission of Proposals. If an interested Agency is not already registered, it shall procure a digital signature certificate and get registered in e-Procurement platform. The Technical Proposals submitted by the Agency will be opened at prescribed time and date specified in the Bidding Schedule, in the presence of the Bidders who wish to attend at the Office of the Commissioner, Department of Collegiate Education, 2nd Floor, DTE Building, Palace Road, Bangalore-560 001. If the office happens to be closed on the date of opening of the proposals as specified, the Proposals will be opened on the next working day at the same time and venue.

6. A Pre- Proposal meeting will be held at the time and place specified in the Bidding Schedule to clarify the issues, if any, and to answer questions on any matter that may be raised at that stage.

7. No separate invitation/ intimation will be issued to any Agency to participate in Pre- Proposal meeting.

8. Submission of Proposals

The interested Agency may submit the Proposal for one or both the Packages. Where the Agency is submitting its Proposal for both the Packages, it shall submit a common Technical Proposal. However, the Agency is required to upload separate Financial Proposals for each of the Packages. The evaluation of the Proposals would be carried out in two stages.

Stage 1: Evaluation of Technical Proposal Stage 2: Evaluation of Financial Proposal

The Technical Proposal should comprise of all the documents specified in Clause 3 of Section 2 and in the format prescribed at Section 3.The Financial Proposal should be submitted as specified in Clause 3.6 of Section 2 and in the formats prescribed at Section 4. In case the details furnished by the Agency as per Section 3 and Section 4 are incomplete/ inadequate, the proposal shall be summarily rejected.

9. The Proposals must be accompanied by Earnest Money Deposit (EMD) for the amount mentioned in the table 2 below, refundable to unsuccessful agencies within the reasonable period, except in the case of the Selected Agency whose EMD shall be retained till it provides Performance Security as per the terms of Contract. The EMD payment shall be through E- Procurement platform, through any of the five e-Payment options, namely: i. Credit Card ii. Debit card iii. Net banking iv. National Electronic Funds Transfer (NEFT) v. Over the Counter (OTC)-designated banks located across the country

The e-payment made under any of the above options shall remain valid for a period of 45days beyond the validity of the Proposal, or beyond any period of extension subsequently as determined by the Client from time to time. The Proposals shall be summarily rejected if the Proposals are not accompanied by EMD for relevant amount.

Please note that the payments submitted through cheque or demand draft shall not be accepted. For further details regarding ePayment, please refer to eProcurement platform.

The earnest money deposit may be forfeited:

(a) if the Agency withdraws the Proposal after opening of Proposals during the period of validity of Proposals; (b) if the selected Agency fails within the specified time limit to (i) sign the Contract with the Client; or (ii) furnish the required Performance Security deposit

Upon furnishing of the Performance Security by the selected Agency, the Client will promptly notify the other Agencies that their Proposals have been unsuccessful. The Client would return the EMD of unsuccessful Bidder within a reasonable period. EMD shall be returned without any interest.

10. The Agencyshould satisfy all the terms and conditions laid down hereunder in relation to the training. All conditional bids/ proposals will be rejected.

11. Performance Security: At the time of signing of the Contract with the Client, the successful Agency shall deliver to the Client an irrevocable and unconditional Performance Security deposit in the form of the Bank Guarantee issued either by a Nationalized/Scheduled bank for an amount equivalent to 5% of the Contract price in the format provided in Appendix F. The Performance Security deposit shall be kept valid during the Contract Period and three months thereafter.

SECTION 2: INFORMATION TO AGENCY

1. INTRODUCTION

1.1 The Client named in the "Data Sheet" will select the Agency(ies) in accordance with the method of selection indicated in the Data Sheet.

1.2 Agency(ies) are invited to submit Technical and Financial Proposals, as specified in the Data Sheet (the Proposal) for services required for the Assignment named in the Data Sheet. The Proposals will be the basis for contract negotiations and ultimately for a signed contract with the selected Agency(ies).

1.3 The assignment shall be implemented in accordance with the phasing indicated in the Data Sheet. When the Assignment includes several phases, the performance of the Agency under each phase must be to the Client’s satisfaction before work begins on the next phase.

1.4 The Agencies must familiarize themselves with local conditions and take them into account in preparing their Proposals. To obtain first-hand information on the assignment and on the local conditions, Agency are encouraged to pay a visit to the Client’s office/colleges where services are to be delivered before submitting a Proposal, and to attend a pre-proposal conference specified in the Data Sheet. Attending the pre-proposal conference is optional. The Agency's representative should contact the officials named in the Data Sheet to arrange for their visit or to obtain additional information on the pre-proposal conference. Agency should ensure that these officials are advised of the visit in adequate time to allow them to make appropriate arrangements.

1.5 The Client will provide the inputs specified in the Data Sheet, assist the Agency in obtaining licenses and permits needed to carry out the services, and make available relevant project data and reports.

1.6 Please note that (i) the costs of preparing the proposal and of negotiating the contract, including a visit to the Client/Colleges, are not reimbursable as a direct cost of the assignment; and (ii) the Client is not bound to accept any of the Proposals submitted.

1.7 The Client expects Agency to provide professional, objective, and impartial advice and at all times hold the Client's interests paramount, without any consideration for future work, and strictly avoid conflicts with other assignments or their own corporate interests. Agency shall not be hired for any assignment that would be in conflict with their prior or current obligations to other clients, or that may place them in a position of not being able to carry out the assignment in the best interest of the Client.

1.7.1 Without limitation on the generality of this rule, Agency shall not be hired under the circumstances set forth below: a) A firm which has been engaged by the Client to provide goods or works for a project, and any of their affiliates, shall be disqualified from providing consulting services for Department of Collegiate Education Page 8 of 82

the same project. Conversely, firms hired to provide consulting services for the preparation or implementation of a project, and any of their affiliates, shall be disqualified from subsequently providing goods or works or services related to the initial assignment (other than a continuation of the firm's earlier consulting services) for the same project. b) Agency or any of their affiliates shall not be hired for any assignment which, by its nature, may be in conflict with another assignment of the Agency.

1.7.2 To be eligible for submission of Proposal under this Tender Document, the Agency shall have turnover of atleast an amount of Rs. 1.5 Crore (Rupees one crore fifty lakhs) in any one of the last 3 Financial Year preceding Proposal Due Date and turnover of an amount not less than Rs. 75 lakh (Rupees Seventy Five lakh only) in each of the of the last 3 Financial Years. The Agency shall submit the certificate of the Statutory Auditor in this regard as part of its Technical Proposal.

1.8 It is the GoK’s policy to require that Agency observe the highest standard of ethics during the execution of such contracts. In pursuance of this policy, the GoK: a) defines, for the purposes of this provision, the terms set forth below as follows:

i) "corrupt practice" means the offering, giving, receiving, or soliciting of anything of value to influence the action of a public official in the selection process or in contract execution; and

ii) "fraudulent practice" means a misrepresentation of facts in order to influence a selection process or the execution of a contract to the detriment of the Client, and includes collusive practices among Agency (prior to or after submission of proposals) designed to establish prices at artificial, noncompetitive levels and to deprive the Client of the benefits of free and open competition. b) will reject a proposal for award if it determines that the firm recommended for award has engaged in corrupt or fraudulent activities in competing for the contract in question; c) will declare a firm ineligible, either indefinitely or for a stated period of time, to be awarded the GoK-financed contract if it at any time determines that the firm has engaged in corrupt or fraudulent practices in competing for, or in executing, a GoK-financed contract; and d) Will have the right to require that, the GoK/Client to inspect Agency's accounts and records relating to the performance of the contract and to have them audited by auditors appointed by the GoK/Client.

1.9 Agency shall not be under a declaration of ineligibility for corrupt and fraudulent practices issued by the GoK in accordance with the above sub Para 1.8 (c).

1.10 Agency shall be aware of the provisions on fraud and corruption stated in the standard contract under the clauses indicated in the Data Sheet. Department of Collegiate Education Page 9 of 82

2. CLARIFICATION AND AMENDMENT OF RFP DOCUMENTS

2.1 Agency may request a clarification of any item of the RFP document before the Proposal submission date. Any request for clarification must be sent in writing by paper mail, cable, telex, facsimile, or electronic mail (email) to the Client's address indicated in the Data Sheet. The Client will endeavour to respond to the queries within the due date specified in the Bidding Schedule, but no later than 2 (two) days prior to the last date for Proposal submission. The responses will be published as addendum on eProcurement platform without identifying the source of queries.

2.2 At any time before the submission of Proposals, the Client may, for any reason, whether at its own initiative or in response to a clarification requested by an invited Agency, modify the RFP documents by the issuance of Addenda. Any Addendum hereunder will be published in the eProcurement platform in the form of addenda and the published details shall be binding on the participating Agency(ies). In order to afford the Agency(ies) a reasonable time for taking an Addendum into account, or for any other reason, the Client may, in its sole discretion, extend the Proposal submission date. Information about extension of the Proposal submission date will be published in the eProcurement platform. The changes, if any, in this RFP will be updated not beyond TWO days prior to the Proposal Submission due date.

3. Preparation of Proposal

3.1 Agencies are requested to submit Proposals (Para 1.2) written in the language(s) specified in the Data Sheet.

Technical Proposal

3.2 In preparing the Technical Proposal, Agency are expected to examine the documents comprising this RFP in detail. Material deficiencies in providing the information requested may result in rejection of a Proposal.

3.3 While preparing the Technical Proposal, Agency must give particular attention to the following:

(i) If an Agency considers that it does not have all the expertise for the Assignment, it may obtain a full range of expertise by associating with other Agency or entities in a joint venture or sub-consultancy, as appropriate.

(ii) The estimated number of key professional staff is given in the Data Sheet.

(iii) It is desirable that the majority of the key professional staff proposed be permanent employees of the Agency or have an extended and stable working relation with it.

(iv) Proposed key professional staff must at a minimum have the experience indicated in the Data Sheet. Department of Collegiate Education Page 10 of 82

(v) Alternative key professional staff shall not be proposed, and only one curriculum vitae (CV) along with recent photograph may be submitted for each position.

(vi) Reports to be issued by the Agency as part of this assignment must be in the language(s) specified in the Data Sheet. It is desirable that the firm's personnel have a working knowledge of the Client's official language.

3.4 The Technical Proposal should provide the following information using the attached Standard Forms (Section 3):

(i) Technical Proposal Submission form (Section 3A)

(ii) A brief description of the Agency's organization and an outline of recent experience in Similar Assignment as defined in Data Sheet (Section 3B). For each assignment, the outline should indicate, inter alia, the profiles and names of the staff provided, duration of the assignment, contract amount, and Agency's involvement along with supporting documents such as client certificate in case the assignment has been completed, agreement entered with the respective client in case of ongoing assignments.

(iii) Any comments or suggestions on the Terms of Reference, the data and facilities to be provided by the Client (Section 3C).

(iv) A detailed description of the proposed methodology, work plan, staffing and monitoring of training for performing the assignment, if the Data Sheet specifies training as a major component of the Services. (Section 3D).

(v) The list of the proposed key professional/personnel’s by specialty, the tasks that would be assigned to each key professional, estimates of the total support staff to be provided to carry out the assignment, supported by bar chart diagrams (Section 3E).

(vi) CVs recently signed by the proposed key professional staff and the authorized representative submitting the proposal (Section 3F). Key information should include number of years working for the firm/entity, and degree of responsibility held in various assignments during the last three (3) years.

(vii) Activity Schedule (Section 3G)

(viii) Any additional information requested in the Data Sheet.

(ix) Certificate of Incorporation/Registration

(x) Format for statement of Financial Capability (Section 3H)

3.5 The Technical Proposal shall not include any financial information.

Financial Proposal

3.6 In preparing the Financial Proposal, Agency are expected to take into account the requirements and conditions of the RFP documents. The Financial Proposal should be furnished in electronic mode in the Standard Forms (Section 4) made available on the eProcurement Platform. In case the Agency is submitting its proposal for both the Packages, separate Financial Proposal for each of the Packages are required to be uploaded in the slot provided for the same in the e-procurement platform. The Financial Proposal should contain the cost for undertaking the Service for each of the Package on per student per hour basis. Agency while submitting its financial proposal shall take into account the cost associated with the Service, including (a) cost of providing training (b) remuneration for staff/tutors, (c) cost of transportation (national and local), (d) Cost of board and lodging, (e) cost of insurance, (f) cost of printing of documents and study materials for the Students and any other cost associated therewith. 3.7 a. Agencies shall quote the same Rate per student per hour for each/both the packages. b. Agency shall express the price of their services in Indian Rupees. 3.8 The Data Sheet indicates how long the proposals must remain valid after the submission date. During this period, the Agency is expected to keep available the key professional staff proposed for the assignment. The Client will make its best effort to complete negotiations within this period. If the Client wishes to extend the validity period of the proposals, the Agency who do not agree have the right not to extend the validity of their proposals. 4. Submission, Receipt and Opening of Proposals 4.1 The Bidder shall submit their Proposals i.e. Technical Proposal and Financial Proposal in electronic mode using their digital signatures in the correct slots on eProcurement platform http://www.eproc.karnataka.gov.in within the date and time published in the Bidding Schedule.

4.2 The Proposals shall contain no Alterations or Additions, except those to comply with Instructions issued by the Client that are duly incorporated.

4.3 Each document submitted as part of Technical Proposal and Financial Proposal shall be duly signed by the Agency or a Person or Persons duly authorised to sign on behalf of the Agency. Such authorization shall be indicated by a Written Power – of – Attorney accompanying the Proposal. The Client shall not be responsible for technical glitches in the desktop and internet connectivity services used by the Agency.

4.4 All the documents of the Proposal submitted in electronic mode under this RFP shall be uploaded on E-procurement platform: www.eproc.karnataka.gov.in.The Client reserves the right to seek original documents for verification of any of the documents submitted in electronic mode or any other additional documents upon opening of the Proposals.

4.5 Financial Proposals will not be opened until Technical Evaluation has been completed and the Result approved and notified to all the Agency(ies).

5. Proposal Evaluation

General

5.1 From the time the Proposals are opened to the time the contract is awarded, if any Agency wishes to contact the Client on any matter related to its Proposal, it should do so in writing at the address indicated in the Data Sheet. Any effort by the Agency to influence the Client in the Client's Proposal evaluation, Proposal comparison or contract award decisions may result in the rejection of the Agency's Proposal.

5.2 Evaluators of Technical Proposals shall have no access to the Financial Proposals until the technical evaluation, including its approval by competent authority is obtained

5.3 The evaluation committee appointed by the Client as a whole, and each of its members individually evaluates the Proposals on the basis of their responsiveness to the Terms of Reference, applying the evaluation criteria, sub-criteria (typically not more than three per criteria) and point system specified in the Data Sheet. Each Responsive proposal will be given a technical score (St). A proposal shall be rejected at this stage if it does not respond to important aspects of the Terms of Reference or if it fails to achieve the minimum technical score indicated in the Data Sheet.

Public Opening and Evaluation of Financial Proposals: Ranking

5.4 After the Evaluation of the Technical Proposals is completed, the Client shall display on the eProcurement platform the list of the Agency(ies) whose Proposals did not meet the minimum qualifying mark or were considered non responsive to the RFP and Terms of Reference, indicating that their Financial Proposals shall not be opened. The Client shall simultaneously display on the eProcurement platform the list of successful Agency(ies) whose financial proposals would be opened for evaluation.

5.5 The Financial Proposal shall be opened on the eProcurement platform in the presence of the Agency’ Representatives who choose to attend. The name of the Agency, the Technical Scores and the proposed Prices shall be read aloud and recorded when the Financial Proposals are opened.

5.6 The Evaluation Committee shall determine whether the Financial Proposals are complete, and correct any Computational Errors.

5.7 The Client will select the Agency(ies) who has quoted the lowest financial proposal among those that passed the minimum technical score in the manner provided in the Data Sheet. The selected Agency(ies) will be invited for negotiations.

6. Negotiations

6.1 Negotiations will be held at the address indicated in the Data Sheet. The aim is to reach agreement on all points and sign a contract. Further, as set out in Clause 5.7 negotiation may be made with the Agencies quoting higher than the First Selected Bidder to match the financial Bid of the First Selected Bidder.

6.2 Negotiations will include a discussion of the Technical Proposal, the proposed methodology (work plan), staffing and any suggestions made by the firm to improve the Terms of Reference. The Client and Agency will then work out final Terms of Reference, staffing, and bar charts indicating activities, staff, periods in the field and in the home office, logistics, and reporting. The agreed work plan and final Terms of Reference will then be incorporated in the "Description of Services" and form part of the contract. Special attention will be paid to getting the most the firm can offer within the available budget and to clearly defining the inputs required from the Client to ensure satisfactory implementation of the Assignment.

6.3 Having selected the Agency on the basis of, among other things, an evaluation of proposed key professional staff, the Client expects to negotiate a contract on the basis of the experts named in the Proposal. Before contract negotiations, the Client will require assurances that the experts will be actually available. The Client will not consider substitutions during contract negotiations unless both parties agree that undue delay in the selection process makes such substitution unavoidable or that such changes are critical to meet the objectives of the assignment. If this is not the case and if it is established that key staff was offered in the proposal without confirming their availability, the Agency may be disqualified.

6.4 The negotiations will conclude with a review of the draft form of the contract. To complete negotiations the Client and the Agency will initial the agreed contract. If negotiations fail, the Client may invite the remaining Agency(ies) in the manner set out in this RFP Document.

7. Award of Contract

7.1 The contract will be awarded following negotiations. After negotiations are completed, the Client will promptly notify the unsuccessful agencies.

7.2 The Agency is expected to commence the Assignment on the date and at the location specified in the Data Sheet.

8. Confidentiality

8.1 Information relating to evaluation of proposals and recommendations concerning awards shall not be disclosed to the Agency who submitted the proposals or to other persons not officially concerned with the process, until the winning firm has been notified that it has been awarded the contract.

Description of the Assignment:

Objectives: To Impart Training in Communication Skill & Social Skill to First & Second Year Undergraduate Students of Government First Grade Colleges in Karnataka

Package I: Communication Skill Training for II Semester students (comprising approximately one lakh students from among various Government colleges in Karnataka) for 50 hours duration.

Package II: Social Skills Training for IV Semester students (comprising approximately ninety thousand students from among various Government colleges in Karnataka)-for 50 hours duration. Note: i) The Agency is required to provide training to the students in Government First Grade Colleges. List of all the colleges covered in this regard are provided in Schedule A1. ii) The content specifications of the training modules to be used by the Agencies to undertake Service are provided in Schedule A2 & Schedule A3.

1.3 No phasing is envisaged.

Education and skill up gradation is a basic requirement in the present day world. Mission is to empower the students to improve the Communication and Social skill and knowledge in various sectors. Social Skill training programmes will enable the students to take up jobs in various job verticals. The scope of the programme is to make the students industry ready and provide livelihood opportunities for employment. (viii) Additional Information in the Technical Proposal: As listed in Section 3. Submit the supporting documents for each of the Similar Assignment submitted as part of Technical Proposal, such as completion certificates from the Client, copy of the agreement entered with the client or work order or any other document establishing the experience of the Agency with regard to the qualification criteria mentioned in the RFP. Further, the Agency shall provide the following documents; (a) Self attested undertaking providing information about the staff on rolls of the Agency. (b) Statutory Auditor’s certificate as specified in Clause 1.7.2 of this Section.

5.7 The opening of the Financial Proposals, its evaluation and ranking of the Agencies for undertaking the Services under both the Packages shall be carried out in the following manner:

(a) The Client is desirous of selecting not more than 5 (five) Agencies for each of the Packages. To ensure that each of the Agencies selected under this bidding process gets the students from the colleges across the State, the Client has divided the colleges across the State into six regions. The regions, regionwise number of students and the colleges covered under each of the regions are given in Schedule A1.

(b) At the outset, the Financial Proposals of all the Agencies that have submitted Proposal for Package I and those who have scored minimum technical score as provided in Clause 5.3 shall be opened in the presence of the Agencies’ Representatives who choose to attend. Upon evaluation thereof (the “First Round of Bidding”), the Agency that has quoted the lowest financial proposal shall be declared as the preferred Agency (the “First Selected Agency”) after negotiation. On declaration of the First Selected Agency, all the other Agencies that has submitted their financial bid for Package I in the First Round of Bidding, but have quoted Department of Collegiate Education Page 18 of 82

more than the First Selected Agency would be invited to match the quote of the First Selected Agency. In the event where more than 4 Agencies agrees to match the quote of the First Selected Agency, the four Agencies from amongst them would be selected based on the quote given by them in the First Round of Bidding in the order of lowest to highest. For example if the third, fifth, sixth, seventh, ninth and tenth lowest Agencies in the First Round of Bidding offers to match the First Selected Agency, the third, fifth, sixth and seventh lowest Agencies shall be selected. In the event where less than 4 Agencies agree to match the quote of the First Selected Bidder, all of them would be declared as the selected Bidders.

(c) Depending on the number of Agencies selected in the manner given in sub-clause (c) above, the students from each of the region would be allotted to each of such selected Agencies. The percentage of students that are allotted to each of the Agencies, in the order of lowest to highest financial bid in the First Round of Bidding is given in the table no. 4 below. As stated above, where 5 Agencies are selected, the First Selected Agency would be given 28% of the Students from each of the regions. The next 4 selected Agencies would each be given 18% of the students from each of the regions. Similarly, the above table shows the percentage of students to be allotted to each of the selected Agencies where only 4, 3 and 2 Agencies are selected. Where, none of the Agencies matches the First Selected Agency, the First Selected Agency shall be allotted 100% of the Students from each of the regions.

Similar process as envisaged above for Package I would be followed for identification and allotment of students for Package II.

SECTION – 5 TERMS OF REFERNCE

5.1 Background

In the last decade, Karnataka has emerged as a key State in India with setting up of knowledge based industries such as IT, biotechnology and engineering. The State leads in electronics, computer software and biotechnology exports. Another milestone in the history of Karnataka is that it has emerged as the ‘Science Capital of India’, with over 100 Research & Development (R&D) Centres, and a preferred destination for multinational companies. Karnataka’s capital Bengaluru is known as the ‘Silicon Valley of India’ and is ranked among the top four technology clusters of the world.

Education and skill up-gradation has become the corner stones of Government Policy in Karnataka. In 2008, the State Government set up the State Skill Commission with a mission to empower all individuals through improved skills and knowledge. NSDC has taken up a district wise skill gap study and identified various high growth skill sectors. These sectors have been focused to facilitate the youth with the appropriate skill to make them industry ready.

It is well established that the Indian education system is content-rich but hands-on experience poor. Thus we have a paradoxical situation in the country and the state, where the population and the unemployment are growing while the industry faces dearth of skilled manpower. To address this issue the central and state governments have initiated several skill training programmes for generating global level productive workforce for the synergistic benefit of both employee and the employer. Government of Karnataka has taken up a novel skill development programme, Naipunya Nidhi envisaging that every student would become a treasure of skills and would be industry-ready when one emerges out of the college.

5.2 About the Department of Collegiate Education

The Department of Collegiate Education since its inception in 1960 has been striving hard to make quality higher education affordable and accessible to all sections of society. With a firm concern for the overall development of the students, the department has been taking keen interest to see that the students belonging to the backward communities, women and rural students are not deprived of the accessibility to tertiary education.

The department administers 362 government colleges spread over 11 universities in the state. The department has six regional offices, which are situated in Bangalore, Mysore, Mangalore, Shimoga, Dharwad and Gulbarga headed by Joint Directors.

Students opting government colleges are generally from the under-privileged section, many of whom are first generation learners. Limited resources, poor exposure and opportunities to such students result in very low self-esteem and profile. They neither possess the skills to be gainfully employed nor are they industry ready. Naipunya Nidhi, a skill development programme launched by the Department of Collegiate Education for the undergraduate students, is a novel step towards the holistic development of students.

The Department of Collegiate Education has brought degree level education within the reach of the common man. The primary aim of the department has been overall development of students. The department has undertaken the responsibility of providing higher education to the poor, backward and weaker sections of the society, education being the path to improving intellect and ensuring progress of mankind.

5.3 A Concise Statement of Objectives

Government of Karnataka initiated Naipunya Nidhi Programme as a mission mode project for the students of the Department of Collegiate Education with a sole aim to provide quality industry oriented skill training to nearly 2.8 lakh students. Currently the focus is to provide training to nearly 1.9 lakh students in Communication and Social skills studying in First and Second year degree courses.

The broad aim of Naipunya Nidhi is to fulfill the growing skilled manpower requirements of the state and bridge the gap between supply and demand. Within this broad framework, the specific objectives of training programme are:

 To enhance the employability of the students graduating from regular academic courses by introducing additional skill training programmes along with the regular studies.

 To ensure students attain a reasonable level of competence in English Communication as well as in the domain of soft skill & social skill.

5.4 Scope of the Training Programme

The programme covers the following two modules: ` Communication Skill - Programme having a duration of 50 hrs to be run within a period of three months starting tentatively from January 2014 for second semester students. The Communication Skill module is a language empowering scheme to be imparted in an interactive, experiential mode to nearly one lakh students of first year undergraduate course.

Social Skills - Programmes having a duration of 50 hours to be imparted within a continuous period of three months' time starting tentatively from January 2014 for nearly ninety thousand students of fourth semester. In addition to social skills, this training includes interpersonal skills, community participation, values and ethics with emphasis on Indian culture.

5.5 Task to be Performed by the Training Agency/Company

 The Training Agency shall develop a comprehensive training based on the outline given by the Client for each module.  The agency chosen for the training programme shall have at least 40 to 50 students per batch in their respective colleges across Karnataka.

 Preparation of Programme Material for the selected programme should be done prior to the commencement of the programme.  Lesson plan and content should be prepared in a modular format with sessions suitable for one hour delivery and the same in the digital format should be submitted along with RFP. The Expert committee shall review the content and standardize the curriculum, which shall be followed uniformly across the state.  The agency shall provide the course material adopted for training and other relevant reports in digital format to the Client for the purpose of information exchange.  Training agency should develop learning materials in both digital and print formats which can be given to students during orientation session.  Candidates with relevant specific experience and expertise should be selected as trainees for the each specific session given in the training programme  Trainers should have proficiency both in English and Kannada.  The training activities should provide more scope for teamwork, individual practice on the skill and interaction of the participants.  Activity based learning methodology should be adopted while imparting training.  The training agency in consultation with Principals should draw up training calendar for the chosen programme and should adhere to the plan.  The training agency should ensure trainers reach the training centre on time and engage training sessions.  The Training Agency should submit a comprehensive training manual to the Client prior to the commencement of programme.  Submission of documentation report at the end of the programme should comprise of the salient features of the training activity under this programme. Suggestions and recommendations from the participants, compilation and an analytical note of the evaluation sheet submitted by the participants and an overall summary report on completion of entire programme shall be submitted.  Training should be modular comprising of interactive, user friendly, culture specific, technology aided pedagogy where in 25% of training would be technology aided and the remaining 75% should be instructor led and experiential training.

5.6 Terms of Payment Payment will be released to the agency as per the below mentioned schedule;

i. Receipt of satisfactory completion certificate duly signed by Principals and endorsed by Joint Directors of the respective regions ii. Receipt of payment from the State Government by the Client iii. The training cost shall include the cost of study material which is to be supplied to the trainees, printing charges of certificates (including tax as applicable).

5.7 Data and Facilities to be Provided by the Client

a) Region-wise, college-wise, Package-wise number of students will be provided to the training agency. b) The syllabus approved by expert committee shall be provided to the training agency for each programme. c) Providing the list of Training centers / colleges to the training agency. d) Providing basic infrastructure like class rooms, e) Provide equipments like computers, projectors etc based on its availability in the concerned college. Training agency should adhere to the training schedule drawn in consultation with the respective Principals. f) Evaluation to be conducted at the end of the training programme.

5.8 Interaction with Officials

Whenever the training agency visits any of the specified training centres, they should interact with students, Programme co-ordinators. If any critical situation occurs during the visit, they should interact with the co-ordinators. The trainers of concerned Agency shall record their presence by affixing their signature in the attendance register maintained for the said purpose during every visit.

The overall execution of the programme shall be constantly monitored by the Principals and the concerned co-ordinators of the respective colleges. Surprise checks by designated officers of the Client shall be conducted.

5.9 Final Output Expected from the Training Agency - Deliverables

 The training agency should ensure strict attendance and active participation of trainees.  Trainers shall report trainees attendance periodically (weekly) to the Principals.

 To enrich all aspects of communication skills  Enabling the students to understand & speak grammatically correct sentences fluently.  Identifying the mother tongue influences and use the language effectively.  Preparing students for examination to be jointly conducted by the Client and the training agency.  To provide Video documentation of the sessions conducted in the colleges.

 To impart essential life skills for the students  Developing pan Indian outlook reflecting Indian culture, values, ethics etc.,  Strengthening one’s self-esteem & interpersonal skills.

I. FORM OF CONTRACT

This CONTRACT (hereinafter called the "Contract") is made the ______day of the month of , 2013

BETWEEN

______, on the one hand, ______(hereinafter called the "Client")

(a) the Client has requested the Agency to provide certain consulting services as defined in the General Conditions of Contract attached to this Contract (hereinafter called the "Services");

(b) the Agency, having represented to the Client that they have the required professional skills, and personnel and technical resources, have agreed to provide the Services on the terms and conditions set forth in this Contract; and

NOW THEREFORE the parties hereto hereby agree as follows:

2. The mutual rights and obligations of the Client and the Agency shall be as set forth in the Contract; in particular:

a) The Agency shall carry out the Services in accordance with the provisions of the Contract; and

b) The Client shall make payments to the Agency in accordance with the provisions of the Contract.

II. GENERAL CONDITIONS OF CONTRACT

1. GENERAL PROVISIONS

1.1 Definitions

Unless the context otherwise requires, the following terms whenever used in this Contract have the following meanings:

(a) "Applicable Law" means the laws and any other instruments having the force of law in India, as they may be issued and in force from time to time;

(b) "Contract" means the Contract signed by the Parties, to which these General Conditions of Contract (GC) are attached, together with all the documents listed in Clause 1 of such signed Contract;

(c) "Effective Date" means the date on which this Contract comes into force and effect pursuant to Clause GC 2.1

(d) "Contract Price" means the price to be paid for the performance of the Services, in accordance with Clause 6;

(e) "GC" means these General Conditions of Contract;

(f) "Government" means the Government of Karnataka;

(g) “Government Colleges” means colleges in which the Agency is required to undertake the Services in accordance with the terms of this Contract and as list out in Appendix A;

(h) "Local currency" means Indian Rupees;

(i) "Member", in case the Agency consist of a joint venture of more than one entity, means any of these entities, and "Members" means all of these entities; 'Member in Charge' means the entity specified in the SC to act on their behalf in exercising all the Agency' rights and obligations towards the Client under this Contract.

(j) "Party" means the Client or the Agency, as the case may be, and Parties means both of them;

(k) "Personnel" means persons hired by the Agency or by any Sub-Agency as employees and assigned to the performance of the Services or any part thereof; and 'key personnel' means the personnel referred to in Clause GC4.2 (a).

(l) "SC" means the Special Conditions of Contract by which these General Conditions of Contract may be amended or supplemented; (m) "Services" means the work to be performed by the Agency pursuant to this Contract as described in Appendix A; and

(n) "Sub-Agency" means any entity to which the Agency subcontract any part of the Services in accordance with the provisions of Clauses 3.5 and 4.

(o) 'Third party" means any person or entity other than the Government, the Client, the Agency, or a Sub-Agency.

(p) “Trainers’” shall mean the Personnel engaged by the Agency for imparting training in the Government Colleges.

1.2 Law Governing the Contract

This Contract, its meaning and interpretation, and the relation between the Parties shall be governed by the Law of India.

1.3 Language

This Contract has been executed in English language, which shall be the binding and controlling language for all matters relating to the meaning or interpretation of this Contract. All notices required to be given by one Party to the other Party and all other communications, documentation and proceedings which are in any way relevant to this Contract shall be in writing and in English language.

1.4 Notices

Any notice, request or consent made pursuant to this Contract shall be in writing and shall be deemed to have been made when delivered in person to an authorized representative of the Party to whom the communication is addressed, or when sent by registered mail, telex, telegram or facsimile to such Party at the address specified in the SC.

1.5 Location

The Services shall be performed at such locations as are specified in Appendix A and, where the location of a particular task is not so specified, at such locations, whether in Karnataka or elsewhere, as the Client may approve.

1.6 Authorized Representatives

Any action required or permitted to be taken, and any document required or permitted to be executed, under this Contract by the Client or the Agency may be taken or executed by the officials specified in the SC.

1.7 Taxes and Duties The Agency, Sub-Agency’s and their Personnel shall pay such taxes, duties, fees and other impositions as may be levied under the Applicable Law, the amount of which is deemed to have been included in the Contract Price.

2. COMMENCEMENT, COMPLETION, MODIFICATION AND TERMINATION OF CONTRACT

2.1 Effectiveness of Contract

This Contract shall come into effect on the date the Contract is signed by both Parties and such other later date as may be stated in the SC (the “Effective Date”)

2.2 Commencement of Services

Unless otherwise agreed by the Parties, the Agency shall begin carrying out the Services in each of the Colleges only upon receipt of notice to proceed (the “Notice to Proceed”) from the Client as set out in the SC.

2.3 Expiration of Contract

Unless terminated earlier pursuant to Clause 2.7, this Contract shall expire one month after submission of Final Report or 6 (six) months from the Effective Date whichever is earlier. Parties may mutually agree to extend the term of this Contract, for a further period not exceeding one academic year on terms and conditions agreeable to each other and at the same rate and payment conditions as provided in for undertaking the Services under this Contract.

2.4 Modification

Modification of the terms and conditions of this Contract, including any modification of the scope of the Services or of the Contract Price, may only be made by written agreement between the Parties.

2.5 Force Majeure

2.5.1 Definition

For the purposes of this Contract, "Force Majeure" means an event which is beyond the reasonable control of a Party, and which makes a Party's performance of its obligations under the Contract impossible or so impractical as to be considered impossible under the circumstances.

2.5.2 No Breach of Contract

The failure of a Party to fulfill any of its obligations under the contract shall not be considered to be a breach of, or default under this Contract insofar as such inability arises from an event of Force Majeure, provided that the Party affected by such an event (a) has taken all reasonable precautions, due care and reasonable alternative measures in order to carry out the terms and conditions of this Contract, and (b) has informed the other Party as soon as possible about the occurrence of such an event.

2.5.3 Extension of Time

Any period within which a Party shall, pursuant to this Contract, complete any action or task, shall be extended for a period equal to the time during which such Party was unable to perform such action as a result of Force Majeure.

2.5.4 Payments

During the period of their inability to perform the Services as a result of an event of Force Majeure, the Agency shall be entitled to continue to be paid under the terms of this Contract, as well as to be reimbursed for additional costs reasonably and necessarily incurred by them during such period for the purposes of the Services and in reactivating the Service after the end of such period.

2.6 Suspension

The Client may by written notice of suspension to the Agency, suspend all payments to the Agency hereunder if the Agency fail to perform any of their obligations under this contract, including the carrying out of the Services, provided that such notice of suspension (i) shall specify the nature of the failure, and (ii) shall request the Agency to remedy such failure within a period not exceeding seven (7) days after receipt by the Agency of such notice of suspension.

2.7 Termination

2.7.1 By the Client

The Client may terminate this Contract, by not less than fifteen (15) days' written notice of termination to the Agency, to be given after the occurrence of any of the events specified in paragraphs (a) through (g) of this Clause 2.7.1 and thirty (30) days' in the case of the event referred to in (h):

(a) if the Agency do not remedy a failure in the performance of their obligations under the Contract, within seven (7) days of receipt after being notified or within such further period as the Client may have subsequently approved in writing;

(b) if the Agency (or any of their Members) become insolvent or bankrupt;

(c) if, as the result of Force Majeure, the Agency are unable to perform a material portion of the Services for a period of not less than fifteen (15) days; or

(d) if the Agency, in the judgment of the Client has engaged in corrupt or fraudulent practices in competing for or in executing the Contract; or

For the purpose of this clause:

"corrupt practice" means the offering, giving, receiving or soliciting of anything of value to influence the action of a public official in the selection process or in contract execution.

"fraudulent practice" means a misrepresentation of facts in order to influence a selection process or the execution of a contract to the detriment of GOK, and includes collusive practice among Agency (prior to or after submission of proposals) designed to establish prices at artificial non-competitive levels and to deprive GOK of the benefits of free and open competition.

(e) The Performance Security has been encashed and appropriated as per the terms of this Contract and the Agency fails to replenish or to provide fresh the Performance Security; or

(f) the Agency fails to comply with any final decision reached as a result of arbitration proceedings pursuant to Clause 7 hereof; or

(g) any document, information, data or statement submitted by the Agency in its Proposals, based on which the Agency was considered eligible or successful, is found to be false, incorrect or misleading; or

(h) the Agency fails to rectify or remedy any delay or default and the damages specified under this Contract for such delay or default by the Agency has reached its maximum; or

(i) if the Client, in its sole discretion and for any reason whatsoever, decides to terminate this Contract.

2.7.2 By the Agency

The Agency may terminate this Contract, by not less than thirty (30) days' written notice to the Client, such notice to be given after the occurrence of any of the events specified in paragraphs (a) through (c) of this Clause 2.7.2:

(a) if the Client fails to pay any monies due to the Agency pursuant to this Contract and not subject to dispute pursuant to Clause 7 hereof within forty-five (45) days after receiving written notice from the Agency that such payment is overdue;

(b) If the Client is in material breach of its obligations pursuant to this Contract and has not remedied the same with in forty-five (45) days (or such longer period as the Agency may have subsequently approved in writing) following the receipt by the Client of the Agency' notice specifying such breach; (c) if, as the result of Force Majeure, the Agency are unable to perform a material portion of the Services for a period of not less than thirty (30) days; or

(d) the Client fails to comply with any final decision reached as a result of arbitration proceedings pursuant to Clause 7 hereof; or

2.7.3 Cessation of Rights and Obligations

Upon termination of this Contract pursuant to Clause GC 2.7 , or upon expiration of this Contract pursuant to Clause GC 2.3, all rights and obligations of the Parties hereunder shall cease, except :

(i) such rights and obligations as may have accrued on the date of termination or expiration;

(ii) the obligation of confidentiality set forth in Clause GC 3.3 hereof;

(iii) the Agency' obligations to permit inspection, copying and auditing of their accounts and records set forth in Clause GC3.5 (ii) hereof; and

(iv) any right which a Party may have under the Applicable Law.

2.7.4 Cessation of Services

Upon termination of this Contract by notice of either Party to the other pursuant to Clauses GC 2.7.1 or GC 2.7.2 hereof, the Agency shall, immediately upon dispatch or receipt of such notice, take all necessary steps to bring the Services to a close in a prompt and orderly manner and shall make every reasonable effort to keep expenditures for this purpose to a minimum. With respect to documents prepared by the Agency and equipment and materials furnished by the Client, the Agency shall proceed as provided, respectively, by Clauses GC 3.8 and GC 3.9.

2.7.5 Payment upon Termination

Upon termination of this Contract pursuant to Clauses GC 2.7.1 or GC 2.7.2 hereof, the Client shall make the following payments to the Agency (after offsetting against these payments any amount that may be due from the Agency to the Client)):

a) remuneration pursuant to Clause GC 6 hereof for Services satisfactorily performed prior to the effective date of termination;

b) reimbursable expenditures pursuant to Clause GC 6 hereof for expenditures actually incurred prior to the effective date of termination; and

c) except in the case of termination pursuant to paragraphs (a) through (b) of Clause GC 2.7.1 hereof, reimbursement of any reasonable cost incident to the prompt and orderly termination of the Contract. 2.7.6 Disputes about Events of Termination

If either Party disputes whether an event specified in paragraphs (a) through (e) of Clause GC 2.7.1 or in Clause GC 2.7.2 hereof has occurred, such Party may, within twenty (20) days after receipt of notice of termination from the other Party, refer the matter to arbitration pursuant to Clause GC 7 hereof, and this Contract shall not be terminated on account of such event except in accordance with the terms of any resulting arbitral award.

3. OBLIGATIONS OF THE AGENCY

3.1 General

The Agency shall perform the Services and carry out their obligations hereunder with all due diligence, efficiency and economy, in accordance with generally accepted professional techniques and practices, and shall observe sound management practices, and employ appropriate advanced technology and safe and effective equipment, machinery, materials and methods. The Agency shall always act, in respect of any matter relating to this Contract or to the Services, as faithful advisers to the Client, and shall at all times support and safeguard the Client's legitimate interests in any dealings with Sub-Agency’s or Third Parties. The Agency shall also adhere to the terms and conditions as specified in SC.

3.2 Conflict of Interests

3.2.1 Agency Not to Benefit from Commissions, Discounts, etc.

The remuneration of the Agency pursuant to Clause GC 6 hereof shall constitute the Agency' sole remuneration in connection with this Contract or the Services and the Agency shall not accept for their own benefit any trade commission, discount or similar payment in connection with activities pursuant to this Contract or to the Services or in the discharge of their obligations hereunder, and the Agency shall use their best efforts to ensure that any Sub- Agency’s, as well as the Personnel and agents of either of them, similarly shall not receive any such additional remuneration.

The Agency shall not engage, and shall cause their Personnel as well as their Sub-Agency’s and their Personnel not to engage, either directly or indirectly, in any of the following activities: a) during the term of this Contract, any business or professional activities in GoK which would conflict with the activities assigned to them under this Contract; and

b) after the termination of this Contract, such other activities as may be specified in the SC.

3.3 Confidentiality

The Agency, their Sub-Agency and the Personnel of either of them shall not, either during the term or within two (2) years after the expiration of this Contract, disclose any proprietary or confidential information relating to the Project, the Services, this Contract or the Client's business or operations without the prior written consent of the Client.

3.4 Insurance to be Taken Out by the Agency The Agency (i) shall take out and maintain, and shall cause any Sub-Agency to take out and maintain, at their (or the Sub-Agency’s', as the case may be) own cost but on terms and conditions approved by the Client, insurance against the risks, and for the coverages, as may be required under the Applicable Law including those specified in the SC, and (ii) at the Client's request, shall provide evidence to the Client showing that such insurance has been taken out and maintained and that the current premiums therefor have been paid.

3.5 Accounting, Inspection and Auditing

The Agency (i) shall keep accurate and systematic accounts and records in respect of the Services, hereunder, in accordance with internationally accepted accounting principles and in such form and detail as will clearly identify all relevant time charges and cost, and the bases thereof (including such bases as may be specifically referred to in the SC); (ii) shall permit the Client or its designated representative periodically, and up to one year from the expiration or termination of this Contract, to inspect the same and make copies thereof as well as to have them audited by auditors appointed by the Client.

3.6 Agency’s Actions Requiring Client's Prior Approval

The Agency shall obtain the Client's prior approval in writing before taking any of the following actions:

a) entering into a subcontract for the performance of any part of the Services, it being understood (i) that the selection of the Sub-Agency and the terms and conditions of the subcontract shall have been approved in writing by the Client prior to the execution of the subcontract, and (ii) that the Agency shall remain fully liable for the performance of the Services by the Sub-Agency and its Personnel pursuant to this Contract; and

b) appointing such members of the Personnel as are listed in Appendix C ("Agency' Sub- Agency’s Key Personnel") merely by title but not by name; Department of Collegiate Education Page 49 of 82

c) any other action that may be specified in this Contract.

3.7 Reporting Obligations

The Agency shall submit to the Client the reports and documents specified in Appendix B hereto, in the form, in the numbers and within the time periods set forth in the said Appendix B.

3.8 Documents Prepared by the Agency to be the Property of the Client

All reading materials, presentations, reports, other documents and software prepared by the Agency for the Client under this Contract shall become and remain the property of the Client, and the Agency shall, not later than upon termination or expiration of this Contract, deliver all such documents to the Client, together with a detailed inventory thereof. The Agency may retain a copy of such documents and software. Restrictions about the future use of these documents and software, if any, shall be specified in the SC.

3.9 Equipment and Materials Furnished by the Client/Colleges

Equipment and materials made available to the Agency by the Client/ Government Colleges, or purchased by the Agency with funds provided by the Client/ Government Colleges, shall be the property of the Client and shall be marked accordingly. Upon termination or expiration of this Contract, the Agency shall make available to the Client/ Government Colleges an inventory of such equipment and materials and shall dispose of such equipment and materials in accordance with the Client/ Government College's instructions. While in possession of such equipment and materials, the Agency, unless otherwise instructed by the Client/ Government Colleges in writing, shall insure them at the expense of the Client/ Government Colleges in an amount equal to their full replacement value.

4. AGENCY’S PERSONNEL AND SUB-AGENCY

4.1 General

The Agency shall employ and provide such qualified and experienced Personnel and Sub- Agency’s as are required to carry out the Services.

4.2 Description of Personnel

a) The titles, agreed job descriptions, minimum qualification and estimated periods of engagement in the carrying out of the Services of each of the Agency’s Key Personnel and the trainers to be appointed for undertaking the Services are described in Appendix C. If any of the Key Personnel has already been approved by the clients his/her name is listed as well.

The Key Personnel and Sub-Agency’s listed by title as well as by name in Appendix C are hereby approved by the Client. In respect of other Key Personnel including the trainer which the Agency propose to use in the carrying out of the Services, the Agency shall submit to the client for review and approval a copy of their biographical data within 7 days of execution of this Contract. If the Client does not object in writing (stating the reasons for the objection) within five (5) calendar days from the date of receipt of such biographical data, such Key Personnel or the trainers as the case may be shall be deemed to have been approved by the Client. The Agency shall ensure that all the trainers appointed by them pursuant to this Clause shall have atleast completed their graduation in any stream and shall have specific experience and expertise in the subject matter of training.

4.4 Working Hours, Overtime, Leave, etc.

a) Working hours and holidays for Key Personnel and trainers shall be as specified by the Government Colleges concerned in the time schedule.

b) The Key Personnel and the trainers shall not be entitled to be paid for overtime nor to take paid sick leave or vacation leave except as specified in Appendix C hereto, and except as specified in such Appendix, the Contract Value shall be deemed to cover these items. Any taking of leave by Personnel shall be subject to the prior approval by the Agency who shall ensure that absence for leave purposes will not delay the progress and adequate supervision of the Services.

4.5 Removal and/or Replacement of Personnel

a) Except as the Client may otherwise agree, no changes shall be made in the Key Personnel and the trainers appointed with the approval of the Client. If, for any reason beyond the reasonable control of the Agency, it becomes necessary to replace any of the Personnel, the Agency shall forthwith provide as a replacement a person of equivalent or better qualifications.

b) If the Client (i) finds that any of the Personnel has committed serious misconduct or has been charged with having committed a criminal action, or (ii) has reasonable cause to be dissatisfied with the performance of any of the Personnel, then the Agency shall, at the Client's written request specifying the grounds therefor, forthwith provide as a replacement a person with qualifications and experience acceptable to the Client.

5. OBLIGATIONS OF THE CLIENT

5.1 Assistance and Exemptions

Unless otherwise specified in the SC, the Client shall use its best efforts to ensure that the Government shall:

a) issue to officials, agents and representatives of the Government and the Government Colleges all such instructions as may be necessary or appropriate for the prompt and effective implementation of the Services;

b) assist the Agency and the Personnel and any Sub-Agency’s employed by the Agency for the Services from any requirement to register or obtain any permit to practice their profession or to establish themselves either individually or as a corporate entity according to the Applicable Law;

c) provide to the Agency, Sub-Agency’s and Personnel any such other assistance as may be specified in the SC.

5.2 Access to the Selected First Grade Colleges in Karnataka

The Client warrants that the Agency shall have, free of charge, unimpeded access to all the selected First Grade Government Colleges in Karnataka in respect of which access is required for the performance of the Services. The Client will be responsible for any damage to such selected First Grade Government Colleges in Karnatakaor any property thereon resulting from such access and will indemnify the Agency and each of the Personnel in respect of liability for any such damage, unless such damage is caused by the default or negligence of the Agency or any Sub-Agency or the Personnel of either of them.

5.3 Facilities of the Client

The Client/Government Colleges shall make available to the Agency and the Personnel, for the purposes of the services and free of any charge, the facilities described in Appendix D at the times and in the manner specified in said Appendix D, provided that if such services, facilities and property shall not be made available to the Agency as and when so specified, the Parties shall agree on (i) any time extension that it may be appropriate to grant to the Agency for the performance of the Services, (ii) the manner in which the Agency shall procure any such services, facilities and property from other sources, and (iii) the additional payments, if any, to be made to the Agency as a result thereof pursuant to Clause GC 6.1(c) hereinafter.

5.4 Payment

In consideration of the Services performed by the Agency under this Contract, the Client shall make to the Agency such payments and in such manner as is provided by Clause GC 6 of this Contract.

6. PAYMENTS TO THE AGENCY

6.1 Cost Estimates and Contract Value

6.1.1. An estimate of the cost of the Services payable to the Agency is set forth in Appendix E of this Contract.

6.1.2. Except as may be otherwise agreed under Clause GC 2.6 and subject to Clause GC 6.1.3, payments under this Contract shall not exceed the contract value specified herein ( the “Contract Value”). 6.1.3. Notwithstanding anything to the contrary contained in Clause 6.1.2, if pursuant to Clauses GC 2.3, 2.4 hereof, the Parties shall agree that additional payments, shall be made to the Agency in order to cover any necessary additional expenditures not envisaged in the cost estimates referred to in Clause GC 6.1.1 above, the Contract Value, set forth in Clause GC 6.1.1 above shall be increased by the amount or amounts, as the case may be, of any such additional payments.

6.2 Currency of Payment

All payments (Remuneration and Reimbursable) shall be made in Indian Rupees.

6.3 Mode of Billing and Payment

Billing and payments in respect of the Services shall be made as follows:

Subject to deduction, if any, to be made in accordance with Clause 6.4 and Clause 6.5 and the receipt of funding by the Client from Government, the Client shall cause to be paid to the Agency for its Services in accordance with the payment schedule provided in the table below,

*For release of this payment, the Agency shall provide a certificate duly signed by Principals and endorsed by Joint Directors of the respective regions regarding completion of 25 hrs or the 50 hrs. of training by the Agency as the case may be.

a) The Agency shall submit the invoices separately for each region for each of the above stages. All invoices shall be submitted in quadruplicate to the respective Regional Joint Directors for payments.

b) The Client shall cause the payment of the Agency within sixty (60) days after the receipt by the Client of bills with supporting documents (if required). Only such portion of a monthly statement that is not satisfactorily supported may be withheld from payment. Should any discrepancy be found to exist between actual payment and costs authorized to be incurred by the Agency, the Client may add or subtract the difference from any subsequent payments.

c) The final payment under this Clause shall be made only after the issuance of certificates to the eligible students and a final statement, identified as such, shall have been submitted by the Agency and approved as satisfactory by the Client.

d) All payments under this Contract shall be made to the Agency directly through issue cheque by Joint Directors of the concerned regions.

6.4 Damages

If the Agency fails to provide the Services in terms of the provisions of this Contract, penalty would be imposed on Agency as follows:

a) Delay in commencement of Services in accordance with Clause 2.2 shall attract the damage of an amount equal to 0.5% of the Performance Security for the first day of delay and will be increased by 1% every day thereafter to a maximum of 10%. b) Delay in engaging the required number of trainers for undertaking the Service as per the terms of Clause 4.3 shall attract the damage of an amount equal to 0.5% of the Performance Security for the first day of delay and will be increased by 1% every day thereafter to a maximum of 10%. c) Failure to adhere to the training schedule made available by the Government Colleges resulting in any delay in completion of training course shall result in forfeiture of the Performance Security. d) For non-submission of deliverable in accordance with Appendix B shall attract a penalty of 0.01% of Performance Security for every day of delay until its submission.

6.5 Deduction for poor attendance

a) Payment to the Agency is linked to the attendance of the students. Based on the attendance, the payment that Agency is eligible for per student basis is given in the table below; Table: 2 Attendance of Student (in Payment per student per Sl. No. Percentage) hour basis 1 =>75 100%

b) The deduction in payment linked to attendance as provided in sub-clause (a) above shall be made while making payment in respect of payment to be made for completion of the 50 hrs of training [as provided in the 2nd payment in table 1 given in Clause 6.3 (a)]. Further, the deduction if any, applicable pursuant to sub-clause (a) above for Payment made towards completion of the 25 hrs of training [as provided in the 2nd payment in table 1 given in Clause 6.3 (a)] shall also be adjusted in the said 2nd Payment.

By way of illustration,

Suppose the Agency has quoted the financial bid of Rs. 10 per students per hour. Therefore as per Clause 6.1.2, the contract Value would be Rs. 5,00,000/- for 1000 students for 50 hours of training. On Agency completing successfully 25 hours of training, it is eligible for 30% of the Contract Value i.e. Rs. 1,50,000/-. Now before the second payment i.e 50% of the Contract Value upon completion of 50 hours of training, Client shall take into account the attendance of each students (i.e 1000 students trained by the Agency). Suppose, the attendance status of 1000 students after 50 hours of training is as follows;

Therefore, in respect of 800 student from 1000 students that have got at least 75% of the attendance, the Agency is eligible for 100% of payment. In respect of 150 student that have got less than 75% of the attendance but more than 50% of the attendance, the Agency is eligible for 75% of payment and in respect of remaining 50 student that have got less than 25% attendance, the Agency is not eligible for any payment.

Based on the above, the revised Contract Value would be Rs. 4,56,250/-. Considering

this revised Contract Value, the payment due to be made with respect to 2nd and 3rd milestone would be Rs. 2,28,125/- and Rs 91,250/- respectively and the excess payment made with respect to Ist milestone would be Rs. 13,125/- which would be adjusted in the payment to be made to the Agency for 2nd milestone that would be Rs. 2,15,000/-.

7. SETTLEMENT OF DISPUTES

7.1 Amicable Settlement The Parties shall use their best efforts to settle amicably all disputes arising out of or in connection with this Contract or the interpretation thereof.

7.2 Dispute Settlement

Any dispute between the Parties as to matters arising pursuant to this Contract which cannot be settled amicably within thirty (30) days after receipt by one Party of the other Party's request for such amicable settlement may be submitted by either Party for settlement in accordance with the provisions specified in the SC.

2.1 The effectiveness of contract shall be on the date of singing the Agreement.

2.2 The time period for commencement of Services in each Government College shall be within 3 days from the date of issue of Notice to Proceed.

2.1 Obligations of the Agency

i) Agency shall select the trainers and train them within 7 days of execution of this Contract. ii) Agency should adhere to the training schedule drawn in consultation with the respective Principals of the Government Colleges. iii) Training should be modular comprising of interactive, user friendly, culture specific, technology aided pedagogy where in 25% of training would be technology aided and the remaining 75% should be instructor led and experiential training. iv) Agency shall monitor the training activities undertaken by the Trainers. v) Evaluation to be conducted at the end of the training programme. vi) For the due performance of its obligations under the Contract, the Agency shall simultaneously with the execution of this Contract, deliver to the Client an irrevocable and unconditional Performance Security deposit in the form of the Bank Guarantee issued either by a Nationalized/Scheduled bank for an amount equivalent to 5 % of the Contract price in the format provided in Appendix F (the "Performance Security")., Until such time the Performance Security is provided by the Agency pursuant hereto and the same comes into effect, the EMD shall remain in force and effect, and upon such provision of the Performance Security pursuant hereto, the Client shall release the EMD to the Agency. The Performance Security shall be valid during the Contract Period and three months thereafter.

Notwithstanding anything to the contrary contained in this Contract, in the event Performance Security is not provided by the Agency within the spciefied period, the Client may encash the EMD and appropriate the proceeds thereof as Damages, and thereupon all rights, privileges, claims and entitlements of the Client under or arising out of this Contarct shall be deemed to have been waived by, and to have ceased with the concurrence of the Agency, and this Contarct shall be deemed to have been terminated by mutual agreement of the Parties.

Upon breach of any of the obligations by the Client, the Client shall, without prejudice to its other rights and remedies hereunder or in law, be entitled to encash and appropriate the relevant amounts from the Performance Security as Damages. Upon such encashment and appropriation from the Performance Security, the Client shall, within 15 (fifteen) days thereof, replenish, in case of partial appropriation, to its original level the Performance Security, and in case of appropriation of the entire Performance Security provide a fresh Performance Security, as the case may be, and the Client shall, within the time so granted, replenish or furnish fresh Performance Security as aforesaid failing which the Client shall be entitled to terminate this Contract.

3.4 The risks and the coverage shall be as follows:

(a) Third Party motor vehicle liability insurance as required under Motor Vehicles Act, 1988 in respect of motor vehicles operated in India by the Agency or their Personnel or any Sub-Agency’s or their Personnel for the period of consultancy. (b) Professional liability insurance with a minimum coverage equal to estimated remuneration and reimbursable. (c) Client's liability and workers' compensation insurance in respect of the Personnel of the Agency and of any Sub-Agency, in accordance with the relevant provisions of the Applicable Law, as well as, with respect to such Personnel, any such life, health, accident, travel or other insurance as may be appropriate; and (d) Insurance against loss of or damage to (i) equipment purchased in whole or in part with funds provided under this Contract, (ii) the Agency' property used in the performance of the Services, and (iii) any documents prepared by the Agency in the performance of the Services.

3.8 The Agency shall not use these documents for purposes unrelated to this Contract without the prior written approval of the Client.

5.1 The Client shall have the obligation to:

a) Provide complete syllabus based on the outline provided Schedule A2 and Schedule A3 for Communication and social skill development programmes respectively within 5 days from the date of execution of this Contract. b) Provide the list of Government Colleges to the Agency for undertaking the Services under this Contract and communicate the concerned Government Colleges about the appointment of Agency. c) Provide the Agency, its Sub- Agency and Personnel with work permits and such other documents as may be necessary to enable the Agency, its Sub-Agency or Personnel to perform the Services; d) Monitoring and assuring the quality of Services provided by the Agency; e) Provide college- wise and skill wise list of trainees to the Agency; f) Provide the Syllabus approved by the expert committee to the Agency for each programme; g) Ensure that the Government Colleges have the required equipments, infrastructure and class rooms, computers, projectors etc. that are necessary for undertaking Service by the Ageny; and h) Evaluate the training programme conducted by the Agency

7.2.1 Selection of Arbitrators

(a) In case of dispute or difference arising between the Client and the Agency relating to any matter arising out of or connected with this Contract it shall be settled in accordance with the Arbitration and Conciliation Act 1996. The disputes or differences shall be referred to a Sole Arbitrator. The Sole Arbitrator shall be appointed by agreement between the parties. (b) The cost and expenses of arbitration proceedings will be paid as determined by the Arbitrator. However the expenses incurred by each party in connection with the preparation, presentation, etc. shall be borne by each party itself. Department of Collegiate Education Page 59 of 82

(c) Performance under the contract shall continue during the arbitration proceedings and payments due the Agency by the Client shall not be withheld, unless they are the subject matter of the arbitration proceedings.

7.2.2 Rules of Procedure

Arbitration proceedings shall be conducted in accordance with procedure of the Arbitration & Conciliation Act 1996.

7.2.3 Substitute Arbitrators

If for any reason an arbitrator is unable to perform his function, a substitute shall be appointed in the same manner as the original arbitrator.

7.2.4 Qualifications of Arbitrators

The sole arbitrator appointed pursuant to paragraphs (a) of Clause 7.2.1 hereof shall be a nationally recognized legal or technical expert with extensive experience in relation to the matter in dispute.

7.2.5 Miscellaneous

In any arbitration proceeding hereunder:

(a) Proceedings shall, unless otherwise agreed by the Parties, be held in Bangalore. (b) The English language shall be the official language for all purposes (c) The decision of the sole arbitrator shall be final and binding and shall be enforceable in any court of competent jurisdiction, and the Parties hereby waive any objections to or claims of immunity in respect of such enforcement.

IV. APPENDICES Appendix A: Description of the Services The Services to be provided by the Agency shall be as set out in the ToR which is elaborated below.

 Communication Skill 2- Programme having a duration of 50 hrs to be run within a period of three months starting tentatively in January 2014 for second semester students. The Communication Skill module is a language empowering scheme to be imparted in an interactive, experiential mode to nearly one lakh students of first year undergraduate course. Types of Training Programmes to be 1 provided by the Agency  Social Skills3 - Programmes for a duration of 50 hours to be imparted within a continuous period of three months' time starting tentatively in January 2014 for nearly ninety thousand students of fourth semester under graduate course of Government Colleges. In addition to social skills, this training includes interpersonal skills, community participation, values and ethics with emphasis on Indian culture.  Trainer to report at the training centre half an hour prior to the scheduled time.  Trainer to duly sign in the attendance register maintained 2 Requirement in the college for the said purpose.  Trainers to strictly adhere to the Client expert committee approved syllabus.  Impart training to Under Graduate students of Government First Grade Colleges  Training to be carried out in the Government Colleges at the locations assigned under the Contract.  Training to be held during college working hours and the time slot provided for by the Principals of the respective Government College.  Subject to the conditions of Contract, in case where the 3 Description of the Services Agency is replacing or removing the trainer, the Agency shall provide Prior information to the concerned Principal / Coordinator of the concerned Government College.  The Agency shall issue certificates to the eligible candidates after completion of the training programme.  The Agency is required to provide training as per the detailed content specifications of the training modules as provided in Schedule A2 / Schedule A34.

 The Agency shall develop a comprehensive training based on the outline given by the Client for each module.  The batches for training shall comprise at least 40 to 50 students.  Agency shall conduct a orientation programme in each Government Colleges before initiating the training.  Preparation of Programme Material for the selected programme should be done prior to the commencement of the programme.  At the end of the programme, the course material adopted for training and other relevant reports should be submitted in digital format to the Client for the purpose of information exchange.  Before the commencement of the training the expert committee shall finalise the content to be delivered in each component of the course curriculum and the same shall be adopted by the Agency.  Agency should develop learning materials in both digital and print formats which can be given to students during training session.  Trainers selected for undertaking the Services by the Agency shall have specific experience and expertise in the subject matter of training and shall have such qualification as provided in this Contract.  Trainers selected undertaking the Services by the Agency shall have proficiency both in English and Kannada.  The Agency shall ensure that the training activity provides more scope for teamwork, individual practice on the skill and interaction of the participants.  Activity based learning methodology should be adopted while imparting training.  The training agency in consultation with Principals should draw up training calendar for the chosen programme and shall adhere to the action plan.  The training agency should ensure trainers reach the training centre on time and engage training sessions as per the pre-determined schedule on regular basis.  The Training Agency should submit a comprehensive training manual to the Client prior to the commencement of programme.  Submission of documentation report at the end of the programme should comprise of the salient features of the training activity under this programme. Suggestions and recommendations from the participants, compilation and an analytical note of the evaluation sheet submitted by the participants and an overall summary report on completion

of entire programme shall be submitted.  Agency shall conduct the examination at the end of training as per the terms and conditions specified by the Client in this regard.  10 days prior to the closure of Semester. 4 Dates for completion of various tasks  Training should be given on the working days of the college. Appendix B: Reporting Requirements

Appendix D: Facilities to be provided by the Client/Government Colleges

The Client shall ensure that the Government Colleges entrusted for providing Services by the Agency under this Contract provides following facilities/information to the Agency:

a) List of trainees. b) The syllabus approved by expert committee. c) Computers, projectors, class rooms, etc. necessary for discharge of Services by the Agency and available with the Colleges for training purpose. d) The training schedule for timely completion of the training programme. This shall include the timings allotted to the Agency during the college hours to conduct training and the period by which the training programme shall be completed.
