On 3 July 2015, in accordance with section 18(1) of the Competition Act 2002, as amended1 (“the Act”), the Competition and Consumer Protection Commission (“the Commission”) received a notification of a proposed acquisition by Irish Life Assurance Plc of certain assets from the Royal London Mutual Insurance Society Limited. The Transaction 2. The proposed transaction consists of an agreement for sale by private treaty dated 8 July 2015 whereby Irish Life Assurance Plc will acquire 17 property portfolios (the “Target Assets”) from the Royal London Mutual Insurance Society Limited. 3. Section 18(1A)(b)(ii) of the Act allows for parties to make a notification to the Commission where the parties have demonstrated to the Commission a good faith intention to conclude an agreement. In this case, the Commission considers that the undertakings involved demonstrated to the Commission a good faith intention to conclude an agreement for the purposes of section 18(1A)(b)(ii) of the Act. Royal London Asset Management (RLAM) is the asset management arm of the Royal London Group, the United Kingdom’s largest mutual insurance company. We manage approximately £72 billion in assets on behalf of the Group and a wide range of external institutional and wholesale clients. While our focus has traditionally been on corporate governance in the UK market, we hold shares in several dozen large Canadian companies and have an interest in ensuring Canadian companies implement high standards of corporate governance. We believe good corporate governance is fundamental to company performance and welcome the opportunity to comment on the proposed changes to the CBCA. Below we outline our response to the consultation. In general, we view the statutory corporate governance requirements in Canada to be lagging behind similar requirements in the UK. We are pleased that the consultation addresses several issues that are long overdue for review (and that are common practice in the UK), such as majority voting, annual director elections and voting on a poll. We do not intend to provide a comprehensive response to each issue, but want to use this as an opportunity to signal our support for corporate governance reform in Canada.

Life and pensions new business sales4 20% lower impacted by the national lockdowns. Net inflows5 were £3,870m in 2020 (2019: £9,892m) as strong growth in demand for sustainable funds was offset by external institutional outflows. 95%9 of actively managed funds outperformed their three-year benchmark (2019: 98%). Assets under management6 increased to £148bn (31 December 2019: £139bn). Our capital position remains robust.
