CRSWS Trustee Job Description

What will I be responsible for?

As a trustee you, and your co-trustees, will be responsible for:

  • Ensuring that everything the Charity does helps (or is intended to help) achieve the purposes for which it was set up, and no other purpose, and complies with its governing document.
  • Deciding and planning how the Charity operates;what activities the Charity will undertake; what resources it will need, and how it will obtain and use them.
  • Monitoring the performance of the Charity against its Strategic Plan.
  • Managing the Charity’s resources responsibly; ensuring that the Charity can meet its financial obligations, and that effective management and financial controls are in place. This will involve budgeting, fundraising, managing funds and keeping them safe in compliance with statutory accounting and reporting requirements.

In rare cases, trustees have been held liable for any financial loss to the Charity they have caused or helped to cause. There is no legal protection for trustees who have acted dishonestly, negligently or recklessly.

What will be expected of me?

  • You will use your skills and experience and take advice when necessary and always act in the Charity’s best interests.
  • You will be expected to give time, thought and energy to your role. Typically, this will involve undertaking any agreed tasks, reading documents in advance and preparing for meetings, attending and actively participating in trustees’ meetings and fundraising activities. (There are four trustee meetings a year, plus occasional ad-hoc meetings and two or three fundraising events.)
  • You will always act in accordance with the Charity’s Equality & Diversity Policy

VETTING POLICY FOR TRUSTEE RECRUITMENT

Introduction

The appointment of a new trustee to Trustee Boards is an important matter which will lead to a balanced and effective board, workforce and a well governed and effective charity.

Existing trustees are legally responsible for the recruitment of new trustees and they retain overall responsibility and control of the recruitment, selection and induction processes.

In recruiting new trustees, the existing trustees must act in the best interests of the charity and in accordance with the Charity Commission directives as laid out in CC30.

In order to ensure that this is the case, the trustees have agreed responsibilities and need to adhere to the following steps to be taken during recruitment, selection, vetting, appointment and subsequent induction of one or more new trustees.

New Trustees: Ten Step Recruitment, Selection, Vetting, Appointment and Induction Process

  1. The Trustee Board identifies the need for new trustees at its quarterly meetings, through resignations or specific skills need.
  2. Via a skills audit the trustees agree what skills experience and knowledge are needed, and create a short trustee job description and person specification.
  3. The trustees agree responsibilities, a process for recruitment and a method of attracting a diverse range of candidates with the skills the charity needs; (in doing so they must comply with the requirements as set out in the charity’s governing document).
  4. Short-listing and informal interviews take place against agreed criteria. During the meeting it will be explained to potential trustees the requirements of them, about the purposes and aims of the charity, as well as their broader duties and responsibilities as trustees.
  5. Preferred candidates are identified and invited to join the trustees, if desired, subject to references, formal vetting and approval by the full trustee board. Unsuccessful candidates are notified and thanked for their interest.
  6. Vetting potential trustees – the trustees ensure thecandidates are suitable to act as a trustee by:

a)Being asked to confirm in writing that this is the case by completion of a “Declaration of eligibility for newly appointed trustees” (see Appendix1).

b)Checking their name against the Disqualified Directors Register through Companies House.

c)Production and photocopying of a valid passport.

d)Candidates are asked to consider and declare any existing or potential conflicts of interest. They should do so thereafter annually along with all the Trustee Board.

  1. In the light of these checks, declarations and disclosures, the Chair of the charity writes to the prospective trustee(s), setting out their duties and the charity’s expectations of them.
  2. An information pack about the charity (including the Charity’s Business Plan, Vision, Mission and Aims, and a copy of the Charity’s Governing Document) is sent to new trustees. As part of the induction programme, new trustees meet existing trustees, the Senior Cardiac Physiotherapist and her staff, and others involved with the charity.
  3. The new trustees attend their first board meeting and are duly welcomed.
  4. All relevant parties, such as relevant NHS staff, funders, Charity Commission annual updates, the charity’s solicitors and auditors, are notified of the new appointments.

DECLARATION OF ELIGIBILTY FOR NEWLY APPOINTED TRUSTEES

  1. Outline – The purposes of this document are:
  • to clarify what should be expected of a trustee during their term of office.
  • to ensure that all members of the Trustee Board are eligible to be trustees, as outlined by the Charity Commission CC30.
  1. Trustee Commitment

The role of being a trustee is more than just attending board meetings; commitment will be required to the furtherance of the works of the charity. To this end, the following declaration of commitment has been devised.

“As a Trustee I understand and agree with the Vision, Mission and Aims of the charity and will act as an ambassador for the organisation. In this capacity I will endeavour to:

  • promote the charity and its work;
  • engage with the membership, supporters and trustee board;
  • attend at least 80% of trustee meetings;
  • actively participate in the day to day tasks of the trustee board.”
