PAYMENT SCHEDULE: Payment will be remitted within 30 days upon satisfactory completion of the services and receipt of an approved invoice.

CONFIRMATION: Receipt of the signed contract constitutes confirmation. Any changes in this agreement must be prearranged and agreed to by both parties in writing.

ACCEPTANCE OF CONTRACT: The above prices, specifications, and conditions are satisfactory and are hereby accepted. Contractor is authorized to complete the services as specified and payment will be made as outlined.

GENERAL CONDITIONS:

  1. DAMAGES/HOLD HARMLESS/INDEMNIFICATION. The Contractorshall indemnify and save harmless GSA and its agents, servants, employees, officers, and students from all claims, loss, damage, injury, liability, costs and expenses of whatsoever kind of nature (including attorney's fees) caused by or resulting from the contractor’sperformance under this Agreement; and without limiting the generality of the foregoing, the same shall include injury or death to any person or persons and damage to any property, including that of NPS, or for breach of warranty by the contractoreither expressed or implied. The rights and remedies of NPS provided for under this Agreement are in addition to any other rights and remedies provided by law.
  1. NONASSIGNMENT. The Contractorshall not assign its rights and duties under this Agreement without the prior written consent of GSA.
  2. DOCUMENTS. This Agreement shall consist of this form and all written modifications thereto; all of which are incorporated by reference and made a part hereof.
  3. ORDER OF PRECEDENCE. Each of the Exhibits listed below is by this reference hereby incorporated into this Agreement. In the event of an inconsistency in this Agreement, the inconsistency shall be resolved by giving precedence in the following order:
  • Applicable Federal and Commonwealth of Virginia statutes and regulations
  • Terms and Conditions as contained in this basic contract instrument
  • GSA Purchase Order Terms, Conditions, and Instructions
  • Any other provision, term or material incorporated herein by reference or otherwise incorporated.

5. CONTRACTOR BACKGROUND CERTIFICATION:

By signing this contract/agreement, and as a condition of award, the Contractor certifies compliance with Code of Virginia § 22.1-296.1 regarding the provision of services that require the contractor or his employees to have direct contact with students on school property during regular school hours or during school-sponsored activities.

In particular, the Contractor certifies that all persons who will provide such services under this contract/agreement have not been convicted of a felony or any offense involving the sexual molestation or physical or sexual abuse or rape of a child.

This requirement does not apply to a contractor or his employees providing services to a school division in an emergency or exceptional situation, such as when student health or safety is endangered or when repairs are needed on an urgent basis to ensure that school facilities are safe and habitable, when it is reasonably anticipated that the contractor or his employees will have no direct contact with students.

Note: In accordance with Virginia Code § 22.1-296.1, any person making a materially false statement regarding such offense shall be guilty of a Class 1 misdemeanor and, upon the conviction, the fact of such conviction shall be grounds for the revocation of the contract to provide such services and, when relevant, the revocation to provide such services.

  1. INDEPENDENT CONTRACTOR RELATIONSHIP. Contractor agrees that the relationship with GSA will be that of an independent contractor, and agrees that neither individuals nor employees (or any substitute arranged to fulfill obligations in the event of absence) are acting as GSA employees and therefore, expressly waives any and all claims to retirement benefits, health insurance, workman’s compensation, grievance rights, and any other rights of employees of GSA. In addition, no individual assigned to perform services will act or present that he is acting as an agent of GSA or incur any obligation on the part of GSA without the written proper authority of GSA.
  2. FEDERAL FUNDS. If this payment is to be charged against federal funds, the Contractor certifies that s/he is not currently employed by the Federal government and the amount charged does not exceed his/her normal charge for the type of service provided.
  3. COPYRIGHTS: Independent Contractor assigns and transfers to Governor’s School for the Arts all right, title and interest worldwide in and to the Work and all proprietary rights therein, including, without limitation, all copyrights, trademarks design patents, trade secret rights, and all contract and licensing rights.
  4. CANCELLATION OF CONTRACT: GSA reserves the right to cancel and terminate any resulting contract, in part or in whole, without penalty, upon 30 days written notice to the contractor. Any contract cancellation notice shall not relieve the contractor of the obligation to deliver and/or perform on all outstanding orders issued prior to the effective date of cancellation.
  5. CONFIDENTIALITY OF PERSONALLY IDENTIFIABLE INFORMATION: The Contractor assures that information and data obtained as to personal facts and circumstances related to GSA employees or students will be collected and held confidential, during and following the term of this agreement, and will not be divulged without the individual’s and the agency’s written consent and only in accordance with federal law or the Code of Virginia. Contractors who utilize, access, or store personally identifiable information as part of the performance of a contract are required to safeguard this information and immediately notify the agency of any breach or suspected breach in the security of such information. Contractors shall allow NPS to both participate in the investigation of incidents and exercise control over decisions regarding external reporting. Contractors and their employees working on this project may be required to sign a confidentiality statement.
