1. O&M Scope of Work

The Scope of Work (SoW) provided below indicates the roles and responsibilities that are to be covered by the O&M Agreement with NEPCO. As such, we require Bidders to mark-up this SoW in order to highlight their intended approach to the operation and maintenance of the LNG import terminal.

The Scope of Works will be divided into three phases: Mobilisation Period; Commissioning Period and Operating Period.

Mobilisation Period Services During the Mobilisation Period (from the execution of the Agreement until the commencement of mechanical completion of the LNG Terminal) the Operator shall provide the following Services, in accordance with the Bidder’s Execution Plan:

1 Recruit experienced and qualified LNG Terminal Personnel required for the operation and maintenance of the LNG Terminal, including those LNG Terminal Personnel acting in the key roles as required to ensure the LNG Terminal is appropriately staffed.

2 Prepare for approval and implement an appropriate training programme for LNG terminal personnel, as required.

3 Provide monthly, quarterly and annual reports.

4 Assist in co-ordination meetings with NEPCO, EPC Contractor, ADC, JPRC, Fajr, Golar, LNG supplier, any provider of port services in Aqaba, in order to gain knowledge of the status and requirements of the Project.

5 Review the EPC Contractor’s Initial Spare Parts inventory list and develop a required list for the NEPCO.

6 As NEPCO’s agent, procure, receive, and stock all consumables and equipment.

7 Obtain, maintain in effect, renew, and pay for all permits which it is responsible for under the O&M agreement.

8 Prepare specimen forms of notices and other documentation required by any regulatory requirements in Jordan. 9 Assist Owner in obtaining and renewing permits which it is responsible for under the O&M agreement.

10 Procure, maintain in effect, renew, and pay during the Term all insurances required by the Operator in accordance with the O&M agreement.

11 Assist the NEPCO in preparing, submitting and pursuing insurance claims.

12 Prepare an initial long term O&M plan for NEPCO’s approval.

13 Prepare an initial annual operating budget for NEPCO’s approval.

14 Prepare the gas measurement and analysis procedures and assist Golar with the preparation of the LNG measurement and analysis procedures.

15 Prepare an environmental monitoring and compliance programme.

16 Prior to the testing required under the EPC Contract, and after consultation with the EPC Contractor and NEPCO, develop LNG terminal specific operating procedures (Operating Procedures) in draft form consisting of procedures, manuals and instructions in respect of:

(a) Operation;

(b) Maintenance;

(c) Supply of fuel and other resources

(d) Removal and disposal of waste from the FSRU and terminal

(e) Supply and utilisation of utilities;

(f) Provision of plant and vehicles necessary for operation & maintenance;

(g) Chemical usage and handling;

(h) Environmental monitoring;

(i) Provision of Meteorological and Wave/Current data to FSRU

(j) Safety and security procedures; (k) Fire-fighting;

(l) Administration and document control;

(m) Fiscal data management, including auditing and calibration for metering;

(n) Management of Independent 3rd party LNG transfer metering and sampling inspections;

(o) Accounting and purchasing in respect of equipment and consumables;

(p) Storage and management of equipment and consumables;

(q) Communication and coordination;

(r) Incident reporting;

(s) Commissioning;

(t) Performance (including performance testing);

(u) Mooring of the FSRU;

(v) In coordinating with Golar and as required the LNG suppliers mooring of any LNG carrier, including tugs, pilots and other port services in Aqaba.

(w) Evacuation procedures;

(x) Emergency procedures;

(y) Public relations; and

(z) Warranty management procedures.

17 Work closely with the EPC Contractor, NEPCO, Golar, and Fajr to assist in the development of a commissioning procedure.

18 Develop formal written procedures for interfacing with NEPCO, including the extent of the Operator’s authority to issue nominations and instructions to Golar, Fajr and LNG suppliers. 19 Provide an Operator’s review and comment on the piping and instrumentation diagrams, electrical schematic diagrams and the design of the various systems related to security, reliability and maintainability and built in redundancy. Advise NEPCO of material deficiencies identified, if any.

20 As an Operator, review the documents, manuals and instructions provided by the EPC Contractor, including in respect of commissioning for the LNG Terminal, to assess their adequacy for operating the LNG Terminal. Advise NEPCO of material deficiencies identified, if any.

21 Provide an Operator’s review and comment on the status and accuracy of “as-built” drawings. Advise NEPCO of material discrepancies identified, if any.

22 Provide and operate a system approved by the NEPCO for:

(a) the review and update of operating and maintenance manuals for the LNG Terminal; and

(b) marking up changes to “as built” drawings for the LNG Terminal.

23 Provide such assistance as NEPCO may reasonably request of an Operator, acting as a reasonable and prudent operator, and consistent with good industry practice.

Commissioning Period Services During the Commissioning Period (from the commencement of mechanical completion until the completion of commissioning of the LNG Terminal) the Operator shall provide the following Services, in accordance with this Agreement:

1 Attend commissioning interface meetings with the EPC Contractor, NEPCO, Golar, and Fajr.

2 Provide the LNG Terminal Personnel at the LNG Terminal on a 7-day a week, 24- hour per day basis, in accordance with the Operating Procedures, the O&M Agreement and the environmental compliance programme.

3 Provide under EPC Contractor’s direction the services necessary during the commissioning and testing of the LNG Terminal and co-ordination with Golar and Fajr (including the commercial operation testing) including, without limitation the services of the LNG Terminal personnel occupying the key roles. Such personnel shall be correctly trained and aware of the tasks to be executed.

4 Carry out the Operating Procedures relevant to the commissioning of the LNG Terminal and co-ordination with the EPC Contractor, Golar and Fajr.

5 Manage the utility requirements during commissioning.

6 Manage the provision of the necessary licences ready to operate the LNG Terminal in conjunction with NEPCO.

7 Test the performance of the LNG Terminal.

8 Cooperate with Golar in respect of Golar’s testing of the FSRU performance.

9 Test the performance of the emergency systems.

10 Assist with the mooring of the FSRU.

11 Assist Golar as required with the mooring of any LNG carrier.

12 Coordination with the providers of tug boats, pilot boats and other port services in Aqaba.

13 Assist the NEPCO, ADC, EPC Contractor, Golar, and LNG supplier with the arrival and unloading of commissioning cargo (or cargos) at the LNG Terminal.

14 Establish an operating office at the LNG Terminal, which will include office equipment, communications equipment, a computerised management information system consisting of a LAN (Local Area Network) with applicable software for communications, payroll, warehousing, maintenance planning and scheduling, etc.

15 Provide daily and weekly progress reports.

16 Monitoring of the performance of the project agreements, and reporting to NEPCO.

17 Provide contract administration for the project agreements in accordance with the O&M Agreement.

18 Monitor and record the emissions and discharges of the LNG Terminal, including the FSRU and any LNG carrier. 19 Provide such assistance as NEPCO may reasonably request of an Operator, acting as a reasonable and prudent operator, and consistent with good industry practice. Operating Period Services During the Operating Period (from the completion of commissioning of the LNG Terminal until the termination or expiry of the Agreement) the Operator shall provide the following Services, in accordance with this Agreement:

1 Operate and maintain the LNG Terminal on a 7-day a week , 24-hour per day basis, in accordance with the Operating Procedures, the O&M Agreement and the environmental compliance programme.

2 Recruit experienced and qualified LNG Terminal personnel required for the operation and maintenance of the LNG Terminal, including those LNG Terminal Personnel acting in the key roles as required to ensure the LNG Terminal is appropriately staffed.

3 Procure the provision of necessary security for the LNG Terminal

4 Prepare for approval and implement an appropriate training programme for LNG Terminal personnel and NEPCO staff, as required.

5 Manage the supply and utilisation of utilities.

6 Provide and maintain plant and vehicles necessary for operation & maintenance

7 Provide and maintain Meteorological and Wave/Current data to FSRU

8 Maintain an operating office at the LNG Terminal, which will include office equipment, communications equipment, a computerised management information system consisting of a LAN (Local Area Network) with applicable software for communications, payroll, warehousing, maintenance planning and scheduling, etc.

9 Take delivery on behalf of NEPCO of, and manage the initial spare parts.

10 Purchase all equipment and consumables (other than the initial spare parts) required for the operation and maintenance of the LNG Terminal and manage all such equipment and consumables.

11 Take delivery on behalf of the Owner from any subcontractor of, and manage the equipment and consumables supplied by any such subcontractor. 12 Review and verify invoices in respect of suppliers/vendors for equipment and consumables.

13 Coordination with the fuel supplier (JPRC) in respect of the supply of fuel to the LNG Terminal and FSRU under the fuel supply agreement.

14 Coordination with the providers of tug boats, pilot boats and other port services in Aqaba.

15 Assist Golar as required with the mooring of any LNG carrier.

16 Assist with the mooring of the FSRU.

17 Fiscal data management, including auditing and calibration for metering.

18 Management of Independent 3rd party LNG transfer metering and sampling inspections.

19 Prepare and implement the long term O&M plan.

20 Prepare and implement the annual operating budget.

21 Maintain and keep accurate books, records, and accounts in respect of the LNG Terminal.

22 Regularly review and update the operating and maintenance manuals for the LNG Terminal.

23 Regularly review, and where necessary mark-up changes to “as built” drawings for the LNG Terminal.

24 Monitoring of the performance of the project agreements, and reporting to the Owner, including assisting NEPCO to resolve and settle any disputes with Golar, Fajr and the LNG suppliers.

25 Treat and dispose of all waste (hazardous, oils, chemical, and trash) generated by operations of the LNG Terminal in accordance with legal requirements, on behalf of the Owner.

26 Monitor and record the emissions and discharges of the LNG Terminal, including the FSRU and any LNG carrier.

27 Plan, manage and execute all scheduled outages and equipment inspections in a cost effective manner, with best utilisation of labour and parts. 28 Perform all scheduled maintenance and unscheduled maintenance.

29 Maintain, repair, operate and calibrate the metering systems in accordance with the gas measurement procedures.

30 Provide monthly, quarterly and annual reports on LNG Terminal performance, incidents, failures, and the general operation of the LNG Terminal.

31 Participate in audits of the LNG Terminal records and books.

32 Obtain, maintain in effect, renew and pay for all permits which it is responsible for under this Agreement.

33 Assist NEPCO in obtaining and renewing permits which it is responsible for under the O&M agreement.

34 Procure, maintain in effect, renew, and pay for all insurances required by the Operator in accordance with the O&M Agreement.

35 Assist NEPCO in preparing, submitting and pursuing insurance claims.

36 Provide contract administration for the project agreements in accordance with the O&M Agreement.

37 Test the performance of the LNG Terminal.

38 Comment upon any punch list created pursuant to the EPC Contract.

39 Administer and perform all other obligations of NEPCO under the project agreements relating to the operation, maintenance, repair or administration of the LNG Terminal.

40 Otherwise operate, maintain, repair and administer the Project in accordance with the O&M Agreement, the Operating Procedures, and the other project agreements.

41 Provide such assistance as NEPCO may reasonably request of an Operator, acting as a reasonable and prudent operator, and consistent with good industry practice. NEPCO Obligations NEPCO shall be responsible for:

1 Government relations; and

2 Community relations in relation to the Project, including the O&M Agreement.

During the Term NEPCO shall provide the following at its own cost:

1 Provide at the commercial operation date an LNG Terminal which meets the requirements and other specifications set forth in the EPC Contract, as well as being in compliance with all applicable legal requirements.

2 Manage all project agreements entered into by NEPCO.

3 Provide all nominations required under each of the project agreements, including providing a copy of such nominations to the Operator.

4 Provide a copy of all notices received under the project agreements to the Operator, to the extent that such notices relate to the operation and maintenance of the LNG Terminal.

5 Pay Operator all payments set forth in this Agreement on a timely basis, including the mobilisation period payments, the operating period payments, and any additional payments.

6 Pay for all equipment, spares and consumables.

7 Provide the agreed initial spare parts.

8 Pay the cost of any upgrade, additions, and improvements or changes to the LNG Terminal due to a change in law.

9 Ensure unrestricted access to the site for the Operator.

10 Provide temporary office space and facilities to the Operator during the Mobilisation Period.

11 During the Operating Period, provide permanent office space, warehouse, control rooms, maintenance shop, security facilities, first-aid and firefighting equipment and services, and safety systems including inventory, to be reviewed during the Mobilisation Period.

12 Pay all taxes imposed by a competent authority in relation to the Project, other than taxes on the income of the Operator and all other subcontractors engaged directly or indirectly for performance of the services.

13 Obtain, maintain in effect, renew and pay for all permits which it is responsible for under the O&M Agreement.

14 Assist Operator in obtaining and renewing permits which it is responsible for under the O&M Agreement.

15 Procure, maintain in effect, renew, and pay for all insurances required by the Owner in with the O&M Agreement.

16 Assist the Operator in preparing, submitting and pursuing insurance claims. EPC Contractor's Obligations

During the Commissioning Period, the EPC Contractor shall:

17 Attend commissioning interface meetings and work closely with the provider, terminal operator and the pipeline operator to develop a joint commissioning procedure;

18 Elaborate a sequence and planning for all stages;

19 Include adequate work instructions, check lists and test sheets;

20 Ensure that all supplier's requirements are being followed;

21 Perform all necessary and required functional and/or operational tests;

22 Record all test results, deficiencies, repairs, action points and follow up during all phases (completion, pre-commissioning, commissioning, first gas and start-up);

23 Arrange for supplier support during all phases;

24 Arrange all equipment and material (including utilities) needed for testing / preparation of the units (such as pressure testing, nitrogen leak testing, drying, inertisation, etc);

25 Take all necessary safety measures required for safe performance;

26 Compilation of commissioning results into detailed, logical and easily accessible files, followed by the issue of a "Commissioning completed" Certificate to Employer. The certificate shall be support by substantial proof to Employer that the units are safe and ready for "First gas in";

27 Arrange for adequate and detailed feedback information of all phases (such as statistics, test sheets, overviews, etc) to enable adequate monitoring of progress and qualify of the work;

28 Ensure that an auditable trail of information is kept up to date and present at the Construction site for audits by Employer;

29 Allow Employer operating personnel to be present during mentioned phases for training purposes; 30 Arrange supervision by experienced personnel with excellent knowledge of the relevant processes involved; and

31 Enforce cleanliness, tightness & integrity protocols.
